A RESOLUTION AUTHORIZING THE EXECUTION
OF AN AMENDMENT TO A PARTICIPATION AGREE-
MENT AND AUTHORIZING THEREBY A REDISTRI-
BUTION OF THE EARNINGS FUND; CONSENTING
TO THE EXECUTION OF A THIRD SUPPLEMENTAL
TRUST INDENTURE; AND AUTHORIZING ALL
NECESSARY OR DESIRABLE ACTION IN CONNEC-
TION THEREWITH,
WHEREAS , the City of Atlantic Beach, entered into
the Interlocal Agreement with other participating municipali-
ties and counties in the State of Florida on August 28 , 1986
authorizing membership in the First Municipal Loan Council ;
WHEREAS , the City of Atlantic Beach, entered into
the Participation Agreement on August 26 , 1986 with the First
Municipal Loan Council ( the "Council " ) to finance certain
qualifying public projects ; and
WHEREAS, the City of Atlantic Beach, entered into
a First Amendment to Participation Agreement on December 1 ,
1988 with the Council to provide for the return of certain
previously expended application fees and borrowing premiums;
and
WHEREAS, the Council and the Trustee have indicated
to the City Commission of the City of Atlantic Beach their
desire to extend the origination period thereby allowing
Public Agencies ( as defined in the Indenture ) additional
time to enter into a loan to fund qualifying projects ; and
NOW THEREFORE BE IT RESOLVED BY THE CITY COMMISSION
OF THE CITY OF ATLANTIC BEACH, FLORIDA, AS FOLLOWS ;

tion , are hereby approved and ratified . All capitalized
terms used herein and not otherwise defined shall be assigned
the meaning ascribed to such terms in the Participation
Agreement , and the Indenture as amended .

SECTION 2 . The terms of the Third Supplemental
Trust Indenture , attached as Exhibit B to this Resolution,
and the execution and delivery thereof is hereby consented
to.
SECTION 3 . The Public Agency hereby designates ,
confirms and ratifies William Gulliford Jthnd Maureen King
the Mayor and City Clerk , respectively, to
execute and deliver , to witness (or attest ) the Amendment to
the Participation Agreement , Third Supplemental Trust Inden-
ture , and any related documents necessary or convenient to
the consummation of the transactions contemplated by such
documents .
SECTION 4 , The Public Agency continues to be
authorized and directed to fulfill all obligations under the
terms of the Participation Agreement , as amended, including,
without limitation , any and all exhibits attached thereto,
and made a part thereof .
SECTION 5 . If any Section of this Resolution is
held invalid , the remainder of this Resolution shall not be
affected thereby .
SECTION 6 . This Resolution has been properly
noticed prior to its adoption in accordance with applicable
law.
SECTION 7 . This Resolution shall take effect
June 1 , 1989 .

CERTIFICATE REGARDING GOVERNING INSTRUMENTS

Attorney , of ( the "Public Agency" ) do hereby certify
that the charter or other instruments listed below constitute
all the governing instruments of the Public Agency and
attached hereto are true and correct copies thereof :

of Florida , as amended.
I FURTHER CERTIFY that said documents and instru-
ments are in full force and effect and have not been modified

We, the undersigned constituting all the members
of the Governing Body of the City of Atlantic Beach ( the
"Governing Body" ) , DO HEREBY CERTIFY, individually and col-
lectively, that we have no personal knowledge that any two
or more members of the Governing Body, meeting together ,
reached any prior conclusion as to whether the actions taken
by the Governing Body, with respect to the execution and
delivery of that certain Participation Agreement , as amended
( "Participation Agreement" ) , between the City of Atlantic
Beach and the First Municipal Loan Council , including any
and all exhibits attached thereto and amendments thereto,
the security therefor and the application of the proceeds
thereof, should or should not be taken by the Governing Body
or should or should not be recommended as an action to be
taken or not to be taken by the Governing Body, except at
public meetings of the Governing Body held after due notice
to the public was given in the ordinary manner required by
law and custom of the Governing Body.
Further , we certify that we do not have or hold
any employment or contractual relationship with the First
Municipal Loan Council , or any other relationship which would
cause a conflict of interest to arise under the Constitution
or the laws of the State of Florida unless ( i ) the same has
been disclosed in accordance with Section 112 . 3143, Florida
Statutes, as amended, and other applicable provisions of law
and ( ii ) any person having any such conflict of interest did
not vote for the approval of ':he execution and delivery of
the Participation Agreement , ,3s amended, and any and all
documents incidental or necessary to the delivery thereof
and the undertaking of the obligations specified therein.

finance the Project and to secure the repayment of its obli-
gations under the Participation Agreement by pledging repay-
ment as specified in the Participation Agreement .
Neither the execution and delivery of the Second
Amendatory Participation Agreement , or the consummation of
the transactions contemplated thereby nor the fulfillment of
or compliance with the terms and conditions of the Second
Amendatory Participation Agreement conflicts with or results
in a breach of any of the terms, conditions or provisions of
the Constitution of the State or any Special or General Act
or laws governing the Public Agency or its Bylaws , charter ,
or any other governing documents of the Public Agency ( inclu-
ding any limit on indebtedness ) , or any restriction or any
agreement , instrument , law, ordinance, regulation or judi-
cial or other governmental order to which the Public Agency
is now a party or by which it is bound or constitutes a de-
fault under any of the foregoing.
The Public Agency has obtained all permits and
approvals required by any governmental body or officer , for
the acquisition, construction and/or installation of the
Project , the financing or refinancing thereof or the reim-
bursement therefor ; the Public Agency has complied with any
applicable provisions of law requiring any notification,
declaration, filing or registration with any court , govern-
mental body or officer in connection with the execution,
delivery and performance of the Participation Agreement and
the Interlocal Agreement or for the acquisition, construc-
tion and/or installation of the Project , financing or refin-
ancing thereof or reimbursement of the Public Agency there-
for ; and any such acquisition, financing , refinancing or
reimbursement contemplated in the Second Amendatory Partici-
pation Agreement is consistent with, and does not violate or
conflict with , the terms of any order of such judicial ,
agency or other governmental consent , order or other action
which is applicable thereto.
The Public Agency does not plan to use the Project :
(a ) for sectarian instruction or in connection
with any part of the program ( i ) of a school or department
of divinity for any religious denomination or ( ii ) for the
training of priests , ministers , rabbis or other similar per-
sons in the field of religion or for devotional activities
or religious worship; or
(b) "directly or indirectly in any trade or busi-
ness carried on by any person who is not an exempt person"
