645 Atlantic Blvd COMM24-0049 Letter of AuthorizationPage I LEASE AGREEMENT THIS LEASE AGREEMENT (the "Lease"), made and entered into as of May 10, 2024. (the "Effective Date") by and between 645 ATLANTIC HOLDINGS LLC., a Florida limited liability company (the "Landlord"), and JORDAN HOOTEN AND JOHN SEINER as AB BUTCHER LLC (EIN 1199-2968001) DIB/A SOUTHERN STEER (The "Tenant") WITNESSETH: For and in consideration of the rents, covenants and agreements hereinafter reserved and contained on the part of Tenant to be observed and performed. Landlord demises and leases to Tenant, and Tenant leases, rents and accepts from Landlord the Leased Premises, as defined below. DEFINITIONS 1.1. DEFINITIONS. In addition to other terms which are elsewhere defined in this Lease, each of the following terms when used in this Lease with an initial capital letter shall have the meanings set forth in this paragraph 1, 1, and only such meanings, unless such meanings are expressly limited or expanded elsewhere in this Lease: (a) "Additional Rent' Those fees, charges and reimbursements identified herein as "Additional Rent" together with all costs, payments and expenses for which Tenant is obligated under this Lease (other than Base Rent), together with any applicable sales and use taxes thereon. (b) "Base Rent": Rental payable by Tenant for the Leased Premises during the Lease Term, as the same may be extended or renewed in accordance with the terms of this Agreement. Lease Commencement shall be May 10, 2024 with full rent abatement for months one, two , and three through August 10, 2024. Months four and five beginning August 10, 2024 through October 10, 2024, Tenant will be responsible for payment of CAM currently at Six Hundred Fifty Seven and 0/100 Dollars ($657.00) together with applicable sales taxes. The Base Rent for the First Lease Year shall be Forty -Two Thousand Six Hundred and 0/100 Dollars ($42,600.00), together with applicable sales taxes beginning October 10, 2024 with First month's rent prorated for payment from October 11. 2024 through October 31, 2024. Base Rent shall be adjusted automatically, beginning on October 1, 2025, and on the first day of each Lease Year thereafter as set forth in paragraph 2.1 below. (c) "Calendar Year": Each annual period from January 1 through December 31. (d) "Capital Expenditure" Any repair, replacement or other expenditure to the Property and or Leased Premises, which pursuant to generally accepted accounting procedures consistently applied (i.e., GAAP) would be amortized over more than one year rather than expensed in a single year. (e) "Claims": Any and all liabilities, obligations, losses, demands, penalties. actions, suits, claims, damages, liens. judgments, expenses, disbursements, obligations (including without limitation attorneys' fees and paralegal fees and expenses through appeal related thereto). (f) "Common Areas": The parking areas, driveways, sidewalks, landscaped areas and other common areas of the Property as they are or may be from time to time constituted, (g) "Commencement Date": The date on which this Lease is fully -executed and Landlord allows Tenant access to the Leased Premises for the purpose of moving Tenant's furniture and setting up its telecommunications in the Leased Premises. Such entry shall be without payment of monthly installments of Base Rent, but such entry and all acts and omissions in connection with it are subject to and governed by all other provisions of the Lease, including without limitation, Tenant's indemnification obligations, insurance obligations, obligations for liens and obligations concerning improvements and alterations to the Leased Premises. (h) "Compliance Cost": The total cost of the Compliance Work. (i) "Compliance Work": All repairs, replacements, alterations or additions necessary to cause the Leased Premises and the Property to comply with all Laws. 0) "Condemnation": Any laking by eminent domain for any public or quasi - public usage or purpose, including, without limitation, any conveyance in lieu of or under threat of condemnation. Page (k) "Default Termination": The dale of termination of this Lease arising out of or due to a Tenant Default. (1) "Expiration Date": The date of natural expiration of the Term of this Lease. as the same may be exte provisions of this Lease. unless sooner terminated or extended. December 17, 2024 City of Atlantic Beach Permitting Department Re: building renovation and construction permitting for 645 Atlantic Blvd. To whom it may concern: Please use this letter as my authorization to allow AB Butcher LLC to pull permits for the purpose of renovation and construction at my property located at 645 Atlantic Blvd. in Atlantic Beach, FL 32233. 645 Atlantic Holdings LLC and AB Butcher LLC have entered into a long-term lease agreement with the intention of installing a retail butcher shop at this location.
