Beach,Florida 32233
Dear Amanda:
We request verification that the amount and location of parking spaces shown in the
attached exhibits meet the Land Development Regulations for parking set forth in Section 24-
161 for the existing and proposed commercial operations at 299 Atlantic Boulevard, Atlantic
Beach,Florida 32233 (the"Property").
As shown in the attached exhibits, the new restaurant tenant replacing the Ragtime
location will have 264 seats,resulting in a parking demand of 66 spaces under Section 24-161. In
combination with the other existing restaurant tenants in the building, the total parking demand
for the Property is 102 spaces. This is met by: (i) 37 parking spaces on the lot at the corner of
Ahern Street and East Coast Drive; (ii) 12 on-street spaces on Atlantic Boulevard directly
adjacent to the Property (allowed pursuant to Section 24-161(g)(6)); and (iii) 53 of the total 56
spaces on the lot south of Atlantic Boulevard (the "Monticello Lot"). The Monticello Lot is
permitted under Section 24-161(0(2) because those spaces are a maximum of 380±feet from the
Property as demonstrated in the parking distance exhibit. Also included are the property cards
and deeds for each parcel, demonstrating that all lots are owned by the same entity. Finally,
pursuant to the Map B1 of the Transportation Element of the Comprehensive Plan,the portion of
Atlantic Boulevard adjacent to the Property is neither an arterial nor a major collector roadway.
Connected sidewalks and crosswalks create a safe pedestrian path from the Monticello Lot to the
Property.
Accordingly, based on the above, we request that the City verifies that the parking
depicted in the attached exhibits satisfies the Section 24-161 parking requirements for the
Property.

QUIT CLAIM DEED
This Quit Claim Deed is made this I, day of June, 2010, by the Federal Deposit
Insurance Corporation, as Receiver for CapitalSouth Bank, whose address is 1601 Bryan
Street, Dallas, Texas 75201 (the "Receiver"), and Southcoast Capital Partnership, Ltd., a
Florida limited partnership, whose address is 1600 Independent Square, Jacksonville, Florida
32202("Landowner").
RECITALS:
Whereas, Southcoast Capital Partnership, LTD and The Monticello Companies, Inc.
entered into a Perpetual Easement Agreement on August 15, 1997, recorded at Official Records
Book 8701,page 2009 of the Public Records of Duval County,Florida("Original Easement"),
Whereas, Southcoast Capital Partnership, LTD and The Monticello Companies, Inc.
entered into an Amendment of Perpetual Easement Agreement to amend the Original Easement,
on April 30, 1998, recorded on May 7, 1998 at Official Records Book 8936, pages 1020-1027,
Doc. #98107886 of the Public Records of Duval County, Florida (the "Amendment"). The
Original Easement as amended by the Amendment is referred to herein as the "Easement
Agreement." Capitalized terms used herein, but not defined, shall be given the meanings given
in the Easement Agreement.
Whereas, Monticello Bank (and any subsidiaries, if any) merged without assistance into
CapitalSouth Bank on September 15,2007;
Whereas, the State of Alabama Superintendent of Banks ("Superintendent") closed
CapitalSouth Bank on August 21,2009;and
Whereas, the Superintendent appointed the Federal Deposit Insurance Corporation as
Receiver of CapitalSouth Bank on August 21,2009.
WITNESSETH:
That the Receiver, for and in consideration of (1) the sum of Ten and no/100 Dollars
10.00), in hand paid, the receipt thereof acknowledged, (2) Landlord's waiver of Receiver's

non-compliance, if any, with any provisions of the Easement Agreement, (3) Landowner's
waiver of any requirement that any party "shall remove [the] ATM and shall leave the
underlying area broom-clean and in good order and condition, reasonable wear and tear and
casualty excepted, and shall repair all damage caused by such removal," and (4) Landlord's
agreement that Receiver shall incur no past, present or future expenses concerning the Easement
Agreement, including, but not limited to tangible personal property taxes, and ad valorem real
property taxes attributable to the ATM and the improvements located thereon levied and
assessed, Receiver has remised, released and quit-claimed, and by these presents does remise,
release and quit claim unto the Landowner, and its heirs, successors and assigns forever, the
following described perpetual easement ("Easement") concerning the property located in the
County of Duval, State of Florida("Property"), such Property described in Exhibit"A",attached
hereto and incorporated herein for all purposes, and such Easement concerning the Property
described in Exhibit B1 and Exhibit B2,attached hereto and incorporated herein for all purposes.

TO HAVE AND TO HOLD the same, together with all and singular the appurtenances
thereunto belonging or in any way appertaining, and all the estate, right, title, interest, lien,
equity and claim whatsoever of the Receiver, either in law or equity, without covenant,
representation, or warranty of any kind or nature, express or implied, with respect to the
Easement concerning the Property, to the only proper use, benefit and behalf of the Landowner,

This Quit Claim Deed is made for the purpose of terminating that Perpetual Easement
Agreement(concerning the Easement)dated August 15, 1997,recorded at Official Records Book
8701, Page 2009, Duval County, Florida Public Records, as amended by that Amendment of
Perpetual Easement Agreement dated April 30, 1998 recorded at Official Records Book 8936,
