As will be discussed in more detail through our proposal, our law firm has more than forty years of experience providing legal representation to local governments, municipalities and special purpose government entities. Broadly,these services include the research, review and issuance of legal opinions, preparation of charters, ordinances, resolutions and the corresponding amendments, all related legal matters in City, Council, Commission, District and committee meetings in addition to numerous other legal matters as the circumstances require. Our attorneys have extensive experience advising elected, appointed and employed staff including, but not limited to City Managers, City Clerks, Community Redevelopment Agencies, Planning and Zoning Committees, Budget and Finance Committees, Housing, Police and Fire personnel and Public Works Departments. The members of our firm are part of the City, County and Local Government Law Section of the Florida Bar and also subscribe to listing services, blogs and discussion boards related to local government topics and the Florida League of Cities in an effort to remain informed about the current legal issues facing local governments, as well as continuing a relationship with subject matter experts in the field. Page 3 Experience of Attorneys Rob Bradley is a member in good standing of the Florida Bar who was admitted October 24th, 1996. Rob is Board Certified by The Florida Bar as an Expert in City, County and Local Government Law and is a Florida Senator representing Clay, Alachua and Bradford Counties. Rob has focused his career on representing local municipalities and political subdivisions. Rob's experience demonstrates an intimate understanding of government regulation, financing, procurement and administration. Rob's prior public service includes work as a County Commissioner in Clay County and a member of the Board of Trustees of the St. Johns River State College. Rich Komando is a member in good standing of the Florida Bar who was admitted September 24th, 1999. Rich's area of practice concentration is focused in the area of City, County and Local Government law. Rich has worked in various levels of state and local government which includes legal service as a Circuit Director and later as the statewide General Counsel for the Guardian ad Litem Program. Rich also worked as both a criminal prosecutor and the Executive Director of the State Attorney's Office for the Fourth Judicial Circuit. As a prosecutor, Rich handled a variety of cases while focusing on public corruption issues. As the Executive Director, Rich supervised the Finance and Human Resources areas of the Business Office, the Public Records Division, the Forfeiture Division and the Information Technology Division for the office. Currently, Rich provides legal counsel to the City of Atlantic Beach, the City of Keystone Heights, Baker County and on litigation work for The Crossings. He has experience in the areas of government administration, employment, labor, risk management and policy drafting. Rich is AV® Peer Review Rated by Martindale Hubbell. John Kopelousos is a member in good standing of the Florida Bar who was admitted October 15th, 1965, as well as the Alabama State Bar where he was admitted January 1st, 1965. John has represented individuals, landowners, and businesses both large and small, on all matters relating to land, including complex land use issues, zoning, real property disputes, land development matters, community development districts and environmental law. John was also general counsel to many municipal and county entities. He served as counsel to the Clay County Planning and Zoning Commission from 1971 to 1983 and served as general counsel to the Clay County Development Authority for 25 years. John currently serves as general counsel for the Clay County Housing Finance Authority, and served from 2002 to 2013 as a Member of the Board of Directors of the Florida Association of Local Housing Financing Authorities. John has served as legal counsel for The Crossings of Fleming Island, a Community Development District. He is also Chairman of the Board of Directors, as well as legal counsel, for Challenge Enterprises of North Florida. John is AV® Peer Review Rated by Martindale Hubbell. Sam Garrison is a member in good standing of the Florida Bar who was admitted September 20th, 2001. Sam has devoted his career to public service first as a leader in the State Attorney's Office for the Fourth Judicial Circuit, and for the past two years as legal counsel for the Town of Orange Park. Sam's representation of the Town of Orange Park includes advising the Town Council and staff regarding administration, budget, finance, planning, zoning, code enforcement and labor union negotiations. Although we work as a team providing legal support for our public sector clients, we are pleased to propose Rich Komando as the designated primary contact for the City of Atlantic Beach. Rich would continue to attend the City Commission, Workshop and Board meetings. Additionally, Rich would serve as the City's labor attorney. Rich currently serves as the interim legal counsel for the City of Atlantic Beach, the legal counsel for the City of Keystone Heights and Baker County, and will be able to draw upon the experience of Kopelousos, Bradley & Garrison for additional expertise in a variety of areas. Frequent communication within the firm in the form of weekly meetings keeps each attorney current as to specific legal issues facing each of our government and public sector clients. A copy of each attorney's resume is enclosed for your review. Supporting our legal team is Kelly Huselton, who works as a full time assistant. Kelly has worked with the firm for five years and has experience working with elected officials, department heads and staff of our public sector and government clients. Jennifer Bradley serves as the business manager for the office. Jennifer's responsibilities include contract management, invoicing and general office operations. Services of the City Attorney Kopelousos, Bradley & Garrison, P.A., currently provides all of the services enumerated in Section II, paragraphs 1 through 27 of the Scope of Services, described in on pages 9-10 of the Request for Proposal No. 14-05, to our local government and municipal clients. Over the past two and a half months, the firm has provided legal services to the City of Atlantic Beach as interim legal counsel specifically in the areas described in the Scope of Services paragraphs 1, 2, 3, 4, 5, 9, 10, 12, 13, 14, 15, 16, 17, 22, 23, 24, 25, 26 and 27. As the designated attorney, Rich Komando will be available to meet all of the legal needs for Atlantic Beach. Rich is available during all normal business hours and is also available after hours through the firm's answering service, e-mail and by cellular telephone. As indicated earlier, if at any time a scheduling conflict might occur, the firm's philosophy and practice is for all other attorneys to provide backup legal service. In providing the highest level of personal attention and service, the firm's active communication and weekly meetings about our public sector and government clients allows any attorney in the firm to step in with little advance notice. Page 5 Our extensive experience in serving the legal needs of municipal and government clients allows us to reasonably anticipate the time commitment required to provide the legal services outlined in the Scope of Services section of the request for proposals. In what we plan to develop as a long term legal relationship, the work for the City of Atlantic Beach will receive the highest priority. Any additional legal work would only be accepted based upon available resources and after minimizing any scheduling conflicts. The priorities assigned to the expectations described in the Scope of Services will often depend upon the priorities of Atlantic Beach. During different times of the fiscal year, budget and finance recommendations will be prioritized while at other times, labor negotiations will be the primary focus and during unexpected intervals, employment concerns may arise. Understanding the scheduled expectations, legal issues can be expected to arise in other contexts. We are prepared to give legal counsel related to the ongoing operational priorities as they develop for our municipal and government clients. Time sensitive issues will always be a priority and our attorneys will always work to meet agreed upon deadlines. Continuing education, training and awareness is another facet of the firm's direction in proactive legal representation. Local governments must be attentive to the changing nature of state and federal laws, statutes, case law, municipal codes, ordinances, regulations and ethical codes. For this reason, the training and education are logical and essential means to minimizing liability exposure. In cooperation with the City Manager and at the direction of the City Commission, training can be presented by our legal team at times most convenient to Atlantic Beach. In addition to periodic union related contract negotiations up to arbitration, local governments are also faced with legal concerns related to employee performance and disciplinary procedures. Our firm is prepared to handle these issues as they arise in cooperation with the City Manager and the Human Resources Director, at the direction of the City Commission. Consistent with our role as the general counsel for other local governments and municipalities, we view our role as the coordinator of all of the City's legal needs which includes working cooperatively with any specially engaged legal counsel. In addition to the responsibilities described in this proposal, our firm will also assist the City in identifying any legal expert needed to address a specialized area of need. PROPOSAL FOR LEGAL AND ATTORNEY SERVICES TO THE CITY OF ATLANTIC BEACH BOARD OF COMMISSIONERS REQUEST FOR PROPOSAL No.14-05 KOPELOUSOS,BRADLEY&GARRISON,P.A. Page 6 Fee Proposal Kopelousos, Bradley & Garrison, P.A. is able to bill the City of Atlantic Beach for professional services using one of the following three methods: 1. A fixed fee retainer agreement; 2. an hourly rate billed monthly; or 3. a combination of a fixed retainer for some services and an hourly rate for additional services. In consideration of the second two proposed billing options, all of the attorneys at Kopelousos, Bradley & Garrison, P.A. would bill at our discounted government billing rate of $200.00 per hour. Even during times when work is performed by more than one attorney in the firm, (e.g. firm meetings and discussions, or attendance of multiple attorneys at City meetings as deemed necessary) the City would only be billed once, and not per attorney. Our firm does not charge separately for word processing, photocopying, faxing, etc.; however, the firm charges separately for certain costs incurred in litigation representation, as well as for any disbursement to third parties made on the City's behalf. Such costs and disbursements include, for example, the following: extraordinary travel related expenses, deposition costs, transcription and filing fees required by the clerk of court. These costs are billed at the rate of the actual expense. First, under a fixed retainer agreement, Kopelousos, Bradley & Garrison, P.A., will bill the City of Atlantic Beach $8,000 a month which will include all professional services included in the Scope of Services. The monthly retainer does not include legal fees for bond work, litigation, specialized tax services and extraordinary legal work as determined by mutual agreement of the parties. Second, using an hourly rate billed monthly, Kopelousos, Bradley & Garrison, P.A., will bill the City of Atlantic Beach $200.00 per hour for the time spent providing legal services. Third, using combination of a fixed retainer for some services and an hourly rate for additional services, Kopelousos, Bradley & Garrison, P.A., will bill the City of Atlantic Beach $4,000 a month for legal services provided at the attendance of scheduled Commission Meetings, Commission Workshops, Code Enforcement Meetings and Community Development Board Meetings. Additional legal services will be billed at $200.00 per hour. Each of the above described fee proposals has potential benefits relating to budget certainty, litigation avoidance and value to the City. Depending upon questions or concerns from the City, Kopelousos, Bradley & Garrison, P.A. is able to provide more in depth reasoning based upon our background and experience with municipal clients. Our fee agreements do not contain any provision for rate increases. If at any time the City or Kopelousos, Bradley & Garrison, P.A. believes the agreement should be modified, our practices is to be able to engage in such a conversation at any time. Page 10 Required Forms DRUG-FREE WORKPLACE CERTIFICATION Section 287.087, Florida Statues, effective January 1, 1991, specifies that preference must be given to vendors submitting a certification with their bid/proposal certifying they have a drug-free workplace.
