By voluntarily foregoing its Children's Theater over this past year,ABET has assumed a
financial burden and lowered its Theatre standards. The board believes ABET, like every other
theatre group in the area, should continue to provide both Children's Theater and Main Stage
productions.
The board has offered you the opportunity to return to ABET
(under extremely favorable terms)to run ABET's children's program. Since
you neither accepted the offer nor requested clarification,we are uncertain what details would
facilitate your consideration. As stated from the beginning,this offer is intended for
you,not First Act.As you are aware,the City does not permit
subcontracts. We did not extend this offer to First Act.
Your counter offer suggested an agreement to facilitate two contracts with the City-one with
First Act to provide Children's Theater and one with ABET to provide Main Stage productions
- at the Adele Grage center. We feel the constraints imposed by separate contracts lower the
quality of ABET productions and we do not wish to continue with the challenges resulting from
two separate contracts with the city.

Sorry you are unable to accept or propose a modified version of our offer. The ABET board
unanimously rejects your counter proposal as it meets neither the spirit nor intent of our
original offer. We had hoped,by combining our efforts under a single,unified
structure,we could provide full spectrum community theatre in a mutually beneficial manner
despite the limits of space and calendar. Rather,your offer merely solidifies the status quo while
placing additional constraints on ABET's operating autonomy. While we wish you and First Act
continued success,we would also assuage any parental and community concerns about the future
of Children's theatre.As we've said before,ABET has every intention of resuming its long-
standing children's program. We had hoped to do so through you and believe

Our counter proposal and cover letter
I have the dates of all of these emails if you need but will indicate for now.
Good morning Celia,
Please find our attached counter proposal. The First Act feels this proposal outlines a way for
our two organizations both (The First Act and ABET) to continue to work together at the theater
in the Adele Grage Cultural Center.
The city of Atlantic Beach and its residents both want us to find a way to Work together to provide
for all members of the community.With less than two weeks before our three classes are scheduled to
begin, parents are becoming anxious and are ready to have their voices heard as well.
We wish for The First Act, since it is a separate non profit organization to remain under a
separate contract with the city of AB. We feel that we would make a great partner with ABET and
together we have a wonderful opportunity to relieve the city of some of the day to day calendaring
issues. For many years we worked well together in the very same theater space and it made life much
easier on all.
The city would maintain responsibility for the overall calendar for the building of course and
would certainly appreciate our two organizations, (the main users of the space) to work
together.
We have proposed some changes that we feel will help communication and will encourage
students from our children's program to move on to your teen musical theater program after 8th
grade, thus helping to build the teen program that you have in place already.
We are willing to explore all and any options for an alternative space for our semester classes by next
year, but because this contract has been delayed for so long and even the local school stage is not in our
budget,we are not in a position to do that sooner and are therefore committed to making our case to stay
for 2018.
It's interesting to note that even residents with no previous interest in the usage of the Adele
Grage are expressing that they do not wish to see access to any community groups denied,
especially a children's program.
With such a light footprint at the theater, and minimal time scheduled there, The First Act feels
that we are in a position to work with many groups who wish to use the space. The use of the
Adele Grage has increased in popularity enormously. Only one year ago the community room was
used very little, but now that the word is out about what a great resource it is and its usage has
multiplied.
The First Act is very grateful to the city of Atlantic Beach for the opportunity to utilize the Adele Grage
theater! Please know that we have assured parents and our students that we will do all in our power to
keep The First Act Children's Community Theatre program there.
We look forward to hearing back from you once your board has had time to review, and hope that we can
come to a positive conclusion together.

First Act Children's Community Theater Proposal for peacefu shared use of public facility.
1. The First Act Children's Community Theater("First Act") and the Atlantic Beach
Experimental ("ABET") (collectively the"Parties")will each enter into separate Rental Contract
for Public Facilities-Long Term("Rental Contract")with the City of Atlantic Beach(the"City")
as was done in 2017 for the use of the Adele Grage Cultural Center(the "public space").
2. First Act and ABET will cooperate with each other to prepare a joint annual schedule for
submission to the City for approval for their use of the Adele Grage Cultural Center. This will
greatly reduce the use of City resources and employee time, and avoid the parties having
performances at the same time.
3. In the spirit of cooperation,First Act has reviewed ABET's on-line schedule and prepared the
attached schedule to accommodate the needs of both parties for the first half of 2018.
4. Any set that precludes access to the stage for the other party must either be cleared on the days
that the theatre is booked to provide access to the stage or be approved by the city manager as
per the contract and alternative arrangements made for the children's classes in the community
room.
5. The parties will meet on a quarterly basis to agree on any schedule changes and resolve any
other outstanding issues for sharing the public facility. Visiting directors will provide detailed
information regarding plans for their sets to First Act who will plan around the sets accordingly.
6. The parties will cooperate with each other and the City of Atlantic Beach to facilitate smooth
public access to the Adele Grage Cultural Center. •
7. First Act will reduce its Fall Semester program from 14 weeks to 12 weeks to free up the
month of December for ABET shows. Extra hours will be added to classes to make up for the
lost hours.
8. First Act will offer classes up to 8th Grade only at The Adele Grage and recommend ABET's
Teen program for continued education.
9. First Act will continue the children's program on its own and pay its own costs and expenses
including insurance. All fees paid for First Act's program will be retained by First Act.
10. First Act will maintain a light foot print and requests minimal storage space.
11. First Act will pay ABET an$800.00 annual fee for the direct use of lights via a cable to
cover electricity and bulb wear.
12. The parties will only use the Adele Grange Cultural Center in accordance with the agreed
upon joint schedule.
13. The parties will enter into a formal agreement setting out the terms for their shared use of the
public facility.

Aine,
Thank you for meeting with me yesterday. We would like to offer you the opportunity to rejoin
ABET to produce our children's theater program.
We understand that you will continue to offer three classes during the academic year
(Saturday mornings and Monday afternoons) and a full summer program. The financial offer
outlined below depends on that. Further the hours that you have had use of the theater(up
to 3PM on Saturdays and up to 6PM on Mondays) during the academic year shall continue as is -
no ABET stage production activity nor teen program activity will bother you during those times.
In the past we understand that you paid expenses for your program from the monies that ABET
paid you. We believe that that should change. We propose that ABET would cover your
expenses up to $4000 per year and pay you 80% of all income from the program OR pay you
90% of all income from the program and you continue to pay the expenses.
In addition,you would have access to all of ABET's resources, including props, set materials and
costumes, as well as our advertising for the children's program in all public relations such as
website, online newsletter,facebook posts and media press releases.
You would no longer be required to pay for lighting.
You would no longer have insurance costs.
We would work with you on developing a yearly calendar which would include time for your
shows built into the season, as well as time for construction of your sets. We would schedule
regular meetings with you,myself and show directors to coordinate an optimal way for us all to
use the stage.
You would be able to store some items in the theater according to the specific needs of each of
ABET's and your productions.
We would like for you to submit this to your Board. If they agree to this or to a modified version,
we will then submit that to our Board.
