4 - Professional Services Agreement1-KOFESSIONAL SERVICES AGREEMI=N 1 THIS AGREEMENT is made and entered into thisq day of /�1a, ; 4019, by and between City ot Neptune Beacf-i, a municipal corporation pursuant to the Florida Constitution (the City), and Robert ivi. Rimmer ds uirector of RTA Consulting, Inc., a Florida corporation (the Contractor). WHEKtAS, the Contractor is engaged in the business ot MANAGING AND MAINTAININu t-ARKING FACILITIES AND RELATED 13USINt55E5.; and WHEREAS, the City desires to entei into this Agreement with the Contractor tor piotessional consulting services related to the City's proposed pay -for - parking plan; and NOvv, TIIERtFORE, the parties agree as follows: 1. Term. This Agreement shall have a term of one (1) year Seyinnirr9 on March 4; 2019 unless terminated prior to that date as sot torch herein. 2. Duties or Contractor. Pursuant to this Agreement, the Contractor snail have the full and complete obligation and responsibility tot tfle perror menus of Th. duties and/or work descried in the attached Exhibit "7V'. 3. Time Requirements. Pursuant to this Agreement, tile Contractor snail devote such time, energy, and skill as is necessary in the performance of the duties set forth herein and attaehed heietu dud shall periodically, or at any time, upon the request of the City, submit data as to the time requirements if vvorK performed in connection with this Agreement. 4. Fees. The City shall pay tile Contractor for services rendered in conn'ctiun with this Agreement, the exact amount agreed upon in writing by the City and the Contractor; per the attached Exhibit "B". During the term of this Agreement, the Contractor shall invoice, and the City shall reimburse tho Contractor for all reasonable and approved out-of- pocket expenses which are ;man cd in connection with the performance of the duties herein. 5. Relation ot the Parties. The Contractor shall not be considered as having an employee status or as being entitled to participate in any plans, an-anyements or distri6utior rs ny the City pertaining to or in connection with arty ponsion, retirement savings, health savings, insurance or other benefit extended to the City's employees. 1 6. Professional Responsibility. Notning in this Agreement snail be construed to interffere with ur otherwise affect tne rendering of services by tne Contractor in accurdance with hi3 independent and processional judgment. The Contractor shall perform his services substantially in accoraance with generally accepted practices and principles or his trade. This Agreement snail be subject to the rules arra regulations of any and all organizations and associations to vvhich the Contractor may from time to time belong and to the taws arid regulations 9,eming the practice of the contractor's trade in this State. 9. Indemnity. The City hereby inderrrnifiee and holds harmless tMe Contractor, as permitted by State law, against any loss or liability which the Contractor may sustain by reason of performance or the duties and obligations require pursuant to this Agreement; unless the act or omission involved willful negiigei ice or wanton conduct. 10. Termination. This Agreement may be terminated at any time with or without cause, by either party upon thirty (30) days written notice. Notice shall be considered given when received via U.S. Mail at the appropriate address as contained herein.
