10-22-18 Minutes of a Public HearingMINUTES OF A PUBLIC HEARING of the CITY OF ATLANTIC BEACH, FLORIDA held at a meeting of the City Commission in the City Commission Chambers, City Hall, 800 Seminole Road, Atlantic Beach, Florida, commencing at 6:30 P.M. on Monday, October 22, 2018. The City Commission (the "Commission") of the City of Atlantic Beach, Florida (the "City of Atlantic Beach") held a public hearing on behalf of the City of Atlantic Beach and the City of Jacksonville, Florida ("City of Jacksonville") at a meeting of the Commission on the above date and time. At 6:30 P.M., the Mayor of the City of Atlantic Beach called the public meeting to order. The Mayor stated that the purpose of the meeting included conducting a public hearing, pursuant to published notice as required by law (Section 147(0 of the Internal Revenue Code of 1986, as amended (the "Code")), on the proposed issuance by the City of Atlantic Beach of its Health Care Facilities Revenue Bonds (Fleet Landing Project), Series 2018, in an aggregate principal amount not exceeding $140,000,000 (the "Bonds"), in one or more series. The Mayor stated that the notice of the public hearing was published on October 8, 2018, in The Daily Record, a newspaper of general circulation in the City of Atlantic Beach and the City of Jacksonville, and on October 11, 2018, in The Beaches Leader, a newspaper of general circulation in the City of Atlantic Beach. The Mayor stated that the publisher's affidavits for the above-described publications were on file with the City Clerk (copies of which are attached hereto as Exhibit A). The Mayor stated that the proceeds of the Bonds will be loaned to Naval Continuing Care Retirement Foundation, Inc. d/b/a Fleet Landing (the "Borrower"), a Florida not for profit corporation and an organization described in section 501(c)(3) of the Code, for the purposes of (i) financing or refinancing all or a part of the cost of certain capital projects at the Borrower's continuing care retirement facilities known as "Fleet Landing," which are located at One Fleet Landing Boulevard, Atlantic Beach, Florida, and 701 Mayport Crossing Boulevard, Jacksonville, Florida, (ii) funding a debt service reserve fund, (iii) funding capitalized interest with respect to the Bonds and (iv) paying costs of issuing the Bonds, all as further described in said notice collectively, the "Project"). The Mayor then announced that all interested persons wishing to be heard for or against the issuance of the Bonds and on the location and nature of the Project to be financed would be heard and that all oral or written statements would be considered.
