Thompson, City Manager BACKGROUND: The Navy has requested a contract with the City of Atlantic Beach to provide water and sewer to Navy off-base housing, Commissary, Exchange, and other facilities. This is being addressed based on the Navy's request, and the rates for these services in the attached contract aze consistent with the amounts that they aze already paying. The contract has been reviewed and approved by the Finance Department and City Attorney. There is one (1) significant concern on the part of the City that should not be overlooked. The Navy currently owes the City of Atlantic Beach $231,905 for late fees. Apparently, the Navy is unable to process bills and pay them in the fifteen (15) days required in Atlantic Beach. As a result, they have accumulated a large debt based on late fees. However, it is not likely that this debt will ever be collected. Under the Prompt Payment Act, the bills must be paid within thirty (30) days. The Navy agrees to pay within the thirty (30) days, but they azgue that the Prompt Payment Act protects them from the City's late fees based on a fifteen (15) day pay requirement. The City Attorney agrees that it is not likely that Atlantic Beach could ever collect the late fees. Upon the approval of this contract, City staff is planning to eliminate the prior debt listed on the books. ' . Contract N62467-98-C-1801 TECHNICAL AND SPECIAL PROVISIONS FOR UTILITY SERVICE 1. SCOPE. The Contractor shall furnish, and the Government shall purchase and receive, water and wastewater service (hereinafter called service) for the delivery points as described in the Service Specifications, Items 0001 through 0003A (12 pages). The Government shall receive service at the Outside City rates at all delivery points during the term of this contract. The Outside City rate is 125% of the Inside City rate. However, in accordance with Section 22-27 CHARGES FOR WATER SERVICE, paragraph (1) b., of the City Code, Multiple Units served from the same meter are discounted to 75% of the single unit rate for Base Water Service. Additionally, multifamily residential units served from the same meter are charged 75% of the single-family residential rate for Base Sewer Services. The Navy facilities identified in Service Specification, Items 0001 through 0003A shall be charged at the following current rates as of the signing of this agreement: MULTIUNIT HOUSING SERVED FROM A MASTER METER (400 units Water Rate is as follows: Base Rate: $5.37 x 1.25 x 0.75 = $5.0325 for the first 2,250 gallons per unit per month. For 400 units the rate is $5.0325 x 400 = S2,013.00 for the first 900,000 gallons. Volume Water Rate: Usage over 900,000 gallons is: $1.83 per 1,000 gallons. ' Sewer Rate is as follows: Base Rate: $10.35 x 1.25 x 0.75 = $9.703125 for the first 3,000 gallons per unit per month. For l ~ 400 units the rate is $9.703125 x 400 = $3,881.24 for the first 1,200,000 gallons. Volume Sewer Rate: Usage over 1,200,000 gallons is: 53.90 per 1,000 gallons. SINGLE COMMERCIAL UNIT (Child Development Center) Water Rate for Commercial facilities is as follows: Base Rate: $5.37 x 1.25 = 56.70 for the first 3,000 gallons. Volume Water Rate: Usage over 3,000 gallons per connection is: 51.83 per 1,000 gallons. Sewer Rate for Commercial facilities is as follows: Base Rate: $10.35 x 1.25 x (ERU factor of 20 for 6" meter) = 5258.64 for the first 3,000 gallons. This contract shall continue in effect until tetminated at the option of the Government by the giving of written notice not less than 30 days in advance of the effective date of termination. 3. FAR 52.241-2 ORDER OF PRECEDENCE -UTILITIES (FEB 1990 In the event of any inconsistency between the terms of this contract (including the specifications) and any rate schedule, rider, or e.~Itibit incorporated in this contract by reference or otherwise, or any of the Contractor's rules and regulations. the terms of this contract shall control. 4. FAR 52.241-~ CONTRACTOR'S FACILITIES (FEB 1990 (a) The Contractor, at its expense, unless othervise provided for in this contract, shall furnish, install, operate, and maintain all facilities required to furnish service hereunder, and measure such service at the point of delivery specified in the Service Specifications. Title to all such facilities shall remain with the Contractor and tl~e Contractor shall be responsible for loss or damage to such facilities, except that the Government shall be responsible to the extent that loss or damage has been caused by the Government's negligent acts or omissions. (b) Notwithstanding any terms expressed in this clause, the Contractor shall obtain approval from the Contracting Officer prior to any equipment installation, construction, or removal. The Government hereby grants to the Contractor, free of any rental or similar charge. but subject to tl~e limitations specified in this contract, a revocable permit or license to enter the service location for any proper purpose under this contract. Tltis permit or license includes use of the site or sites a~,reed upon by the parties hereto for the installation, operation. maintenance, and repair of the facilities of the Contractor required to be located upon Government premises. ill applicable taxes and other charges in connection therewith, together with all liability of the Contractor in construction. operation, maintenance and repair of such facilities, shall be the .~bli~,ati~n of the Contractor. ~~ (c) Authorized representatives ofthe Contractor will be allowed access to the facilities on Government premises at reasonable tithes to perform the obli~~ations of the Contractor regarding such facilities. Paae 3 of 8 Contract N62467-98-C-1801 (d) Unless otherwise specified in this contract, the Contractor shall, at its expense, remove such facilities and restore Government premises to their original condition as near as practicable within a reasonable time after the Government terminates this contract. In the event such termination of this contract is due to the fault of the Contractor, such facilities maybe retained in place at the option of the Government for a reasonable time while the Government attempts to obtain service elsewhere comparable to that provided for hereunder. 6. FAR 52.241-6 SERVICE PROVISIONS (FEB 1995) (a) tYleastrrement ofSerti•ice. (I) All service furnished by the Contractor shall be measured by suitable metering equipment of standard manufacture, to be furnished, installed, maintained. repaired, calibrated and read by the Contractor at his expense. In the event that an}• meter fails to register (or registers incorrectly) the service furnished, the parties shall agree upon the length of time of meter malfunction and the quantity of service delivered during such period of time. An appropriate adjustment shall be made to the next invoice for the purpose of correcting such errors. However, any meter which registers not more than nvo 2 percent slo~~~ or fast shall be deemed correct. (2) The Contractor shall read all meters at periodic intervals of approximatel~~ thim• (30) ~^-~ ~ days or in accordance to•itlt the policy of tl~e cognizant reaulaton• body or applicable b~•la~vs. (b) !t'leter Test. (c) Change in Volume or Character. Reasonable notice shall be given by the Contracting Officer to the Contractor resarding an}• material changes anticipated in the volume or y characteristics of the utilit<• service required at each location. (b) Either parry may request a change in rates or terms and conditions of service, unless otherwise provided in this contract. Both parties agree to enter into negotiations concerning such changes upon receipt of a written request detailing the proposed changes and specifying the reasons for the proposed changes. (c) The Contractor agrees that throughout the life of this contract the rates so negotiated will not be in excess of published and unpublished rates charred to any other customer of the same class under similar terms and conditions of use and sen•ice. (d) Should any modification be required by reasons of a rate change, i.e., ordinance chance, the effective date for implementation of the rate change shall be as required by ordinance. The Contractor shall notify the Contracting Officer in tivriting should any rate changes be contemplated by City Council. (b) Except as provided in the Act, all disputes arisins under or relating to this contract shall be resolved under this clause. (c) "Claim," as used in this clause, means a written demand or written assertion by one of the contracting parties seeking, as a matter of right, the payment of money in a sum certain, the adjustment or interpretation of contract terms, or other relief arising under or relating to this • contract. A claim arising under a contract, unlike a claim relating to that contract. is a claim that can be resolved under a contract clause that provides for the relief sought by the claimant. However, a written demand or written assertion by the Contractor seeking the pa}intent of money exceeding $100,000 is not a claim under the Act until certified as required by subparagraph (d)(2) of this clause. A voucher, invoice, or other routine request for payment that is not in dispute when submitted is not a claim under the Act. The submission maybe cor.~•erted to a claim under the Act. by complying with the submission and certification requirem:nts of this clause, if it is disputed either as to liability or amount or is not acted upon in a reasonable time. (3) The certification may be executed by any person duly authorized to bind the Contractor with respect to the claim. - (e) For Contractor claims of $100,000 or less, the Contracting Officer must, if requested in writing by the Contractor, render a decision within 60 days of the request. If the Contractor refuses an offer for alternative disputes resolution, the Contractor shall inform the Contracting Officer, in writing, of the Contractor's specific reasons for rejecting the request. When using arbitration conducted pursuant to ~ U.S.C. 576-580, or when using any other ADR technique that the agency elects to handle in accordance with the ADRA, any claim, regardless of amount.:hall be accompanied by the certification described in subparagraph (d)(2)(iii) of this clause, and executed in accordance ~~~ith subparagraph (d)(3) of this clause. ESTIMATED SERVICE: The estimated annual service requirements are: Maximum Daily Demand 240 keal Average Daily Volume 165 l:gal 1 The Government is in no way obligated to use nor restricted to the above estimated requirements. 3. SERVICE TO BE RENDERED: The water provided shall meet the Government's everyday needs for the proper operation ofthe above stated facility. All services provided by the Contractor shall be in conformity with all applicable laws, rules, codes, industry standards, permits, and regulations, promulgated by any and all governmental authorities having jurisdiction. The water shall be measured at the Government facility by one 8 inch meter. All meters shall be installed by the Contractor in a manner that allows verification of billing determinants by Government personnel. 4. POINT OF DELIVERY: The nominal diameter of the Government's water line at the point of delivery is 6-inches. The Contractor's delivery of water to the Government shall be as shown on attached diagram 0001. 5. OTHER FACILITY NOTES/CONCERNS: At the Government's request, and in accordance ivitlt the Safe Drinking Act, the City shall provide copies of all analytical results or reports summarizing results on the quality of the water produced. 6.
