BACKGROUND: Bids for Ditch Spraying and Maintenance were opened on March 17, 1999.
Four firms submitted bids. Of the four, Apex Aquatics, Inc. did not follow the prerequisite to
bidding, and was therefore disqualified.
References were checked for all bidders. Only one bidder, Vortex Biological Services, had three
~' references to verify that they performed spraying and maintenance. Although the remaining
bidders' references verified they were proficient at spraying and chemical weed control, none of
these bidders had three references verifying they performed all of the maintenance tasks such as
weedeating, chainsaw work or litter control. A summary of the reference checks is attached.
Therefore, Vortex Biological Services, Inc. is the only bidder whose proposal meets the City's
bid specifications for this project.
RECOMMENDATION: Award the contract for Ditch Spraying and Maintenance to Vortex
Biological Services, Inc in the amount of $48,147.00 a year. We allotted $56,000.00 in the
budget for ditch spraying, cleaning and canal maintenance.

1. Resulting Contract
It is the intention of the City of Atlantic Beach to retain one Contractor to perform ditch
spraying and maintenance to existing ditches and lagoons as specified on the bid
summary form.'
Any agreement or contract resulting from acceptance of a bid shall be on forms either
supplied by, or approved by, the City and shall contain, as a minimum, applicable
provision of the Request For Bid. The City reserves the right to reject any agreement
which does not conform to the Request For Bid and any City requirements for
agreements and contracts.
~` 2. Renegotiation
During the contract period, the City reserves the right to restate and/or renegotiate with
the Contractor such additions, deletions, or changes to the contract as may be necessitated
by lativ or changed circumstances. In the event that the City and the Contractor cannot
come to mutual agreement and negotiation on any such addition, deletion or change, that
portion of the contract concerning the services in the addition, deletion or change shall be
terminated.
3. Contractor Contract Performance
During the contract period, the Public Works Director or his or her designee, shall assess
the Contractor's performance on the contract and reserves the right to inspect the
Contractor's work, materials and methods during any specific project. In the event of a
breach of the contract by the Contractor or unsatisfactory performance as assessed by the
Public Works Director, or if the Contractor performs in a manner that precludes the City
from administering its functions in an effective and efficient manner, and if, after (30)
days following written notice to the Contractor, the City will be authorized to cancel the
contract, thereafter reserving the right to proceed against the Contractor for any and all
damages permitted by law arising from said breach. The Contractor shall not be held
responsible for any failure determined to the satisfaction of the Public Works Director to
be due to any action or inaction on the part of the City.

Bidder must note Federal Employer I.D. Number on Bid Summary Form. The City's
Federal Employer I.D. Number is 59-60000267.
II. BID SCOPE
1. intent and Duration
It is the intent of the City to select one Contractor to provide all labor, equipment
and chemicals necessary to successfully treat algae and floating, emerged and
emergent plants in twenty-four (24) ditches, three lagoons and one (1) dry
retention pond, and weedeat slopes on four (4) of the twenty-four (24) ditches as
designated by the City of Atlantic Beach for a one (1) year period for ditch
spraying and maintenance work needed for the City's Public Works Department.
The objectives are to obtain the best services while minimizing cost to the City.
The period of the contract for services shall commence within thirty (30) days of
selection of the Contractor and shall terminate on one (1) year after the date of
commencement. The City reserves the right to renew the contract for rivo additional one-
yearperiods pending a mutual agreement behveen the City and the Contractor, and a
review of contract performance by the Contractor for the previous year.
Prices, terms and conditions shall remain firm through this contract period unless
modified or canceled in accordance with the provisions of the bid. Bids shall be received
at the office of the Purchasing Agent at 1200 Sandpiper Lane.
2. Bid Forms
Bids are to be submitted on the attached Bid Summary Form or copies thereof. Bids will
not be considered unless they are submitted on this form.
a. It shall be assumed that services which are offered, meet or exceed the requirements as
stated in the accompanying specifications. This Bid Invitation presents the City's
requirements under proposed methods of operation. Responses to this request should
address these requirements.
b. All work and materials shall be done in conformity with the appropriate Standards.

3. Minimum Qualifications
a. Minimum five (5) years experience for ditch spraying and maintenance.
b. Three (3) references from companies or individuals for whom the bidder has completed
work during the past 12 months, of a compazable size and nature as this project. However,
naming the City of Atlantic Beach as a reference on past completed projects is
unacceptable.
4. Volume of Work
No warranty or guarantee is given or implied as to the types, quantities or location of services
that will actually be required.
5. Award Criteria
The bid shall be awarded to the qualified company with the lowest total bid for treating all
~' bodies of water identified.
III. GENERAL REQUIREMENTS
The City intends to apply very strict requirements for timely and accurate additions and more
specific requirements as will be necessary.
1. The Citv's Right to Use Other Contractors
The City reserves the right to provide for additional services from other ditch spraying
maintenance or other type Contractors, if the City so deems necessary. If the City elects to
exercise this right, the contract covered by the bid shall remain in effect as regards all terms,
agreements and conditions without penalty or diminution of ongoing services as contained
therein and previously provided by the successful Contractor in this bid.
2. Payment for Services
Payment will be based on work completed in accordance with the unit prices furnished on the
ditch spraying maintenance bid summary form. Invoices shall reference the proper City
purchase order number and the total amount of an invoice shall be paid within 14 days upon
receipt.

3. ~lotification of Project
Subsequent to notification of a project, the Contractor shall commence no later than five (5)
working days after receipt of a purchase order number. If an emergency condition exists, the
Contractor shall respond as quickly as reasonably possible.
4. e orts
a. Contractor shall be responsible for submitting reports required by the state regulatory
agencies.
b. Contractor must submit a written report to the public works department upon each visit
to the city explaining what services where performed.
c. Contractor will submit an invoice with a monthly report summarizing work performed.
5. Notification of Adjacent Property Owners
The Contractor shall be responsible for notifying and advising property owners adjacent to
~` the ditches, lagoons and slopes of treatment dates and times. Notification shall be a
minimum of forty-eight (48) hours prior to commencing treatment. Posting of ditches and
lagoons will be done at the time of treatment.
_ 6. Restocking
The Contractor shall be solely responsible for restocking bodies of water should a fish kill
occur as a result of chemical treatment.
7. nsurance
The Contractor shall provide insurance coverage no less than that specified below and shall
hold.the City harmless for any damages arising as a result of this (see Indemnification):
Worker's Compensation -Per State Requirement.
Public Liability and Property Damage - $300,000 Single Liability
Automotive Liability -Per State requirements.
8. Performance and Payment Bond
A performance and payment bond shall be required of the successful bidder. The amount of
bond shall be based upon the total amount of the purchase order issued to the Contractor for
t the given year. Proof of bond covering 100% of cost of the treatment shall be furnished to
the City within ten (10) days of award of contract.

The Contractor must have adequate equipment to treat the bodies of water as required to meet
job specifications.
10. indemnification
In consideration often dollars (510.00), receipt and sufficiency of which is hereby
acknowledged, the Contractor shall hold harmless, indemnify and defend the City of Atlantic
Beach, its officers, employees, representatives and agents against action, loss damage, injury
liability, cost and expense of whatsoever kind or nature, (including, but not by tivay of
limitation, attorneys' fees and court costs) arising out of injury (whether mental or corporeal)
to persons, including death or damage to property arising out of or thereunder, whether or not
due to or caused by negligence of the City of Atlantic Beach, its officers, employees,
representatives and agents, excluding only the sole negligence of the City of Atlantic Beach,
its officers, employees, representatives and agents.
` 11. Requirements
a. As a prerequisite to bidding, potential bidders must visit each site listed prior to
submitting a bid on this project. Failure to perform this physical inspection will result in
.- . rejection of the bid. To assure adherence to this requirement, contact must be made with
Streets & Maintenance Division Director Phil Nodine at (904) 247-5834.
b. The Contractor shall provide all necessary personnel, equipment and chemicals and shall
be required to control the growth of aquatic plants in each specified body of water.
c. For each ditch or lagoon, the Contractor shall recommend a program to include initial
treatment(s) and subsequent maintenance treatments and submit same to the Director of
Public Works for review and approval. Recommendations shall include chemicals to be
used; technique and rate of application and verification of same to the Director of Public
Works; and time and place of initial application(s).
d. After initial treatment has been performed, the Contractor shall, on his own, inspect each
body of water at least one time per month and spot treat as needed to maintain growth
control and water flow. The City shall be notified each time a body of water has been
inspected and advised what action, if any, was taken.
e. In addition to these routine inspections/treatments, the Contractor shall respond in a
timely manner to requirements for additional treatments if the City deems them
necessary.

In the request for bid package, under #11. requirements, section a, it stated the following:

After contacting Phil Nodine, the bidders were shown pictures of the Selva Marina Canal system
leading from the Golf Course to the Fleet Landing Bridge. Bidders were then shown what the
City meant by debris removal and given a map of all locations. Finally, Mr. Nodine would
obtain a business card from each bidder noting date and time on it. The following is a list of all

On 3-12-99 I found a note on my desk to call Mark at Lake Doctors at 635-9101. I called at 8:30
A.M. on 3-12-99 and left a message with the secretary that I was returning his call. He never
called back.

This letter is in response to the bids submitted for the Ditch Spraying and Maintenance Contract,
Bid # 9899-16. It is our concern that our competitors have submitted fraudulent bids.
Section -11, subsection - A clearly states;
" As A Prerequisite to bidding, potential bidders must visit each site prior to submitting a bid on
this project. Failure to perform this physical inspection will result in rejection of the bid. "
It is our understanding that Mr. Phil Nodine has complied and adhered to the guidelines adminis-
tered by the City of Atlantic Beach and gave all potential bidders every opportunity to visit all
sites concerning this bid. We admire his honesty and fairness toward all potential bidders and will
state that he had indicated the utmost importance of this prerequisite. None the less, or competi-
torsfelt that visiting all the sites was not as important as it vas described in Section 11.
Item # 28 -Water Plant #1 is under lock and key. All potential bidders were told if they had any
difficulty accessing any site to report to the Pubic Works Department. On March 17th we had
asked Mr. Nodine if any potential bidders had requested a key or an escort to access the ~'Vater
Plant #1 site, and his response was no. We then asked Mr. Tim Townsend of the water department
the same question and his response was also no. Therefore; without an escort or requesting a key
to gain entrance, this site was not visited and physically inspected as required.
We request these bidders be disqualified and their bids rejected. If our competitors wanted to sub-
mit atruthful bid, they should have made the effort to contact the Public Works Department con-
cerning entrance to this site. Considering that Water Plant #1 is less than a half mile from the
Public Works department makes us suspicious of how many additional sites were not physically
inspected. .
We at Vortex have the utmost respect for the citizens and public servants of the City of Atlantic
Beach and hope that this matter can be resolved swiftly.
