Most trees require little or no care but when they do, it can be costly for homeowners.

thus possibly recouping the overall cost.
3. ESC could offer a Resolution to request reasonable proof of dead or "dangerous"
that aligns with the spirit of the current state statute — not prohibiting but simply

The Governor of the State of Florida signed in to law Senate Bill 64
which requires that domestic wastewater utilities that dispose of
treated ef?uent to surface waters submit a plan to the Florida
Department of Environmental Protection by November 1,2021 to
eliminate the surface water discharge by January 1,2032.The
purpose of this law is to reduce ground water withdrawals for
drinking water by encouraging utilities to utilize treated ef?uent as
a source of potable water.
The City is permitted to discharge up to 3.5 million gallons per day
of treated ef?uent to the St.Johns River from the wastewater
treatment facility.Currently,the City discharges approximately 1.5
million gallons per day of treated ef?uent to the St.Johns River and
reuses an average of 200,000 gallons per day for irrigation at the
Atlantic Beach Country Club.
Eliminating the surface water discharge to the St.Johns River will
require a combination of expanding the irrigation reuse system,
construction of a deep well for treated ef?uent injection below the
Floridan Aquifer and potentially constructing additional treatment

ON THE COMMERCIALRENTALAND LEASE,ANDUSEOF
RENTEDAND LEASED,ELECTRICPERSONALASSISTIVE
MOBILITY DEVICES,MICROMOBILITY DEVICES AND.
MOTORIZED SCOOTERS;PROVIDING FOR LEGISLATIVE
FINDINGS,CONFLICTING ORDINANCES,SEVERABILITY,
ENFORCEMENT,AND AN EFFECTIVEDATE.
WHEREAS,Article VIII,Section 2 of’the Florida Constitutionand Section 166.021,
Florida Statutes,provides that municipalities have governmental,corporate,and proprietary
powers to enable municipalitiesto conduct municipal govermnent,perform municipal functions,
and render municipal services;and
WHEREAS,pursuant to the Florida Constitution,_a city may exerciseanypower for
municipal purposesexcept as otherwiseprovided by law;and
WHEREAS,Chapter 166,Florida Statutes,the “Municipal Home Rule Powers Act,”
reinforces the authority granted under the Florida Constitutionand authorizes municipalities to
exerciseany power for municipal purposes,except when expressly prohibited by law,and to enact
ordinances in further thereof,including its policing andregulatory powers;and
WHEREAS,the City is aware of other local governments which have experienced
negative impacts to the safetyand/or welfare of the public by commercially rented electric personal
assistive mobility devices,micromobility devices and motorized scooters;and
WHEREAS,Section 316.003(23),Florida Statutes,defines an “electric personal assistive
mobility device”as any self-balancing,two—nontand_em—wheeleddevice,designed to transport only
one person,with an electric propulsion system with average powerof 750 watts (1 horsepower),
the maximum speed of which,on a paved level surface when powered solely by such a propulsion
system while being ridden by an operatorwho weighs 170 pounds,is less than20 milesper hour,
and further provides that electric personal assistive mobility devices are not “vehicles”as defined
in Section 316.003,FloridaStatutes;and
anyonline application,website,or software for point-to-point trips and which is not capable oftravelingataspeedgreaterthan20milesperhouronlevelground,and further that the termincludes“motorizedscooters”and “bicycles”as defined in Section 316.003,Florida Statutes;andWHEREAS,Section 316.003(46),Florida Statutes,de?nes a “motorized scooter”as anyvehicleormicromobilitydevicethatispoweredbyamotorwithorwithoutaseatorsaddlefortheor-102767-3 Page 1 Of5 Agenda Item #10.A.25 Oct 2021Page 31 of 77
use of the rider,which is designed to travel on not more than three wheels,and which is not capable
of propelling the vehicle at a speed greater than 20miles per hour on level ground,and furtherthat
the term does not include an “electric bicycle”as de?ned in Section 316.003,Florida Statutes;and
WHEREAS,City staffand City law enforcementofficers have observedusers of electric
personal assistive mobility devices,micromobility devices,and motorized scooters riding in an
unsafe manner,failing to observe traffic control regulations,and other dangerous maneuversthat
have put people at risk;and
WHEREAS,commercialvendorswho supplyand rent these devices and scooters have
advised City officials that they desire to provide such devices and scooters for commercialrental
throughout the City;and
WHEREAS,there appears to be no organizedmanagement or control relatedexpressly to
such devicesand scooters that may be used in the City and that may be left in areas throughout the
City when the user discontinues use;and
WHEREAS,the City desires to analyze the circumstanceswhich have occurred in other
countiesand cities and make recommendationsfor regulations regarding the use of such devices
and scooters in the City in a manner that will better promote the safety and welfare of the public;
and
WHEREAS,with the occurrence and use of these devices and scooters,the City finds it
necessary to issue this Ordinanceconcerning this emergent special condition in the interest of
public health,safety,and welfare and for the protection of the users of the devices and scooters;
and
WHEREAS,Section 3l6.008(l)(t),Florida Statutes,authorizes local authorities to
reasonably exercise their police powers to adopt and enforce such temporary or experimental
regulations as may be necessaryto cover emergencies or special conditions;and
WHEREAS,Section 316.2068(5),Florida Statutes,authorizes a municipality to regulate
the operation of electric personal assistive mobility devices on any road,street,sidewalk,or bicycle
path underits jurisdiction if the governing body of the municipality determines that regulation is
necessary in the interest of safety;and
WHEREAS,Section 3l6.2l28(1),Florida Statutes,provides that a local government
through theexercise of its powersunder Section 316.008,Florida Statutes,may regulateand
highways,
WHEREAS,pursuant to the above cited laws the City also has theauthority to impose amoratoriumandpausetherentalsuntilsuchtimeasappropriateregulationsareinplaceforthepublichealth,safety and welfare;and0140276746 Page 2 Of5 Agenda Item #10.A.25 Oct 2021Page 32 of 77
WHEREAS,City staffandthe City police depaitment are directed to research and develop
permanent solutionsto these emergent special conditions during the temporary moratorium
imposed by this Ordinance,including but not limited to prohibitions,permitting and licensing
regulations,zoning regulations,police powers regulations,traf?c safety,and public safety;and
WHEREAS,during the temporary moratoriumimposed by this Ordinance,the City
Commissiondesires an opportunity to hear input from local residents,businesses,and City
departments to better prepareand take any steps necessaryfor the adoption,and implementationof
permanent regulations to address these emerging matters;and
WHEREAS,it is not the purpose or intent of this Ordinance to restrict or deny the use of
personally owned electricpersonal assistive mobility devices,micromobility devices,and
motorized scooters in the City,if they are operated consistent with Florida Law and City Code;
and
WHEREAS,it is not the purpose or intent of this Ordinance to adversely affect the local
businesses that lawfully engage in the business or intend to lawfully engage in the business of
leasing or renting electric personal assistive ‘mobility devices,micromobility devices,and
motorized scooters in the City;and
WHEREAS,the City intends to effectively determine the best approach to govern the
leasing and renting business and use of electric personal assistive mobility devices,micromobility
devices,and motorized scooters in the City;and
WHEREAS,the City ?nds a legitimate public purpose and it is in the best interests of the
public health,safety,and welfare to impose a temporary moratorium on the commercial leasing
and rental and use of commercially rented or leased electric personal assistive mobility devices,
micromobility devices,and motorized scooters in the City until suchtime as appropriate City
regulations are in place.
NOW,THEREFORE,BE IT ENACTED BY THE CITY COMMISSION ON
BEHALF OF THE PEOPLE OF THE CITY OF ATLANTICBEACH,FLORIDA:
SECTION I.RECITALS ANDLEGISLATIVE FINDINGS.The above recitals and
legislative findings are ratifiedand made a part of this Ordinance.
SECTION 2,TEMPORARY MORATORIUM.A temporary moratoriumis imposed
on the commercial leasing and renting and use of commercially leased or rented electric personal
any applicationrelating to the operation "orcommercial leasing and renting of these devices andscooters.This moratorium applies to any business that operates out of a hotel,motel,store,vendorstand,and any other local business location in the City,and to any online business operation thatmakesthesedevicesandscooterslocallyavailableintheCity.Nothing in this Ordinance shall beconstruedasalimitonthelawfuluseoftheprivateownershipofthesedevicesandscooters.ThoseindividualsthatusetheirprivatelyowneddevicesandscootersarerequiredtofollowallFlorida01402757.:Page 3 Of 5 Agenda Item #10.A.25 Oct 2021Page 33 of 77
Laws and City Ordinances relating to these devices and scooters.This moratoriumis imposed
pursuant to the City’s police and regulatory powers to protect the public health,safety,and welfare
of the community at large and shall remain in effect until such time as repealed by the City
Commissionaspart of adoptionof permanent regulations,but in no case for more than one year
from the effective date of this Ordinance,unless extended by further action of the City
Commission.
SECTION3.CONFLICTING ORDINANCES.All ordinances or parts of ordinancesin
conflict with this Ordinanceor parts thereof previously adopted or enteredby the City in con?ict
with this Ordinance are temporarily suspendedto the extent inconsistent herewithand until a ?iture
ordinance is adopted which permanently addresses the subject matter.This Ordinance shall not
be codified.
SECTION 4.SEVERABILITY.If any section,subsection,clause,or provision of this
Ordinance is deemedinvalid or unconstitutionalby a court of competent jurisdiction,such portion
will become a separate provision and will not affect the remaining provisions of this Ordinance.
SECTION 5.ENFORCEMENT.The City’s code enforcement officers,law
enforcementofficers,or any other person authorizedto enforce ordinances in the City,may enforce
the provisions of this Ordinance.Any enforcement action or legal remedy available under
controlling state law,including but not limited to,prosecutionas a misdemeanor with a ?ne not
exceeding$500.00 per violation,may be imposed as a penalty against the business and/or
individualviolator.Nothing contained hereinshall prevent the City from taking such other lawful
action in law andequity as may benecessary to remedy any violationof,or refusal to comply with,
any part of this Ordinance,including but not limited to:
a.Code enforcement action pursuant to City of Atlantic Beach Ordinances against a
businessand/or individual;
b.Pursuit of injunctive and/or declaratoryrelief in a couit of competent jurisdiction
against a business and/or individual;
c.Initiating an action against a business and/or individualto recover any and all
damages that may result from a violation of,or a refusalto comply with,any part
of this Ordinance;or
d.Utilizing any other action or enforcement method allowable by law.
SECTION 6.EFFECTIVE DATE.This Ordinance shall take effect upon ?nal approval
by the City Commission for the City of Atlantic Beach.

Section 2.Severability.If any section,sentence,clause,phrase,or word
of this'Ordinance is,for any reason,held or declared to be unconstitutional,inoperative
or void,such holding or invalidity shall not affect the remaining portions of this Ordinance,
and it shall be construed to be the legislative intent to pass this Ordinance without such
unconstitutional,invalid or inoperative part therein.
Section 3.Effective Date.This Ordinance shall become immediately upon
passage by the City Council.

The City Clerk was appointed by the Commission in 2004 by Resolution 04-12,
which outlined some terms and conditions of employment.One of these terms
was amended in 2008 by Resolution 08-15.The City Clerk and the City
Commission desire to have an employment agreement in place and requested that
the Director of Human Resources draft a proposed contract to present to the
Commission.The proposed contract aligns with the City’s FY 21-22 budget
approved by the Commission on September 27,2021 and follows the same
format as the current contract between the City and the City Manager.The
relevant changes to the terms and conditions of the City Clerk’s employment are
as follows:

EMPLOYMENT AGREEMENT
THIS EMPLOYMENT AGREEMENT (hereinafter referred to as the “Agreement”)is by
and between the City of Atlantic Beach,a municipal corporation (hereinafter referred to as the
“City”),and Donna L.Bartle (hereinafter referred to as “Bartle”or “City Clerk”),an individual
who has the education,training and experience as a city clerk.
WITNESSETH:
WHEREAS,Bartle has been employed by the City of Atlantic Beach since August 19,
199 1;and
WHEREAS,Bartle was appointed as the City Clerk on September 27,2004 with an
effective date of October 11,2004;and ~
WHEREAS,the last pay study for the city clerk’s position was done in 2005;and ‘
WHEREAS,Ba1tle achieved the professional designation of Certified Municipal Clerk
from the International Institute of Municipal Clerks in 2006;and
WHEREAS,the City desires to continue to employ Bartle as City Clerk of the City of
Atlantic Beach,Florida,with the responsibilities and duties as provided for in the City Charter of
the City of Atlantic Beach,as may be amended;and
WHEREAS,the City,through its City Commission,desires to provide for certain
benefits and compensationfor the City Clerk and to establish conditions of employment
applicable to the City Clerk through this Agreement;and
WHEREAS,the City Commission intends to,and by way of approving this Agreement
does,provide precedence to this Agreement should any provision herein be found to be contrary
to any provisions of the City’s Personnel Policies and Procedures Manual.
WHEREAS,Donna Bartle desires to accept continued employment as City Clerk of the
City of Atlantic Beach under the terms and conditions set forth herein.
NOW,THEREFORE,in consideration of the mutual promises as set forth in this
Agreement,the parties agree as follows:
This Agreement shall be effective October 1,2021 and shall remain in full force untilterminatedbytheCityorbytheCityClerkasprovidedherein.Section 2.Duties and AuthorityA.The City of Atlantic Beach agrees to continue to employ Bartle as its executiveofficerwiththetitleofCityClerktoperformthedutiesandfunctionsspecifiedintheCity’sPage1of11 Agenda Item #10.B.25 Oct 2021Page 43 of 77
Charter and Code and to perform other legally permissible and proper duties and functions as the
City Commission shall from time to time assign.The terms in this Agreement supersedethose in
the July 2004 position description,where they eon?ict.
B.The City Clerk is the executive officer appointed by the City Commission to assure
that all its enactments are effectively carried out.As such,the City Clerk shall be under the
direction of and compensated at a rate set by the Commission.
C.The City Clerk shall faithfully perform the duties as prescribed in the job
description as set forth in the City’s charter and/or ordinances and as may be lawfully assigned by
the City Commission and shall comply with all lawful Commission directives,state and federal
law,City policies,rules and ordinances as they exist or may hereafter be amended.Any future
changes to the City’s Employee Handbook that impact the City Clerk’s bene?ts,duties or
responsibilities shall go to the Commission for approval.
D.Speci?cally,it shall be the duty of the City Clerk to establish and maintain a line
of communication with the City Manager,to prepare an agenda for every commission meeting and
a permanent record of each meeting and disseminate information as necessary about activities,
?ndings or decisions by the city commission.
E.It shall also be the duty of the City Clerk to maintain a State of Florida Notary
Public Commission and shall supervise the activities of the Clerk’s Of?ce staff.
F.It shall also be the duty of the City Clerk to provide the City Commission with
information as requested about programs of the city government and to serve as supervisor of
election for city elections.
G.It shall also be the duty of the City Clerk to serve as custodian of all city records
including access,and the seal of the city,to administer oaths and to conduct such other activities
as may be speci?ed by the City Charter,the city code or the City Commission.
H.The City Clerk shall perform the duties of City Clerk of Atlantic Beach with
reasonable care,diligence,skill and expertise.
I.All duties assigned to the City Clerk by the Commission shall be appropriate to and
consistent with the professional role and responsibilityof the City Clerk.
J.The City Clerk cannot be reassigned from the position to another position without
the City Clerk’s express,written consent.

B.The City Clerk shall receive an annual bonus of $250 upon successfulcompletion
of the Master Municipal Clerk Program.
C.Effective October 1,2022,the City Clerk’s salary shall automatically increase by
the same percentage or amount as the increase for general employees approved by the
Commission.In addition to this,the City may increase said salary and/or other bene?ts of the City
Clerk in such amounts and to such an extent as the City Commission may determine desirable.
This Agreement shall be automatically amended to re?ect any salary adjustments that are provided
to the City Clerk by the Commission.
D.Annually,and in compliance with the provisions of applicable law,the City
Commission and City Clerk may meet and de?ne such goals and performance objectives that they
determine necessary for the proper operation of the City Clerk’s Of?ce and in the attainment of
the City Commission’s policy objectives.Said goals and objectives shall be generally attainable
within the time limitations as speci?ed and the annual operating and capital budgets and
appropriations provided.
E.The City Clerk may make a request to any member of the Commission for a review
of any of the terms and conditions of this Agreement including the request for a salary survey.The
Commissioner has discretion as to whether to bring these matters to the full Commission for
consideration.
Section 4.Health,Vision,Dental,Disability,and Life Insurance Bene?ts.
A.The City agrees to continue to provide and to pay the premiums for health,
hospitalization,surgical,vision,dental and comprehensive medical insurance for the City Clerk
and her spouse,at the minimum plan offered to other full—timeCity employees.Beginning January
1,2022,the City Will provide and pay the premiums for the buy—upHMO plan for the City Clerk
and her spouse,if chosen during open enrollment.
B.The City agrees to make required premium payments for short term and long term
disability coverage for the City Clerk.
C.The City shall pay the amount of premium for term life insurance coverage in the
amount of $50,000 and supplementalterm life insurance coverage in the amount of $70,000.The
City Clerk shall name the bene?ciary of the life insurance policy.
A.In lieu of continuing the +15 year accrual rate of 10.04 hours per pay period,theCityClerkshallbeginaccruingpersonalleaveatareducedrateof6hoursperpayperiodandtheremaining4.04 hours be converted into pay by providing a 5%pay increase,which is re?ected inSection3,Compensation.B.The City Clerk shall keep the balance of her accrued ?ex time and continue toaccrueandparticipateinthe?ex time program for exempt employees,submitting her ?ex timeslipsdirectlytoHumanResources.Flex time may be earned by the City Clerk for meetingsPage3of11 Agenda Item #10.B.25 Oct 2021Page 45 of 77
attended after hours.The City Clerk understands that it may not be possible to complete her duties
and responsibilitieswithin a 40 hour work week,but should strive to work within the normal 8-5
work day.’
C.The City Clerk is entitled to accrue all unused leave;however,personal leave
accrual cannot exceed 680 hours at the end of each ?scal year.The City Clerk shall submit her
Leave Request Forms directly to Human Resources.In the event her employment is terminated,
either voluntarily or involuntarily,the City Clerk shall be compensated for all accrued personal
leave.The City Clerk may request the Commission to consider allowing her to “cash in”an
additional amount of accrued leave.
Section 6.Cell Phone Allowance
The City shall provide the City Clerk a city—issuedphone and pay the monthly service charges or
provide the City Clerk with a cell phone allowance of $50 per month to compensate her for the
business use of her personal cell phone.
Section 7.Retirement
The City agrees to continue the City Clerk’s participation in the City’s defined contribution
pension plan under the same terms and conditions.
Section 8.Professional Development
A.The City agrees to~pay the City Clerk’s professional dues for membership in the
Florida Association of City Clerks,International Institute of Municipal Clerks,and Florida
RecordsManagement Association,as well as the costs and fees associated with her Notary Public
Commission.The City may pay other professional dues and subscriptions on behalf of the City
Clerk,as are approved in the City’s aimual budget (on a line item basis)or as authorized separately
by the City Commission.
B.The City agrees to pay registration fees,and reasonable and customary travel and
subsistence expenses for the City Clerk’s travel to and attendance at professional and official
travel,meetings and occasions to adequately continue the professional development of the City
Clerk,including but not limited to FACC Summer Conference and Academy,FACC Fall
Academy,IIMC Region III Conference,FRMA Conference,or other similar professional
the associated expenses do not exceed the allocated

Section 10.Termination by the City and Severance Pay
A.The City Clerk shall serve at the pleasure of the City Commission,and the City
Commission may terminate this Agreement and the City Clerk’s employment with the City at any
time,for any reason or for no reason.
B.Should a majority of the entire Commission (three members)vote to terminate the
services of the City Clerk “without cause”,then within ten (10)business days following such vote,
the Commission shall cause the City Clerk to be paid any accrued and unpaid salary and bene?ts
earned as of the date of the vote to terminate (including personal leave but excluding such items
and allowances as are used in conducting City business such as,but not limited to,cell phone
allowance.).Within forty-?ve (45)calendar days following the vote to terminate the City Clerk’s
employment “without cause”,the Commission shall cause the City Clerk to be paid a lump sum
severance pay equal to 20 weeks of her salary as full and complete payment and satisfaction of
any claims of the City Clerk of whatsoever nature arising out of this Agreement or otherwise.As
consideration for such payment,the City Clerk shall,prior to receipt thereof,execute and deliver
to the City a general release of the City and its Commission members and its officers,agents,and
employees for all acts and actions from the beginning of time until the date of release,in
substantially the foim which is attached hereto and made a part hereof as Appendix 1.Any
severance pay paid under this Section shall be in accordance with,and subject to the limits of,
Section 215 .425,Florida Statutes.If the City Clerk becomes pennanently disabled or is otherwise
unable to perform her duties because of sickness,accident,injury,mental incapacity or health,for
a period of 12 consecutive weeks or her accrued leave,whichever is longer,the City shall terminate
this agreement,subject to the severance pay provision containedin this subsection.
C.In the event the City Clerk is terminated “for cause,”the City shall have no
obligation to pay the amounts outlined in Section 10,paragraph B of this Agreement.For purposes
of this Agreement,“for cause”is de?ned and limited for purposes of this Agreement to any of the
following:
1.Conviction or a plea of guilty or no contest to a felony crime,or a misdemeanor
crime involving a breach of public trust,whether or not adjudication is withheld;
2.Violation of any substantive City policy,rule,or regulation,which would subject
any other City employee to termination;
3.Any intentional act involving moral turpitude causing substantial disrepute to the
City;or
4.“Misconduct,”as de?ned in Section 443.03 6(30),Florida Statutes.
Section 11.Termination by the City ClerkA.The City Clerk may terminate this Agreement or voluntarily resign at any time bydeliveringtotheCityCommissionawrittennoticeofterminationorvoluntaryresignationaminimumofforty—?ve(45)days prior to the effective date of the termination or resignation.In itssolediscretion,the City may waive,or shorten,the forty—?ve(45)day notice period by a majorityvoteoftheentireCommission(three members).Page 5 of11 Agenda Item #10.B.25 Oct 2021Page 47 of 77
B.If the City Clerk terminates this Agreement or voluntarily resigns after providing
the written notice required in Section ll(A),then the provisions of Section l0(B)above,shall not
apply.If the City Clerk terminates this Agreement or voluntarily resigns after providing the written
notice required in Section ll(A),the City shall pay to the City Clerk any accrued personal leave.
Other than paying the City Clerk any accrued compensation that she has earned as of the date of
her termination,the City shall have no further ?nancial obligation to City Clerk pursuant to this
Agreement,unless the City Commission by a majority vote of the entire Commission (three
members)agrees to provide any other consideration.In such event,and as consideration of said
approval,the City Clerk shall execute and deliver to the City the general release as referenced in
Section 10B hereof.
C.If the City Clerk terminates this Agreement or voluntarily resigns without providing
the notice required in Section ll(A)herein,the City shall not pay to the City Clerk any accrued
personal leave.Other than paying the City Clerk any accrued compensation that she has earned
as of the date of his termination,the City shall have no further ?nancial obligation to City Clerk
pursuant to this Agreement.
Section 12.Performance Evaluation
The City Commission shall perform an annual performance review of the City Clerk.
Section 13.Indemni?cation.
A.Subject to the limitations set forth in Section 768.28,Florida Statutes,and without
waiving the sovereign immunity of the City,the City shall defend,hold harmless,and indemnify
the City Clerk against any action for any injury or damage suffered as a result of any act,event,or
omission of action committed by the City Clerk within the scopeof her employment hereunder,
provided that the City Clerk timely reports the same to the City Commission and cooperates frilly
and honestly in the City’s defense thereof.The City may compromise and settle any such claim
or suit and pay the amount of any settlement or judgment rendered thereon.The provisions of this
Section shall not apply to any claim,demand,suit or cause brought or asserted against the City
Clerk for her acts or omissions committed while acting outside the course and scope of her
employment under this Agreement,committed in bad faith or with malicious purpose or in a
manner exhibiting wanton and willful disregard of human rights,safety,property or civil rights.
In such instance,the City shall be under no af?rmative obligation to indemnify or defend the City
Clerk and the City Clerk shall be solely responsible for all costs associated with her legal defense
and any settlement(s)or judgment(s)rendered in connection with the charged conduct.

The Code of Ethics promulgated by the Florida Association of City Clerks (FACC),as may
from time to time be amended,is incorporated herein,and by this reference made a part hereof.
Said Code of Ethics shall furnish principles to govern the City Clerk’s conduct and actions as City
Clerk of the City.
Section 16.General Terms and Conditions
A.This Agreement sets forth and establishes the entire understanding between the City
and the City Clerk relating to the employment of the City Clerk by the City.Any prior discussions
or‘representationsby or between the City and the City Clerk are merged into and rendered null and
void by this Agreement.The City and the City Clerk by mutual Written agreement may amend
any provision of this agreement during the life of the agreement.Such amendmentsshall be
incorporated and made a part of this Agreement.
B.This Agreement shall be binding on the City and the City Clerk as Well as their
heirs,assigns,executors,personal representatives and successors in interest.
C.This Agreement shall become effective on October 1,2021.
D.The invalidityor partial invalidity of any portion of this Agreement will not affect
the validity of any otherprovision.In the event that any provision of this Agreement is held to be
invalid,the remaining provisions shall be deemed to be in full force and effect as if they have been
executed by both the City and City Clerk subsequent to the expungement or judicial modi?cation
of the invalid provision.
E.The parties acknowledge that each has shared equally in the drafting and
preparation of this Agreement and,accordingly,no court construing this Agreement shall construe
it more strictly against one party than the other and every covenant,term and provision of this
Agreement shall be construed simply according to its fair meaning.
F.A default shall consist of the breach or anticipatory breach of any covenant,
agreement,representation,provision or warranty contained within this Agreement.If a default,
breach or anticipatory breach occurs,the party not in default may,at any time or from time to time,
pursue to enforce its remedies under this Agreement by suit in equity,action at law or by any other
appropriate proceeding,for damages or other relief,or proceed to take any action authorized or
permitted under applicable laws or regulations;provided,however,the parties shall,prior to
initiating any court proceedings,initiate and complete mediation with a Florida Supreme Court

SEPARATION OF EMPLOYMENT AND GENERAL RELEASE AND WAIVER
This Separation of Employment and General Release and Waiver Agreement (Agreement)is
made by and between the City of Atlantic Beach (City)and Donna Bartle (City Clerk).
WHEREAS,City has employed City Clerk;however the parties wish to enter into a voluntary
agreement to terminate their employment relationship and to resolve any actual or potential
claims that either party may have against the other by reason of City Clerk’s employment or
termination thereof.
WHEREAS,the parties desire to set foith the terms and conditions governing City Clerk’s
separation of employment and to provide for the settlement and release of any and all disputes or
controversies that have arisen,or which may hereafter arise,between City and City Clerk,
including without limitation,any and all claims arising out of or in any way related to City
Clerk’s employment with or separation from the City.
NOW THEREFORE,in consideration of the mutual covenants herein contained and the mutual
bene?ts to be derived therefrom,the suf?ciency of which consideration is hereby acknowledged
by the undersigned,City and City Clerk agree and state:
1.TERMINATION OF EMPLOYMENT
Upon their mutual agreement,City Clerk’s employment with City shall terminate on
,20_,which shall be (was)City Clerk’s ?nal date of employment.
2.NO ADMISSION OF LIABILITY
This Agreement is not an admission by City Clerk or City of any wrongful conduct whatsoever.
Both parties deny and disclaim any liability to or wrongful conduct against the other or any third

3.PAYMENT AND BENEFITS
City Clerk shall receive his/her last regular paycheck at the regular scheduled payroll date.
Within ten days of this Agreement,City Clerk shall receive an additional payment to compensate
for accumulated personal leave,subject to customary payroll deductions.
As consideration for this Agreement and the release contained within,and in full and complete
satisfaction of all obligations due and owing City Clerk,City shall:Pay City Clerk an amount
equal to twenty (20)weeks of her current salary,subject to customary payroll deductions.
4.SURRENDER AND VACATION OF EMPLOYER’S PROPERTYUponexecutionofthisAgreement,City Clerk shall deliver all of City’s property in his/herpossessionandfurther,shall vacate City’s property.5.RELEASE AND WAIVER OF CLAIMSInconsiderationofthebene?ts to be provided to City Clerk pursuant to this Agreement,CityClerkherebyirrevocablyandunconditionallyreleases,waives,acquits and discharges the Cityandeachofitspast,present and future elected of?cials,department heads,of?cers,employees,agents,representativesand attorneys from any and all charges,complaints,claims,liabilities,Page 9 of11 Agenda Item #10.B.25 Oct 2021Page 51 of 77

City hereby irrevocably and unconditionally releases,acquits and discharges City Clerk from any
and all charges,complaints,claims,liabilities,obligations,promises,agreements,controversies,
damages,actions,causes of action,suits,rights,demands,costs,losses,debts and expenses
(including attorneys’fees and costs actually incurred),of any nature whatsoever,whether known
or unknown,arising out of any act,omission,or event from the beginning of time up to the
execution of this Agreement.
6.REFERENCES AND NON—DISPARAGEMENT
If it is necessary for City to provide a reference to a prospective employer,City Clerk agrees that
he will direct the prospective employer to contact the Director of Human Resources at the City of
Atlantic Beach.Additionally,City Clerk and the electedofficials agree that they shall not
disparage or make untrue statements about each other;provided that this Section shall not apply
to comments made to any other governmental entity or as required by law.
7.REPRESENTATIONS AND WARRANTIES
The undersigned parties hereby represent and warrant the following to the other:
a.City Clerk represents and warrants that:he/she is legally and mentally competent to sign
this Agreement;he/she is the sole owner of any claims against the City;he/she has the
requisite capacity and authority to make this Agreement,and no portion of any existing
or potential claims has been sold,assigned or pledged to any third party;and he/she
presently possesses the exclusive right to receive all of the consideration paid in
exchange for this Agreement.
b.City Clerk represents and warrants that he/she has not and will not file any complaints,
charges or lawsuits against City or any of its past,present and future elected officials,
department heads,officers,employees,agents,representatives or attorneys with any
governmental agency or any court,including without limitation,any claim or matter of
any nature whatsoever related to or arising out of her employment with or separation of
his/her employment,except City Clerk expressly reserves the right to file a claim for
unemployment benefits.City Clerk further agrees to indemnify and hold City harmless
from any and all loss,costs,damages or expenses,including reasonable attorney fees
incurred by City,arising out of any claim that may hereafter be made by City Clerk or
any other party.

fully enforceable.
f.No promise or inducement has been made or offered,except as herein expressly set forth,
and this Agreement is executed without reliance upon any statement or representation by
any of the released parties or their representatives.
g.The language of all parts of this Agreement shall,in all cases,be construed as a whole,
according to its fair meaning,and not strictly for or against either party.
h.This Agreement and any amendments hereto may be executed in multiple counterparts by
the parties,or copied.Each counterpart or copy shall be deemed an original,but all
counterparts together shall constitute one and the same instrument.
8.JURISDICTION
This Agreement shall be governed by the laws of the State of Florida,and venue shall be in
Duval County,Florida.
9.BINDING EFFECT
This Agreement shall be binding upon and shall accrue to the bene?t of the parties hereto,their
respective heirs,personal representatives,successors in interest and assigns.

DONNA BUSSEY AS CITY CLERK,FIXING HER DUTIES AND RATE

WHEREAS,Article IV,Sec 28 of the Charter of the City of Atlantic Beach requires the
City Commissionto appoint a City Clerk,and
WHEREAS,Donna L.Bussey,hereinafter referred to as Employee,has been selected by
the City Commission,hereinafter referred to as Employer,to serve as the City Clerk,and
WHEREAS,the City Commission desires to establish the duties,compensation,and
bene?ts,of the City Clerk.

»NOW THEREFORE,be it resolved by the City Commission of the City of Atlantic
Beach as follows:
Section 1:Duties
The City Clerk shall perform the functions and duties speci?ed in Article IV of the City Charter
and such other legally permissible and proper duties and functions as the City Commission shall
from time to time assign.
Section 2:Term
It is the intent of the City Commission,as the governing body of Atlantic Beach,to appoint the
City Clerk for an inde?nite term and in ?irtherance thereof,Employee is hereby appointed as
City Clerk of Atlantic Beach effective October 11,2004,and continuing for an inde?nite term
thereafter;provided,however,that the inde?nite term shall be for a term of one (1)year which
shall be automatically renewed from year to year thereafter upon the anniversary date of such
appointment unless either party shall,prior to such anniversary date or at anytime,terminate or
cancel this agreement as hereinafter provided.
Nothing in this agreement shall prevent,limit or otherwise interfere with the right of the City
Commissionto terminate the services of Employee at any time,subject only to the provisions set
forth in Section 8 of this agreement.
Nothing in this agreement shall prevent,limit or otherwiseinterfere with the right ofthe

Section 6:Reduction of Bene?ts
Employer shall not at any time reduce the salary,compensation,or other ?nancial bene?ts of
Employee,except to the degree of such a reduction across—the—boaIdfor all City employees.
Section 7:Suspension
Employer may suspend the Employee with full pay and bene?ts at any time during the term of
their employment;but,only if the majority of the City Commission agrees.
Section 8:Termination and/orCancellation
Either party shall have the right to terminate or cancel this agreement and the employment
contemplated hereby without cause at any time.If the Agreement shall be canceled or
terminated by Employer,such cancellation shall be effective immediately upon the delivery by
Employer of its notice of desire to terminate or cancel to employee.Employee shall likewise
have the right to cancel or terminate this agreement without cause by the delivery of a notice of
cancellation to the Employer,at least thirty (30)days prior to the effective date of such ‘
cancellation or termination unless such written notice shall be waived by the Employer.In the
event of the termination or cancellation of employment by the Employer and during such time
that Employee is willing and able to perform duties under this agreement,then in that event,
Employer agrees to continue to pay salary and bene?ts for at least one hundred eight (180)
consecutive days from any preliminary written notice of termination.Employee shall also be
compensated for all earned personal leave,holidays and other accrued bene?ts to date.In the
event Employee is terminated because of conviction by a competent tribunal of any illegal act
constituting a misdemeanor involving a breach of public trust or a felony then,in that event,
Employer shall have no obligation to pay the aggregate severance sum designated above.
In the event Employer,at any time during the term of this agreement,reduces the salary orother
?nancial bene?ts of Employee in a greater percentage than an applicable across—the-board
reduction for all employees of the City,or in the event Employer refuses,following written
notice,to comply with any other provision bene?ting Employee,or the Employee resigns
following a suggestion,whether formal or informal,by the City Cornmissionthat she resign,
then,in that event,Employee may,at her option,be deemed to be "terminated"at the date of
such reduction or such refusal to comply within the meaning and context of the herein severance
pay provision.
The City may terminate the employment of the City Clerk hereunder without cause provided that
any termination or removal of the City Clerk shall be in accordance with the provision of the
City Charter.In such event,the City Clerk shall continue to be paid her salary and bene?ts for at
least one hundred eight (180)consecutive days from any preliminary written notice of
termination without cause.
Section 9:DisabilityIfEmployeeispermanentlydisabledorisotherwiseunable to perform her duties because ofsickness,accident,injury,mentalincapacity or health for a period of four successive weeksbeyondanyaccruedleave,Employer shall have the option to terminate employment of theEmployee,subject to the severance pay requirements of Section 8 and the Family Medical LeaveAct.
