First Amendment to Interlocal Agreement
Creating the Florida League of Cities
First Municipal Loan Program a-
,~ This amendatory agreement made and entered into as of
December 1, 1988 (the "First Amendment to Interlocal Agreement"),
amending that certain Interlocal Agreement by and between the
Public Agencies thereto, initially being Quincy, Florida and
Tallahassee, Florida (the "Original Interlocal Agreement") (as so
amended the "Interlocal Agreement") is between and by the Public
Agencies listed on Exhibit A attached hereto, which consists of
all of the Public Agencies who are parties to the Interlocal
Agreement as of the date hereof;
W I T N E S SET H
Whereas, pursuant to Florida Statutes 163.01, as amended
the Florida Legislature has allowed such Public Agencies to fund
self insurance reserves for liability claims; and
Whereas, the Council has determined that the Public
Agencies are desirous of expanding and amending the definition of
"Project" or "Projects" in the Original Interlocal Agreement in
order to allow certain participating Cities and Counties to take
advantage of the law allowing such funding of individual self
insurance reserves; and
Whereas, there are funds remaining from the proceeds of
Bonds issued pursuant to Section 4.01 of the Original Interlocal
Agreement;
Now, therefore, in consideration of these premises,
the Original Interlocal Agreement is hereby amended as follows:
ARTICLE I
Definitions
All capitalized terms used herein, and not amended here-
by, shall be ascribed the meanings assigned to such terms in the
Original Interlocal Agreement. The definition of the term "pro-
ject" shall be amended to include the following sentence at the
end of such definition; "The term "Project" includes any project
authorized pursuant to Section 163.01(7)(e), Florida Statutes, as
amended, provided that the Public Agency shall obtain an opinion
of nationally recognized bond counsel addressed to the Council

and such other parties as the Council may require stating that
such statutory purpose is a permitted use under the terms of the
Indenture for any Bonds issued pursuant to Section 4.Ol~ereof."
ARTICLE II
Amendment to Article VI
Under Article VI of the Original Interlocal Agreement
the following Section 6.11 shall be added: "Section 6.11. Any
Public Agency which shall have joined in this Agreement by becoming
a signatory hereto, may subsequently resign their membership in
the Council by filing the form attached hereto as Exhibit B with
the Board of Directors certifying that all of such Public Agency's
debts and obligations under its Participation Agreement and the
documents collateral thereto have been fully extinguished, such
resignation to be effective upon approval of the Council and the
filing by the Public Agency of Exhibit B with the Clerk of the
Circuit Court in the County where such Public Agency is located,
as of the date thereof. Upon such withdrawal such Public Agency
shall no longer be considered to be a member of the Council."
IN WITNESS WHEREOF, the First Amendment to Interlocal
Agreement has been executed by and on behalf of the Public~Agencies
listed on the attached Exhibit A as of December 1, 1988.

EXHIBIT A3
Pursuant to Resolution 88-24 of the City Commission of the
City of Atlantic Beach, dated November 28, 1988, and attached
hereto, Resolution 88-24, the undersigned W. I. Gulliford, Jr.
and Claude L. Mullis, the Mayor and the City Attorney,
respectively, of the City of Atlantic Beach, do hereby execute
this signature page on behalf of the City of Atlantic Beach and
authorize the attachment of the same to that certain First
Amendatory Interlocal Agreement by and among the City of Atlantic
Beach and certain other duly constituted Florida municipalities
and counties (collectively the "Public Agencies") pursuant to
which the Public Agencies as parties thereto have amended in the
Interlocal Agreement.
The Board of Directors is hereby authorized in accordance
with the provisions of the Resolution and the First Amendatory
Interlocal Agreement to attach this signature page as a part of
Exhibit A to the First Amendatory Interlocal Agreement as
evidence of the execution of said First Amendatory Interlocal
Agreement by the City of Atlantic Beach and the agreement of the
City of Atlantic Beach to be bound by all of the terms thereof.
IN WITNESS WHEREOF, the undersigned have set their hand and
impressed hereon the official seal of the City of Atlantic Beach,
this 2Rth day of November 1988.
