SECURITY DEPOSIT The Lessor hereby acknowledges receipt of the stun of $ N/A as security for the full, faithful and punctual performance by the Lessee of the Lessee's covenants and agreements contained herein, and if Lessee shall abide by all the covenants and agreements contained herein, and shall deliver up to Lessor the demised property at the end of the term or when this agreement is terminated in the same condition as when originally demised to the Lessee by the Lessor, ordinary wear and tear excepted, such sum shall be rettuned to Lessee, without interest, but otherwise such stun shall be retained by Lessor. The rights of the Lessor against the Lessee for a breach of the Lessee' covenants and agreements contained herein shall in no way be limited or restricted by said security deposit, but the Lessor shall have the absolute right to pursue any available remedy to protect the Lessor's interest herein as if security deposit has not been made. 3. DEFAULT Each of the following events shall be a default hereunder by Lessee and a breach of this Lease Agreement: (a) If Lessee shall fail to pay to Lessor any rent or sales or use tax thereon as and when the same shall become due and payable and shall not make such payment within three (3) days after notice thereof by Lessor to Lessee; (b) If Lessee or any successor or assignee of Lessee, while in possession, shall file a petition in bankruptcy or insolvency or for reorganization or arrangement under the Bankruptcy Act of any State, or shall voluntarily take advantage of any such law or act by answer or otherwise, or shall take an assignment for the benefit or creditors, or, if Lessee be a corporation, shall be dissolved, voluntarily or involuntarily; (c) If involuntary proceedings under any such bankruptcy law or insolvency act or for the dissolution of a corporation shall be instituted against Lessee or such successor or assignee, or if a receiver or trustee shall be appointed of all or substantially all of the property of Lessee or such successor or assignee; (d) If Lessee shall fail to perform any of the conditions on Lessee's part to be performed and if such nonperformance shall continue for a period of ten (10) days after notice thereof by Lessor to Lessee, or if such performance cannot be reasonably had within such ten (10) days period, Lessee shall not in good faith have commenced such performance with such ten (10) day period and shall not diligently proceed therewith to completion; (Page 3 of 14) (e) If Lessee shall vacate or abandon the demised premises for a period often (10) days or more; (f} If this Lease or the interest of Lessee hereunder shall be transferred or assigned in a manner other than herein permitted; or (~) If Lessee fails to take possession of the demised premises on the term commencement date or within ten (10} days after notice that the demised premises are available for occupancy, if the term commencement date is not fixed herein, and if such occupancy date shall not be deferred in writing by Lessor. 4. LESSOR DEFAULT OPTIONS In the event of the occurrence of any default specified hereunder, the Lessor shall have the option, upon ten (10) days' written notice to the Lessee to: (a) Terminate this lease, resume possession of the property for his own account, and recover immediately from the Lessee the difference between the rent specified in this lease and the fair rental value of the property for the remainder of the term, reduced to present worth; or (b) Resume possession and re-lease or rent the property for the remainder of the term for the account of the Lessee, and recover from the Lessee, at the end of the term or at the time each payment of rent comes due under this lease as the Lessor may choose, the difference between the rent specified in the lease and the rent received on the re-leasing or renting. In either event, the Lessor shall also recover all expenses incurred by reason of the breach, including reasonable attorneys' fees. 5. QUIET ENJOYMENT Lessee hereby acknowledges that it has received the premises in thoroughly good and tenantable order, health, safe condition and repair, of which the execution of this Lease, and Lessee's taking of possession hereunder, shall be conclusive evidence, and Lessee hereby further covenants that it will not permit, commit or suffer any noise, disturbance or nuisance whatsoever, nor allow any unhealthy, unsafe or untenantable condition on said premises which shall be detrimental to the premises or annoying to the neighbors and, in the opinion of the Lessor, should said premises not be so maintained, then, in that event, this shall constitute a default under the terms of this Lease Agreement, and Lessor shall have all the remedies set out hereunder in the event of default. In return for Lessee's proper performance of all the lease obligations, the Lessor agrees to allow the Lessee to hold possession of the premises in peace and without unreasonable disturbance. (Page 4 of 14) 6. OPERATION OF THE SHOPPING CENTER (a) The Lessor will operate and maintain the Shopping Center in such manner as would a prudent Lessor of a similar shopping center having regard to size, age and Location. (b) The Shopping Center is at all times subject to the exclusive control, management, and operation of the Lessor. The Lessor has the right, in its control, management and operation of the Shopping Center or in order to comply with governmental authorities, to at any time or times: (i) obstruct or close off all or any part of the Shopping Center for the purpose of maintenance, repair or construction; (ii) make any relocations) or rearrangement of or modifications to the site plan or the buildings and improvements on the Shopping Center lands and construct additional buildings or other improvements on the Shopping Center lands; and (iii} relocate or rearrange the Leased Premises. If the Lessor elects to relocate the Leased Premises from its existing location at any time after the Lessee has opened for business, then the Lessor agrees to pay the Lessee all reasonable third party out-of-pocket moving expenses directly incurred by the Lessee in connection with the relocation of rearrangement and to provide the Lessee with new premises in the same or similar state of condition in which the Leased Premises were delivered by the Lessor to the Lessee on initial occupancy of the Lease Premises. (c) In the exercise of its rights under this pazagraph, the Lessor will use its best efforts to ensure that traffic ingress and egress to and from the Leased Premises is not unreasonably interfered with. (d) The Lessor will proceed as expeditiously as possibly to complete its work and other activities so as to minimize interference with the Lessee's business. Notwithstanding the foregoing, the Lessor is not subject to any liability, nor is the Lessee entitled to any compensation or abatement of Rent as a result of the Lessor's exercise of its rights conferred under this paragraph or any other provisions of this Lease. 7. ASSIGNMENT The Lessee covenants and agrees not to assign, transfer, mortgage, pledge or hypothecate this leasehold or to sublet the demised premises or any part thereof without the prior written consent of the Lessor. Said written consent by Lessor should not be unreasonably withheld. Any transfer of this Lease from the Lessee by merger, consolidation or liquidation shall constitute an assignment for the purposes of this Lease. 8. ALTERATIONS The Lessee shall not make any alterations or changes in the demised premises without the prior written consent of the Lessor. Lessee may change locks on Demised Premises upon opening for business. (Page 5 of 14) 9. SECURITY FOR PAYMENT OR RENTS The Lessee hereby pledges with and assigns unto the Lessor all of the furniture, fixtures, goods and chattel of said Lessee which may be brought or put on the demised premises, and which are presently on said premises, as security for the payment of the rents herein reserved, and agrees that the Lessor's lien for the payment of said rent may be enforced by distress, foreclosure or otherwise at the option of Lessor. 10. PREMISES Lessee agrees that all merchandise, boxes, furniture, equipment, etc., shall be kept in the premises upon delivery and that Lessee will keep the exterior of the premises, including all common passageways, sidewalks, alleyways and entranceways, free from all merchandise, boxes, fiuiture, equipment, refuse and debris at all times. 11. LEGAL ACTION Lessee shall indemnify and save harmless said Lessor from and against any and all claims, suits, actions, damages or causes of action arising during the term of this Lease for any personal injury, loss of life, or damage to property sustained in or about the leased premises by reason or as a result of Lessee's occupancy thereof and from and against any orders, judgements or decrees which may be entered thereon and from and against all costs, attorneys' fees, expenses and liabilities incurred in and about the defense of any such claim in the investigation thereof. LIABILITY INSURANCE Lessee agrees, at its own expense, to maintain in full force and effect during the lease term, a policy or policies or "Comprehensive Public Liability" insurance including property damage, resulting out of business activity, including but not limited to burglary and vandalism, written by one or more responsible insurance companies licensed to do business in the State of Florida, which will insure Lessee and Lessor (and such other persons, firms, or corporation as are designed by Lessor) against liability for injury to persons and/or property and death of any person or persons incurring in or about the premises. Each policy shall be approved as to form and insurance company by Lessor, and the liability under such insurance shall not be less than $500,000.00 for any one person injured or killed, and not less than $1,000,000.00 for any one accident, and not less that $100,000.00 property damage. The Lessee is responsible for repairing any damage to the demised premises due to a break in to Lessee's leased premises. Lessee's insurance should include coverage to repair said damage. 13. SUBORDINATION It is agreed by Lessee that this Lease shall be subject and subordinate to any mortgage, deed of trust, or other liens now on the premises or which may hereafter be made on account of any proposed loan to be placed on said premises by the Lessor to the full extent of all debts and chazges secured thereby; and to any renewals, extensions and modifications of all or any part thereof which Lessor may hereafter, at any time, elect to place on said premises, and Lessee agrees upon request to hereafter execute any paper or papers which counsel for the Lessor may deem necessary to accomplish that end, and in default of Lessee's doing so the Lessor is hereby empowered to execute such paper or papers, in the name of the Lessee, and as the act and deed of said Lessee, and this authority is declared to be coupled with an interest and not revocable. 14. LIEN5 Lessee shall keep the demised premises, and the property in which the demised premises are located, free from any liens arising out of any work performed, materials furnished, or any obligations incurred by Lessee, it being expressly acknowledged that the leasehold interest hereby demised shall not be subject to any such liens. SERVICES The Lessee agrees that it will contract for and provide the following services at its expense: (a) Electricity (b} Water (c) Sewer and Garbage Service (d) The Lessor will provide the following services: (a) None (b) (c) (d) LESSEE SHALL BE REQUIRED TO PAY ANY DOWNSTREAM POLLUTION CHARGES AND ANY OTI-IER CHARGES REQUIRED BY HIS BUSINESS. LESSOR SHALL ONLY PROVIDE THE ITEMS SPECIFIED IN THIS LEASE. Except as specifically provided for herein, the Lessor is not obligated to provide any services to the Lessee. 16. PLATE GLASS INSURANCE Lessee shall obtain and maintain, at its own expense, "plate glass" insurance coverage on all exterior plate glass in the leased premises. 17. HAZARDOUS TRADE Lessee agrees that no hazardous trade or occupation shall be permitted or carried on in or on the premises, and nothing will be done or permitted, and nothing will be kept in or about the premises which will increase the risk or hazard of fire or damage so as to increase Lessor's hazazd insurance premium or cause Lessor's hazard insurance policy to be void. The Lessee further covenants not to conduct any business that is contrary to, or in violation of the laws of the United States of America, or the State of Florida, or the ordinances of any county or municipality in which the lease premises may be located. 18. ENTRY FOR REPAIRS Lessor or Lessor's authorized agent may, at any reasonable time, enter and view said premises and make any repairs which, in Lessor's opinion, maybe necessary. (Page 8 of 14) 19. WAIVER OF BREACH Lessor's waiver of breach of any one covenant or condition of this Lease is not a waiver of breach of others, nor a waiver of any subsequent breach of the one waived. Lessor's acceptance of any rent installment, after breach, is not a waiver of the breach, and a waiver of the breach of the Lessee's covenant to pay any rent installments when due shall not be construed to be a waiver of Lessor's right to refuse any such delinquent payments in the future. 20. CASUALTY DAMAGE In the event the premises are destroyed or so damaged by fire of other casualty during the term of this Agreement so that they become untenantable, then in that event the Lessor shall have the right to render said premises tenantable by making the necessary repairs within ninety (90) days therefrom and if said premises are not rendered tenantable within said time, it shall be optional with either party to cancel this Lease and, in the event of such cancellation, the rent shall be paid only to the date of such fire or casualty. If the whole of the demised premises or such portion thereof as will make the demised premises unsuitable for the purpose herein leased is condemned for any public use or purpose by any legally constituted authority, then in either of such events, the Lease shall terminate as of the date when possession is taken by such public authority and rental shall be payable by Lessee only to such date. If any part of the demised premises shall be condemned and taken without causing a termination pursuant to the above paragraph, then the Lessor at its option shall have the right to either terminate the Lease upon written notice within sixty (60) days after said taking, or to continue the term of said Lease, in which event the rental shall be equitably reduced in proportion to the space so taken (but not for pazking space so taken), and Lessor shall, at its own cost and expense, restore the remaining portion of the demised premises to the extent necessary to render it reasonably suitable for the purposes for which it was leased, and make all repairs to the building in which the demised premises are relocated to the extent necessary to constitute the building a complete architectural unit. All compensation awarded or paid upon such a total or partial taking of the demised premises shall belong to and be the property of the Lessor without any participation by Lessee, and Lessee hereby assigns to Lessor any award made to Lessee; provided, however, that nothing contained herein shall be construed to preclude the Lessee from prosecuting any claim directly against the condemning authority in such condemnation proceedings for loss of (Page 9 of 14) business, or depreciation to, damage to, or cost of removal of, or for the value of, stock, trade, fixtures, furniture, and other personal property belonging to the Lessee, provided that no such claim shall diminish or otherwise adversely affect the Lessor's award. 21. QPTION TO RENEW The Lessee shall have and it is hereby given, if at the applicable time no default exists hereunder, the privilege of TWO (~) successive renewal(s) of this lease, each said renewal to be for a period of FIVF (~.) year(s). With respect to each renewal term, the annual base rent shall be the base rent provided for in paragraph 1 hereof. In the event Lessee desires to exercise this option, Lessee shall do so by written notice given to Lessor at least six (6) months prior to the expiration of the initial term of this lease. 22. COMMON AREA MAINTENANCE During the term of this Lease, and any extensions and renewals hereof, the Lessee shall be responsible for, and will pay to the Lessor, its proportionate shaze of real estate taxes, ad valorem taxes and special assessments assessed against the premises of which the demised premises aze a part based on the proportion which the total squaze footage of the demised premises bears to the total square footage of all of the premises included in the assessment. Lessor and Lessee agree that said proportionate share is 144..°l° of the whole. Said proportionate share may vary from tune to time as the total square footage of the improvements may vary. Lessee shall also pay to the Lessor the sum of * ($~ per square foot of the premises leased herein per year for common area maintenance adjacent to the premises herein, with said sum due and payable in monthly installments. Said sum shall increase each year by the same percentage that the rent increases according to paragraph 1. The failure of the Lessee to pay said sum or Lessees' proportionate share of such taxes and assessments as provided herein shall constitute a default of the covenants contained herein, and Lessor shall be entitled to exercise all of the remedies provided for herein for such default. Nothing contained in this paragraph shall be construed as placing the Lessor under a duty for common area maintenance. *Lessee to Maintain. 23. BINDING AGREEMENT This Lease Agreement shall inure to and be binding upon the successors, assigns, heirs and administrators of the parties hereto. (Page 10 of 14) 24. NULL & VOID It is hereby agreed by and between the parties that the finding of any provision, clause or para~aph of this Lease to be null and void or unenforceable shall not have effect upon the remaining provisions of the Lease, and all other provisions shall remain in full force and effect. 25. SIGNS Lessor must approve all signs before erection or painting at the demised premises. 26. AII2 CONDITIONING Lessor has installed central heat and air to adequately supply the premises. Any subsequent service, repairs, or replacement of said unit after the installation thereof shall be the sole responsibility of the Lessee. 27. MAINTENANCE AND REPAIRS Lessee shall at all times keep the demised premises including exterior entrances, all glass and show window moldings, and all partitions, doors, fixtures, and equipment thereof and all appurtenances thereto (including lighting, heating and plumbing fixtures, and any air conditioning system) in good order, condition and repair (including reasonable periodic painting as needed) damage by unavoidable casualty excepted, except for structural portions of the premises, which shall be maintained by Lessor, but if the Lessor is required to make repairs to structural portions by reason of Lessees' negligent act or omission to act, then Lessee shall be obligated for the cost of such repairs and shall pay Lessor for same upon demand. If Lessee refuses or neglects to repair properly and to the reasonable satisfaction of Lessor, Lessor may make such repairs without liability to Lessee for any loss or damage that may accrue to Lessee's merchandise, fixtures, or other property or to Lessee's business by reason thereof, and without waiving any of Lessor's remedies for Lessee's default, and Lessee shall pay Lessor's cost for making such repairs, upon presentation of bill therefore. 28. INSURANCE POLICIES All insurance policies required to be maintained by the Lessee under the terms of this Lease Agreement shall name the Lessor and Lessee as loss payee. (Page 11 of 14) 29. USE (a) The premises are restricted to use as a (b) The premises MAY NOT be used for the retail sale of merchandise customarily sold at stores operated by or under lease from Lessor or at grocery stores of the type commonly called "convenience stores", including but not limited to groceries, produce, meat, dairy products, beer, wine and alcoholic beverages, gasoline and petroleum products, sundries, or for any unlawful purpose. 30. INABILITY TO PERFORM If Lessor is delayed or prevented from performing any of its obligations under this Lease by reason of strike or civil disorder then the time period of such delay or such prevention shall be deemed added to the time herein provided for the performance of any such obligation by LESSOR. 31. INSURANCE Lessor, at its expense, shall also maintain and provide during the term of this Lease and any renewals thereof, fire and extended coverage insurance insuring the premises, excluding any personal property or fixtures contained herein, in an amount equal to the full insurable value of the premises. Lessee agrees to reimburse Lessor for all of that portion of the premiums on all such policies of insurance, currently 100 %. Additionally, Lessee agrees to reimburse Lessor for a prorata portion of the remainder of such insurance premiums in an amount which bears the same ratio to the total amount of such premiums as the total area of the leased premises bears to the gross leasable area of the shopping center, as it may exist from time to time. 32. ZONING AND OCCUPATIONAL LICENSE The Lessee shall be responsible to determine for himself/herself that the purpose for which he/she intends to use the leased premises is allowed under the current zoning and occupational license rules and regulations. The Lessor shall not be held liable for any damages or expenses incurred by the Lessee in the event the Lessee is not allowed to occupy or conduct his business out of the leased premises for any reason. 33. FUNDS Lessee shall pay to Lessor, on the day monthly installment of Lease amount is payable under the Lease, a sum (herein "Funds") equal to one-twelfth of the yearly taxes and assessments, plus one-twelfth of yearly premium installments for hazard insurance, all as reasonably estimated (Page 12 of 14) initially and from time to time by Lessor on the basis of assessments and bills and reasonable estimates thereof. The Funds shall be held in an institution the deposits or accounts of which are insured or guaranteed by a Federal or state agency. Said account may be an interest bearing account. Lessor shall apply the Funds to pay said taxes, assessments and insurance premiums. Lessor shall make no charge for so holding and applying the Funds or verifying and compiling said assessments and bills, however any interest earned shall be retained by Lessor. Lessor shall give to Lessee, without charge, an annual accounting of the Funds showing credits and debits to the Funds and the purpose for which each debit to the Funds was made. The Funds are pledged as additional security for the sums required by this Lease. If the amount of the Funds held by Lessor together with the future monthly installments of Funds payable prior to the due dates of taxes, assessments and insurance premiums shall exceed the amount required to pay said taxes, assessments and insurance premiums as they fall due, such excess shall be, at Lessee's option, either promptly repaid to Lessee or credited to Lessee's next monthly installment of Funds. If the amount of the Funds held by Lessor shall not be sufficient to pay the taxes, assessments and insurance premiums, as they fall due, Lessee shall pay to Lessor any amount necessary to make up the deficiency within thirty (30) days after notice from Lessor to Lessee requesting payment thereof. 34. ATTORNEY FEES In the event of a breach of any of the terms or conditions of this lease, the prevailing party in any legal action to enforce the rights created by this lease shall be entitled to reasonable compensation for attorney's fees from the non-prevailing party. 35. Upon the terms and conditions herein contained, the City agrees to provide potable water and domestic sewer services to the User's Property. The term "domestic sewage" used in this paragraph and referred to throughout this Agreement is defined as follows: Human waste including liquids and solid matter carried from plumbing fixtures normally carried off by drains and sewers, anal except where specifically excluded bath and toilet wastes, laundry wastes, kitchen wastes and other similar wastes. It does not include commercial or industrial waste. 2. City agrees that after User. has connected to the system, :_ thereafter City will provide, at its costs and expense, but in accordance with other provisions of this Agreement, including rules and regulations and rate schedules, sewer service and water service to User's Property in a manner conforming to reasonable requirements of public governmental agencies having jurisdiction over City's water and sewer operations. 3. User shall, at .its costs and expense, install all of the potable water distribution and damesti~ sewage collection lines which may be required on User's property, including engineering cosh to connect City's plant to~.the User's property, and all other facilities necessary to make it possible for the City to provide adequate potable water and domestic sewage service. If buildings more than two stories in height are constructed on the User's property, the User, at its own expense, agrees to furnish to the City any equipment which may be necessary for pumping potable water to the additional height with associated back.-flaw preventers, (3) At all times during the construction of the potable water and domestic sewer lines and related equipment, the City shall have access to the construction and the right to inspect the construction to insure that the lines and related equipment are being installed in accordance with the plans and specifications approved by the City. User shall construct the domestic sewage disposal lines in such a manner as to insure that no water from air conditioning systems, ice machines, swi.urndng pools or any other formof condensate water shall flaw into the domestic sewage disposal lines of the City and nothing other than sewage in its strictest sense shall be discharged into the domestic sewage disposal system of the City. City shall inspect all connections made by contractors, plumbers, builders, etc. to any portion of the sewer system that discharges into the sewage collection system awned or operated by City or contemplated to be owned anal operated by City under the terms and conditions of this Agreement prior to being covered up. City shall only be obligated and will only provide water and sewer service to User's property upon 100% completion of all terms and conditions of this Agreement. 4. User shall pay a planning and inspection fee in order to defray all actual costs to City of preparing and executing this Agreement, including any attorney's fees; and conducting the inspection and testing of the installation of the User's Extension; and all other administrative costs incident to accepting the User's extension, Said fee shall be equal to one half of building permit fee. 5. User shall pay City a "Sewer Impact Fee" of $1,035.00 per residential wit and a water impact fee of $10.00 per fixture unit/or as otherwise (4) provided in the City's Code of Ordinances, 6. The City shall provide water and sewer service. to User's property upon payment to City of the standard meter charges as provided in the City's Code of Ordinances ($85.00/ 5/8 x 3/4 inch meter), 7. Payment of the Sewer Inpact Fee, Water Impact Fee, Plarmi„g/ Inspection Fee and Water 2~Ieter Charges, shall be made in full at the time City approves the plans. 8. In the event, at a future date, City's charges, rate schedules or fees are revised, subject to the operating rules and regulations and approval of governmental authorities having jurisdiction, then in that event, User and/or assigns shall pay the charges, rates or ..fees then in effect on date of payment. 9. Hydraulic share of main extensions--payment or refund; User recognizes that water or se~,rer utility service to th User's property is provided by the use of_ a main extension and other improvements constructed by a prior developer and that User is obligated to refund to said prior developer User's share of the cost of said main extension or other improvements. Accordingly, User shall pay its pro rata share of the cost of said main extension or other improvements to City. Said pro rata share shall be based on Developer's percentage of the hydraulic capacity of said extension or other improvements. User sha11 at his expense, make such repairs as are required to restore said potable water or domestic sewer lines to the condition which existed before such damage occurred, but in the event User does not restore said potable water or domestic sewer lines (but this clause shall not be .construed as to require the City to make such reparis or restoration), User shall provide the City and its agents adequate access and facilities for the making of said repairs.. All costs incurred by the City in making such repair$ shall become immediately due and payable and shall be considered in all respects the same as if said charge had arisen in connection with the rendition of the regular services of the City, 11. Notwithstanding any provision of this Agreement, the City sha11 have no obligation to provide sewer services to any customer producing sewage which is unusually burdensome,. unusually costly to process or substantially detrimental to the sewage system. 12. 'lfiis Agreement shall be beinding upon the parties hereto, their successors in interest, grantees, transferees and assigns. In the event User transfers any part of the User's property, it will cause its transferee to comply (~> in all respects with the provisions of this Agreement. 13. In the event the City sells either its sewer treatment plant or collection system or its water treatment plant or water distribution system to any governmental body or any other purchaser, then, in such events, this Agreement shall terminate as to the City on any protion sold and all of its obligations or liabilities hereunder shall cease and determine for that portion sold. 14. The City may shut off the water to the User or any other person and refuse to accept sewage from the User or any other person if the User or any other persons shall fail to pay any sums due hereunder when the same becaue due and payable. Nothing herein contained, however ,. not any action taken by the City in pursuance hereof shall impair any other remedy which the City might have, at law or equity, for breach of this Agreement by Caner or any other person. . 15. City does not guarantee an uninterrupted supply of water for any purpose or water at any particular pressure for any purpose and reserves and shall have the right to shut off the water in its main at any time for the purpose of making repairs or extensions or for other purposes incidental to its water supply and will not be responsible for any damage caused by law pressure. City shall have the right to turn off water service at the main where the User has been found to be useing water illegally, and to assess a fee for restoration of service. 16. The City shall have the right. to assign and transfer this Agreement at any time provided., however, that no such assignment or transfer shall impair the rights or increase the obligations to the User or any other person pursuant to this Agreement. (7) 17. Unless sooner terminated as provided herein, the initial term of this Agreement shall be 15 years. After the initial term of 15 years from the date of the execution of this Agreement, the terms of this Agreement shall automatically be renewed for successive terms of five (5) years each, unless written notice of termination of this Agreet~n.t is provided by either party hereto, not less than ninety (90) days prior to the crnm~encemernt of any such renewal period. 18. It is expressly agreed and understood between User and City that there are no other written or verbal agreements applicable herein. between User and City. 19. This Agreement may be amended and modified from time to time as necessary by mutual written. agreement of the parties hereto. While this business is a service establishment, it is not a service station for the sale of gasoline or performing automotive repair work. The only automotive servicing done at this location by Super-Cube, Inc. is to change engine oil filters in a two bay work area. Vehicular movement into the work bay is in a one-way direction with entry on one side of the building and exiting on the building's opposite side. The gross square - footage area of this building will be 1,080 sq.ft. (30 ft, by 36 ft.), with four (4) parking spaces. The site itself now contains 12,410.67 sq.ft. with an additional 1,122.98 sq.ft. being purchased in order to comply with the current variance cellar limit of 13,500 sq.ft, for a service business. This additional area measures 7.5 ft. by 149.73 ft. and is situated along the site's westerly property line, as shown on the attached preliminary engineering drawing. This drawing also indicates the utilization of the overall development's master plan for drainage, potable water and sanitary sewer facilities. Therefore, we ask this variance request to reduce the square-footage requirement to 13,500 sq.ft, to be considered and acted upon as quickly as possible.
