SCHEDULED INSPECTIONS
Requests for inspections are taken from 8:00 a.m. to 5:00 p.m. Monday through Friday at
247-5826. Requests can be scheduled after hours by leaving a message on the voice mail system. Inspections
are made the following working day; please specify a.m. or p.m. inspection. When calling in an inspection,
please have the permit number, job location and type of inspection needed. Inspections are scheduled as
follows:
I. Footing
2. Under slab plumbing/sewer/electric
3. Slab
4. Cover up: Framing, Rough Electric, Mechanical and Plumbing.
(This is different from other jurisdictions)
5. Insulation
6. Final Inspection (includes drainage, trees, landscape and site inspection)
Finished floor elevation survey required prior to issuance of Certificate of Occupancy.
BUILDING CARD MUST BE POSTED OR NO INSPECTIONS WILL BE MADE.
Concrete cannot be poured and work cannot be covered up until building card is SIGNED by the inspector.
You may be required to uncover any work that has not been inspected. It is the responsibility of the
BUILDER/CONTRACTOR to post the building card. A fee of$35.00 is charged for all re-inspections.
NOTE: This application may be subject to covenants and restrictions for the permitted property. The
enforcement of the covenants and restrictions are the responsibility of the homeowner's association.

product Product Use:FLINTLASTIC GTA is designed for use as a roofing membrane over various types
Information of substrates for both new construction and reroofing installations. It is suitable for most low
sloped roof decks and may be used for roof system flashings including wall treatments, base
flashings and field flashings.
Limitations. FILINTLASTIC GTA is intended for torch application only and should not be exposed
to adhesives or solvent based materials. Rolls should be stored upright, off ground, completely
protected from the weather. Roof decks shall be structurally sound, dry, smooth and
meet or exceed minimum requirements of the deck manufacturer, local code and CertainTeed.
Additional specifications and precautions are contained in the CertainTeed Commercial Roof
Systems Specification Manual.
Product Composition and Features. FLINTLASTIC modified bitumen membranes are
manufactured on state-of-the-art, dedicated roofing lines that were exclusively designed for the
production of modified bitumen products. FLINTLASTIC GTA is produced with a high
performance, non-woven polyester mat which is impregnated and coated with a superior grade,

Product FILINTLASTIC modified bitumen roofing systems shall be applied in accordance with installation
Application procedures contained in the CertainTeed Commercial Roof Systems Specification Manual. The
following information is intended for general information purposes only and is not all-inclusive.
Preparation:Substrates to receive a roof system shall be firmly attached, smooth, dry, clean and
free of sharp projections and depressions. Substrates requiring priming shall be primed with
asphalt primer such as CertainTeed's FlintPrime'and be allowed to completely dry. Substrates
shall provide positive drainage. Roof shall be tapered to drains.
Installation. Install one ply of GLASBASE or other CertainTeed approved alternate base sheet
lapping 2" on sides and 4" on ends. Base sheet shall be mechanically fastened to nailable
substrates, and either solid or spot mopped in hot asphalt to non-nailable or insulated
substrates as specified in the CertainTeed Commercial Roof Systems Specification Manual.
Apply base sheet in such a manner to provide and maintain a minimum 6" offset between side
and end laps of base ply and FLINTLASTIC finishing membrane. Over the base ply, install one
ply of FLINTLASTIC GTA lapping 31/4" on sides and 6" on ends with end laps diagonally
staggered not less than 3 feet apart. Side and end laps should be inspected to ensure
a minimum 3/8" flow of modified compound has been achieved.
Precautions. Cold weather applications require special handling to prevent damage to the rolls
and to ensure satisfactory installation. Do not apply roofing systems over improperly prepared
substrates or substrates which contain moisture, Follow all safety recommendations relating to
the use and maintenance of liquid propane gas torches and equipment. Refer to the CertainTeed
Commercial Roof Systems Specification Manual for additional safety information.
Maintenance: FLINTLASTIC Roof Systems do not require any additional maintenance beyond
normal yearly roof maintenance procedures. CertainTeed recommends regular roof maintenance
and inspection to determine the condition of drains, flashings and other similar items, and to
prolong the life expectancy of the roof system.
Warranties CertainTeed offers a number of different types of Roof Membrane Warranties designed to meet
the building owner's specific requirements. Please contact your nearest CertainTeed office for

Fire Hazard The roofing applicator is solely responsible for ensuring and enforcing safe and proper application
of CertainTeed's roofing products by competent and qualified personnel. Only properly trained
roofing professionals are authorized to install this product.
Never apply flame directly to combustible materials or allow the flame to enter into hidden
or protected areas that may contain combustible materials. Follow all local code requirements.
Have a Class A-B-C fire extinguisher available to each applicator. Thoroughly inspect the
job site whenever torching equipment has been used. Be certain that all chances of a fire
have been eliminated.

1. Formation. The Company's records book contains a copy of its formation document filed

2. Name and Purpose. The Company's formal name is stated above. The Company may do
business Linder a different name by complying with applicable fictitious name or assumed name laws.

The Company's purpose will be to acquire residential property in the North Florida Area.
The initial purchase will consist of 7 townhouses on Cavalla Drive,Atlantic Beach,Florida. It is the
intention of the Company to acquire future properties that offer high appreciation opportunities and
which have start up positive cash flow. The Company for the purpose of renovation and
enhancement will maintain all profits during the first three years of ownership of a property.

any duties associated with such membership. Members may be paid, however, for any services
provided in any other capacity for the Company, whether as managers, officers, employees,

6. Membershir)Meetings. The Company shall hold an annual membership meeting on the
first Tuesday of May, or at the time and place decided by management and communicated to all
members between 30 and 60 days before the regular meeting. In addition, any member may call a

members. Special membership meetings shall take place at the time and place stated in the meeting
notification. Any business may be discussed and conducted at membership meetings.
Membership meetings may be held without the attendance of all members as long as
members holding a majority of membership interests attend the meeting. Written notice of the
decisions or approvals made at all membership meetings shall be mailed or delivered to each non-
attending member promptly after the meeting. Written minutes of the discussions and proposals at a
membership meeting, and the votes taken and matters approved at such meeting, shall be taken by
one of the members or a person designated at the meeting.
A copy of the minutes of the meeting shall be placed in the Company's records book after the
meetina. Action required or permitted to be taken at an annual or special membership meeting may

be taken pursuant to written consent. Action by written consent may be taken without a meeting,
without prior notice, and without a vote.

7. Membership Certificates. The Company may issue certificates representing membership
interests (also called units) in the Company. Each certificate shall show the name of the Company,
the name of the member, and any additional information considered appropriate by management.
Each membership certificate shall be consecutively numbered and signed by two members,managers
or officers of this Company. In addition to the above infortriation, all membership certificates shall
bear a prominent legend referring to any applicable transfer restrictions.
IV. TAX AND FINANCIAL MATTERS
1. Tax Treatment. It is anticipated that this Company will not be treated as a Company Linder
federal income tax law. Instead,this Company will be treated for federal income tax purposes in the
same manner as a membership, unless there is only one member, in which case the Company may
choose to be disregarded as an entity for federal income tax purposes. It is further understood that
the members do not consider each other members or joint venturers, except for federal and state
income tax purposes.
2. Annual Income Tax Returns and Reports. Within 75 days after the end of each tax year of
the Company, a copy of the Company's state and federal income tax returns for the preceding tax
year shall be mailed or otherwise provided to each member of the Company, together with any
additional information and forms necessary for each member to complete their individual state and
federal income tax returns.
3. Bank Accounts. The Company�s management shall designate one or more banks or other

institutions for the deposit of the funds of the Company, and shall establish such accounts as are
reasonable and necessary for its business and investments.
4. Distributions. The Company will distribute to the members every year sufficient cash
from the Company's profits to cover their projected income tax liability for their distributive share of
items reported by the Company in Schedule K-1,unless all of the membership interests vote against
such distribution. All other distributions of the Company's profits will be made from time to time
when and if approved by a majority of the membership interests.
V. CAPITAL
1. Capital Contributions by Members. Members shall make the initial capital contributions
of cash,property or services approved by a unanimous vote of members. The initial contribution of
each member shall be $12,500.00.
. 2. Additional Contributions by Members. The members may agree from time to time by
unanimous vote to require the payment of additional capital contributions by the members by a
mutually agreeable date.
No Interest on Capital Contributions. No interest shall be paid on funds or property
contributed as capital to this Company,or on funds reflected in the capital accounts of the members.
4. Cqpital Account Bookkeeping. A capital account shall be set up and maintained in the
records book of the Company for each member. The records book shall reflect each member's
capital contribution to the Company, increased by each member's share of profits in the Company,
decreased by each member*s share of losses and expenses of the Company,and adjusted as required
in accordance with applicable provisions of the Internal Revenue Code and corresponding income
tax regulations. The Company shall maintain all books and records and provide each Member with
financial statements no later than -3)0 days after the close of each quarter.
5. Allocations of Profits and Losses. No member shall be given priority or preference with
respect to other members in obtaining a return of capital contributions,distributions or allocations of
the income, gains, losses, deductions,credits or other items of the Company. The profits and losses
of the Company, and all items of its income, gain, loss, deduction and credit, shall be allocated to
members according to their membership interests.
6. Allocation and Distribution of Cash to Members. Cash from the Company's business
operations, as well as cash from a sale or other disposition of the Company's capital assets,may be
distributed from time to time to the members in accordance with their membership interests,as may
be decided by a majority of the membership interests.
7. Advances bv Members. If the Company does not have sufficient cash to pay its
obligations, any member may agree to advance all or part of the needed funds as a loan to the
Company on terms acceptable to the Company's management. Any such advance shall be treated as
a loan to the Company and shall not constitute an additional capital contribution.
VI. MEMBERSHIP ADMISSION AND TRANSFER
1. Admission of Additional Members. No person may be admitted as an additional member
unless the admission is approved by a majority of the membership interests and the additional
membership interest is purchased by such person for fair consideration.
2. Restrictions on the Transfer of Mernb���hi . Members may not transfer their membership
interests in the Company unless all of the membership interests approve the admission of the
transferee into this Company. Further,members may not encumber a part or all of their membership
interests in the Company by mortgage, pledge, security interest, lien or otherwise, unless the
encumbrance has first been approved in writing by the Company's management,which approval may
not be unreasonably withheld.
Notwithstanding the above provisions, members may assign an economic interest in their
membership interests to any other person without the approval of the other members or managers.
Such an assignment shall not include a transfer of voting or management rights in this Company,and

the assignee shall not become a member of the Company.
If a Member(the"Selling Member")desires to dispose of any of his/her membership interest,
or has received either an offer, or a written acceptance, as the case may be, for the bona fide
purchase, on an arms-length basis, of all, but not less than all, of his/her shares, then the Selling
Member shall give written notice and a copy of the offer or acceptance, as the case may be,
disclosin g the identity of the purchaser and the terms, conditions, and purchase price thereof
(collectively, the "Offer Notice") to the Company's managing members and to the other members
(the"Non-Selling Members"). The Offer Notice shall contain a full description of the purchase price
and the terms and conditions of the proposed share disposition and shall constitute an offer by the
Selling Member to sell all, but not less than all, of his/her shares first to the Company"s managing
members and then to the other Non-Selling Members, in accordance with the terms set forth in the
Offer Notice and the other provisions hereof, in priority as stated hereinafter. In the event a member
wishes to sell his/her interests,he/she is to offer the first right of refusal to the Company's managing
members. Each managing member will have the option to acquire 1/3 of the offered membership
interest. In the event one or more of the managing members does not wish to exercise the option,the
remaining managing members may acquire all of the membership interest. If no managing member
wishes to exercise the option,or if the managing members do not purchase all of the interest offered,
then the Selling Member's interest,or remaining portion is to be offered to the remaining members.
The Selling Member's interest will be sold proportionately between those members that express an
interest, in proportion to their then existing membership interest. If no member is interested in
purchasing the selling member's interest, the offer shall be made to individuals outside of the
Company upon the same terms. Admission of new members shall be subject to the terms of this
section. IfSelling.Member's interest is purchased by any member,the price paid will be the original
investment plus an annualized interest rate of 7,50%.
VII. DISSOLUTION
1. Dissolution of the Company. Unless otherwise provided by applicable law or by the
Company's formation document filed with Florida,this Company shall be dissolved upon the first to
occur of any of the following events; (a)written agreement of a majority of membership interests to
dissolve the Company, (b) entry of an order of dissolution by a court with jurisdiction over the
Company, or (c) upon the sale of all property owned by the Company.
2. Liquidation. After dissolution of the Company, its management shall diligently wind up
and liquidate the business and affairs of the Company. The Company shall pay for all expenses of
liquidation.
VIII. GENERAL PROVISIONS
1. Officers. The Company's management may appoint officers, such as a President, Vice
President, Secretary and Treasurer, who shall have the responsibilities generally accorded to their
positions, subject to the right of management to modify the responsibilities of such positions.
Persons who fill these positions need not be members or managers of the Company. The officers

may be compensated or noncompensated according to'the nature and extent of the services provided
by such officers.
2. Records. The Company shall keep at its principal business address a copy of all
proceedings of membership meetings, as well as books of account of the Company's financial
transactions. A list of the names and addresses of the current membership of the Company also shall
be maintained at this address, with notations on all transfers of economic interests to nonmembers
and transfers of membership interests to persons admitted into membership in the Company. A list
of the name and address of the Company's management staff shall also be kept at this address.
Copies of the Company's formation document filed with Florida, a signed copy of this
document, and the Company's tax returns for the preceding three tax years shall be kept at the
principal business address of the Company. Any member or manager may inspect any and all
records maintained by the Company upon reasonable notice to the Company. Copying of the
Company's records by members and managers is allowed,but reasonable copying costs shall be paid
for by the requesting member or manager.
3. A I Necessa[y Acts. The members,managers and officers of this Company are authorized
to perform all acts necessary to perfect the organization of this Company and to carry out its business
operations expeditiously and efficiently. The Company's management may certify to other
businesses, financial institutions and individuals as to the authority of one or more members,
managers or officers of this Company to transact specific items of business on behalf of the
Company.
4. Management of Properties. The Company will use 2001 Enterprise Management
Corp. as property manager. 2001 EMC will collect all rents,pay all debts,prepare quarterly financial
statements,oversee all insurance, legal filings,inspections,will see to tax return preparation,arrange
for tenant move-in-outs, ordering of repairs and maintenance. Not included is the cost of the actual
repairs and maintenance, appliances, etc. The fee paid 2001 EMC is 10% of the rents collected.
Managing Members shall be specifically authorized to make any and all changes and revisions with
respect to property management.
5. Property Acquisition. In the event the Company identifies additional property to be
purchased, a pro forma will be presented to the members showing the contribution needed by each
member. It will require a majority of the membership interest to proceed with the acquisition. If a
member does not wish to further participate, his/her additional participation can be offered, first to
the managing members, second to other limited members, and finally to individuals who will then
become new members. Membership interest will be adjusted to reflect the change in contributed
capital. Property can be sold or purchased upon a majority vote of the members (based upon
membership interest).
6. Amendment. This document shall not be amended, modified or replaced except by a
written instrument approved by a majority of the membership interests.
