The Claim of Lien is no longer valid and has been extinguished as a matter of law if suit was not filed on the Claim of Lien within one year after it was recorded. The Claim of Lien reflects a recording date of February 21, 1995. I enclose a copy of Florida Statute §713.22(1), which sets forth the time period of one year within which to file suit to enforce a lien. Any title insurance company will be aware of the statutory requirements in this regard. I can only assume that the lienor, Performance General Contractors of Florida, Inc., filed the Claim of Lien, had it recorded, and then did not follow through with filing suit within the one year period. It has also been more than six years since the Claim of Lien was recorded, so the statute of limitations would have run on any other action that could be filed as well. City of Atlantic Beach Dear Mr. Winkler: I am the City Attorney for Atlantic Beach and have reviewed a copy of your December 29, 1994, letter to the City of Atlantic Beach. I met with various officials from the City on January 6, 1995, and contacted your office immediately thereafter indicating that a response would be forthcoming. I have now received additional information and documentation and am able to respond to your letter. Your letter states that the City breached a contract, but the contract is between your client and the homeowner, Mary Dove. Obviously, the City cannot breach a contract to which it is not a party. Next, you reference a breach of paragraph 9 of the agreement which, in my opinion, applies to complaints of the one year warranty as set forth in paragraph 8 of the agreement and would not be applicable as cla-imed in your letter. Likewise, this claimed breach or the claimed " . . .unilateral repudiation of the contract by the City. . . " is impossible since the City is not a party to the contract. I understand that your client has received notice from the property owner of termination of the agreement as provided in paragraph 7 thereof. I also understand from representatives of the City that many items of work required to be done by your client were not completed, were done very poorly and not in a workmanlike manner, and in fact much of the work on the property had to be redone in order to satisfactorily complete the project. Obviously, there is additional expense to the homeowner as a result of your client' s substandard work. I would like to take this opportunity to extend my apology to Ms Mary Dove and your office for not been able to meet the project deadline. I would like to reiterate that Performance General Contractors of Florida,Inc. was initially the low bidder on two of the projects. However, we were asked to undertake the third project voluntarily since the low bidder was not willing to honor his bid. This has been the contributing reason behind the delays of Ms.Dove renovation. Although your office has been very helpful and forthcoming to assist us to meet the project goals, the work order issued for each project has a part of the bid package are very general and requires a great deal of explanation to clarify the scope of the work. At every stage of this project,we scheduled several appointments with Ms. Dove to explain the work order to her and plan for renovation. She disagreed with the work order and requested additional renovation of her house. To resolve this problem, I called your office and explained Ms. Dove's position. It was agreed that we meet at Ms. Dove house to get a clear understanding of the scope of the work. Upon adjournment of the meeting, Mr. Worley asked me to submit additional change orders to cover all the legitimate concern of Ms. Dove. Several sub-contractors such as cabinet manufacturers,air conditioning, plumbing, and electrician had to meet with Ms. Dove and obtained her approval prior to commencement. On each occasion, I was told by Ms.Dove that she would prefer to hive her own sub-contractors. Furthermore, she insisted that her son be hired for the duration of the project so he could help with the renovation. All of these concerns and intervention by Ms. Dove were explained to you on numerous occasions. You have made the proper consultation and advised me accordingly. All of the employers and subcontractors who worked in Ms. Dove's house had proper and adequate experience and required licenses to perform such work. Ms. Dove and her son had made numerous derogatory continents to individuals involved in this project and openly expressed their intention that they would not let this project to be finalized by the City of Atlantic Beach. Ms Dove would continue "If that is true, so can Sammy pass an inspections." My employees can testify to these derogatory remarks. On Tuesday, November 22, 1994, final inspection was scheduled for 1:30 p.m. The inspector, Mr. Ford had previously met with us at Ms.Dave's house and tried to summarize the remaining unfinished work. He had prepared a list of items to be completed prior to final inspection. I arrived at Ms. Dove at 2:1 S p.m. As I was approaching her driveway,she was leaving for work. Couple of minutes later, she came back and started to cry. I could hear her complaining that her purse and keys were lost. As she was looking for them, she started crying more violently and accusing my employees of stealing her purse and she was tired of this situation. At this time, Mr. Ford asked me to leave the premise and Performance General Contractors of Florida, Inc was relinquished of all its responsibilities. Mr. Robert Weiss, city inspector, was overseeing this inspection and told me that "the work was shoddy and he has a special relationship with Ms. Dove." Mr. Weiss remarks was unnecessary and insulting,tone of his voice was not acceptable. I tried to explain to Mr. Weiss that the one comer of rotted wood which was painted over mistakenly was unintentional and apologized on behalf of the employee. The cost of that particular repair did not exceed $10.00, and there was no reason for us trying to cover it up. In conclusion, I would like to commend your office for all your assistance in resolving this matter. I feel confident that once you have considered all the cxrcumstanoes surrounding Ms. Dove renovation project appropriate decision will be made to resolve this matter in the spirit of compromise and mutual respect. Stop problems before they start - if something isn't going the way you feel it should, or if you don't understand it, speak to the contractor at once and get an acceptable explanation or correction before it progresses too far. I would like to take this opportunity to extend my apology to Ms Mary Dove and your office for not been able to meet the project deadline. I would like to reiterate that Performance General Contractors of Florida,Inc. was initially the low bidder on two of the projects. However, we were asked to undertake the third project voluntarily since the low bidder was not willing to honor his bid. This has been the contributing reason behind the delays of Ms. Dove renovation. Although your office has been very helpful and forthcoming to assist us to meet the project goals, the work order issued for each project has a part of the bid package are very general and requires a great deal of explanation to clarify the scope of the work. At every stage of this project,we scheduled several appointments with Ms. Dove to explain the work order to her and plan for renovation. She disagreed with the work order and requested additional renovation of her house. To resolve this problem, I called your office and explained Ms. Dove's position. It was agreed that we meet at Ms. Dove house to get a clear understanding of the scope of the work. Upon adjournment of the meeting, Mr. Worley asked me to submit additional change orders to cover all the legitimate concern of Ms. Dove. Several%A>-contractors such as cabinet manufacturers,air conditioning, plumbing, and electrician had to meet with Ms. Dove and obtained her approval prior to commencement. On each occasion, I was told by Ms.Dove that she would prefer to hire her own sub-contractors. Furthermore, she insisted that her son be hired for the duration of the project so he could help with the renovation. All of these concerns and intervention by Ms. Dove were explained to you on numerous occasions. You have made the proper consultation and advised me accordingly. All of the employers and subcontractors who worked in Ms. Dove's house had proper and adequate experience and required licenses to perform such work Ms. Dove and her son had made numerous derogatory comments to individuals involved in this project and openly expressed their intention that they would not let this project to be finalized by the City of Atlantic Beach. On Tuesday, November 22, 1994, final inspection was scheduled for 1:30 p.m. The inspector,Mr. Ford had previously met with us at Ms. Dove's house and tried to summarize the remaining unfinished work. He had prepared a list of items to be completed prior to final inspection. I arrived at Ms. Dove at 2:1 S p.m. As I was approaching her driveway,she was leaving for work. Couple of minutes later, she came back and started to cry. I could hear her complaining that her purse and keys were lost. As she was looking for them, she started crying more violently and accusing my employees of stealing her purse and she was tired of this situation. At this time,Mr. Ford asked me to leave the premise and Performance General Contractors of Florida, Inc was relinquished of all its responsibilities. Mr. Robert Weiss, city inspector,was overseeing this inspection and told me that "the work was shoddy and he has a special relationship with Ms. Dove. Mr. Weiss remarks was unnecessary and insulting,tone of his voice was not acceptable. I tried to explain to Mr. Weiss that the one comer of rotted wood which was painted over mistakenly was unintentional and apologized on behalf of the employee. The cost of that particular repair did not exceed $10,00, and there was no reason for us trying to cover it up. In conclusion, I would like to commend your office for all your assistance in resolving this matter. I feel c onfidart that once you have considered all the circumstances surrounding Ms. Dove renovation project appropriate decision will be made to resolve this matter in the spirit of compromise and mutual respect. When the Work_ Beains Keep your copy of the work description handy and refer to it often. Check with your Case Manager if there is anything you do not understand. Remember you are responsible for ensuring that the contractor does the work correctly as bid. Assistance will be provided if required but the work must be acceptable to you. Try to stay out of the construction area, especially children; this will help prevent injuries and allow the workmen room to work. Try to keep a good relationship between your family and the contractor - again, delegate someone to be the spokesman for the family. O Stop problems before they start - if something isn't going the way you feel it should, or if you don't understand it, speak to the contractor at once and get an acceptable explanation or correction before it progresses too far. if the contractor cannot give you an acceptable explanation, stop the work and call the Case Manager for assistance. Expect the unexpected - in most cases changes and improvements will be new and exciting to you and will give you much pleasure; however, unforeseen problems may be uncovered during the course of the work which may require a change to the contract. Be prepared if this should happen - discuss changes with the contractor and get a good explanation of the change required and why. Try to visualize what the change will look like. Be flexible. All changes to the contract must be approved by you and your Case Manager and must be in writing. Your contractor is responsible for supervision of his workers. SCOPE OF WORK. Contractor acknowledges that he has prepared the Contractor' s Proposal (Part II of this Agreement) and that such proposal i4 accurate and consistent as to the name of the Contractor will undertake, and the price. CONTRACT AMOUNT AND PAYMENT SCHEDULE. If the expenses of finishing the work exceeds the unpaid balance on this contract, the Contractor shall pay the difference to the Owner. If the Owner fails to perform any applicable provisions of the Contract, the Contractor may, after fifteen (15) calendar days, terminate the contract and recover from the Owner payment for all work satisfactorily completed including reasonable profit and damages. 8. WARRANTY. For good and valuable consideration, the Contractor hereby agrees to provide a full one-year warranty to the Owner, which shall extend to subsequent Owners of the property to be rehabilitated. The warranty shall extend to subsequent Owners of the property to be rehabilitated. - The warranty shall provide that improvements, hardware and fixtures of whatever kind or nature installed or constructed on said property by the Contractor are of good quality, and free from defects in workmanship or materials or deficiencies subject Oto the warranty contained in this paragraph. Contractor and Owner agree, however, that the warranty set forth in this paragraph shall apply only to such deficiencies and defects as to which the Owner or subsequent Owners shall have given written notice to the Contractor, at its principal place of business, within one (1) year from the date of Contractor's final payment. The Contractor further warrants that failure by the Contractor to respond to valid complaints by the Owner, or subsequent Owners, that causes additional damages to the property are also subject to the warranty contained in this paragraph. 9. ARBITRATION. If a dispute arises as to the validity of a complaint not satisfied under the warranty clause of this contract, a panel of three (3) independent professionals shall be chosen by the City of Atlantic Beach to arbitrate the dispute. The panelists shall be * chosen on a rotating basis. The finding of the panel shall be irrevocably final, conclusive, and binding on the Homeowner and the Contractor. 10. SUB-CONTRACTORS. Contractor agrees that all warranties contained herein shall apply to all work performed under the Contract, including that performed by any sub-contractor. 11. ACKNOWLEDGMENT. The Grantee agrees to abide by the spirit and intent of the Civil Rights Act of 1964, as amended, and the Civil Rights Act of 1968, as amended, and the anti-discrimination provisions of Chapter 120 of the City Ordinance Code, in that its operation under this contract is free of discrimination against its employees, persons, or groups of persons on the basis or race, color, sex or national origin. 14. Dove's home by Performance General : July 27 , 1994 - Contract signed with statement of 60-days from date for substantial completion; September 27 , 1994 - Date substantial completion should have been completed; October 1 , 1994 - Contract with Block Grant program expires for 1994; November 12 , 1994 - Performance General requests final inspection; November 15 , 1994 - Inspection completed by city and punch list turned over to Performance General ; November 17 , 1994 - Performance General requests second final inspection; November 17 , 1994 - Inspection by city reveals many items on original punch list not completed; November 18 , 1994 - Second punch list given to Performance General ; November 22 , 1994 - Inspection by City reveals many items not complete or poor quality work. Mr. Tamouri and Mrs . Dove argued over the work being done . Mrs . Dove requests Mr. Tamouri to leave and not return to her house. Mr . Tamouri asked me to intervene on his behalf . I stated he should leave and the City would find another contractor to complete the job. November 23 , 1994 - Ted Barrett is hired to complete the job. Despite the completion of all work required your building inspector denied Performance the opportunity to address or correct any alleged deficiencies or defects under the warranty provisions of the agreement. As a consequence the unreasonable refusal of the building inspector to approve work performed or allow corrections has caused a breach of paragraph 9 of the agreement ("Arbitration") . The employment of other contractors without giving Performance the opportunity to arbitrate the dispute is a unilateral repudiation of the contract by the City and has resulted in damages beyond the contract amount. However, as a sign of good faith and in recognition that the City's actions are responsive to motivations which remain behind the scenes, Performance is willing to forego any action for additional damages provided full payment of the contract amount remaining due of $8, 4.12 .00 is tendered at once. please let me know your response by January 9, 1995. City of Atlantic Beach Dear Mr. Winkler: I am the City Attorney for Atlantic Beach and have reviewed a copy of your December 29, 1994, letter to the City of Atlantic Beach. I met with various officials from the City on January 6, 1995, and contacted your office immediately thereafter indicating that a response would be forthcoming. I have now received additional information and documentation and am able to respond to your letter. Your letter states that the City breached a contract, but the contract is between your client and the homeowner, Mary Dove. Obviously, the City cannot breach a contract to which it is not a party. Next, you reference a breach of paragraph 9 of the agreement which, in my opinion, applies to complaints of the one year warranty as set forth in paragraph 8 of the agreement and would not be applicable as claimed in your letter. Likewise, this claimed breach or the claimed " . . .unilateral repudiation of the contract by the City. . . " is impossible since the City is not a party to the contract. I understand that your client has received notice from the property owner of termination of the agreement as provided in paragraph 7 thereof. I also understand from representatives of the City that many items of work required to be done by your client were not completed, were done very poorly and not in a workmanlike manner, and in fact much of the work on the property had to be redone in order to satisfactorily complete the project. Obviously, there is additional expense to the homeowner as a result of your client' s substandard work. Furthermore, I understand from the City that many other provisions set forth in the agreement signed by your client were not met, including the time of completion. s John S. Winkler, Esq. January 23 , 1995 Page 2 I further understand it is the homeowner's position that your client utterly failed to properly perform under the terms and conditions of the agreement, the homeowner suffered damages as a result thereof, and the homeowner desires that no further funds be paid to Performance General Contractors. The City must oversee payment of any funds as administrator of the Rehabilitation Loan Program and cannot pay for work which was not done, was improperly done, or was done with substandard materials and workmanship. The City will therefore not authorize any further payment to your client. If you have any questions or if I can provide any further information or documentation to you, please do not hesitate to contact me.
