(NORTHPORT), of Jacksonville, Florida, for the construction of a office /manufacturing facility at Main Street, Atlantic Beach, Florida, contingent upon the approval by both parties named of the following documents and construction proposal to be submitted by NORTHPORT to DEVTRONICS, INC. Submittals prepared under this agreement shall be for a facility approximately 60' x 100' and shall include: 1. Drawings of site plan including topo finished elevations of floors, drainage structures and parking areas, floor plans, elevations, founda- tions, mechanical, plumbing and electrical requirements, reflective ceiling plan, necessary cross sections, details of specialized areas and schedules. Building design shall be based on Armco, Inc. building systems and details for roof and wall systems. Drawings shall be suitable for obtaining accurate sub - contractor prices and for field use during construction. Drawings shall not include detailed design of electrical or mechanical items which is customarily provided by sub - contractors or details of items to be furnished directly by DEVTRONICS, INC. under separate contract, such as landscaping, etching and plating equipment, darkroom equipment and photo plotter equipment. (Electrical and mechanical requirements shall be provided for special equipment - requirements shall be provided by DEVTRONICS, INC. prior to start of final drawings by NORTHPORT.) 2. Firm, lump -sum cost estimate on the entire project as presented, in- cluding costs for architectural and /or engineering seals and building permits. Cost estimates will not include items handled directly by DEVTRONICS, INC. 3. Complete contract documents, including proposal with detailed outline specifications, contract agreement forms and general conditions to the contract. (The first phase of work under this agreement shall be the preparation of preliminary drawings and a budget estimated cost of the project to allow client to pursue obtaining suitable financing. Preliminary drawings and budget estimate shall be approved by DEVTRONICS, INC. prior to NORTHPORT proceeding with final drawings and submittal data.) This agreement may be canceled by either party upon 48 hours written notice and DEVTRONICS, INC. agrees to pay NORTHPORT a fee equal to 100% of the pro -rated cost of any and all work completed by NORTHPORT at the time of cancellation. It is agreed that DEVTRONICS, INC. shall make decisions promptly, cooperate fully with NORTHPORT and provide information or data normally required to complete the Page 1 services offered in this agreement. DEVTRONICS, INC. shall provide the following data at DEVTRpNICS, INC. expense: 1. Current property surveys and legal descriptions of and involved. 2. Test borings of site at locations selected by NORTHPORT with Engineer's report and soil improvement and /or foundation design recommendations. 3. At the option of DEVTRpNICS, INC., NORTHPORT will assume a 2500 p.s.f. allowable soil pressure and proceed with foundation design without soil borings. 4. Accurate existing architectural type topo elevations of the exist - ing site on a minimum of 30'0" grid spacing. Fees payable to NORTHPORT for the design work, coordination services, document preparation and estimating work shall be as follows: 1. If all design work and submittals are completed and a contract for construction is not executed between DEVTRONICS, INC. and NORTHPORT, for any reason, within sixty (60) days after submittal of all data and completion of all work as required herein, a reimbursement fee of $4,500.00 (Four Thousand Five Hundred Dollars) will be paid to NORTHPORT to subsidize the cost of preparing all submittal data. If a contract for construction is executed within sixty (60) days, no design fees shall be paid and this agreement shall be cancelled. All plans and documents prepared under this agreement shall become the property of DEVTRONICS, INC. only upon payment of all fees due NORTHPORT.
