Jarboe, City Manager Maureen King, City Clerk (w/orig doc) INDEMNIFICATION AGREEMENT Agreement made and entered into this 15#1 � day of October, 1997, by and between PULTE HOME CORPORATION, a Michigan corporation, 8081 Philips Highway, Suite 14, Jacksonville, Florida 32256 ("PULTE"), and CITY OF ATLANTIC BEACH, a Florida municipal corporation, 800 Seminole Road, Atlantic Beach, Florida 32233 ("CITY"). WHEREAS, PULTE is the owner of certain real property with houses constructed thereon located at 1155 Stock Street and 1145 Stock Street, Atlantic Beach, Florida 32233, more particularly described as follows: Lots 4 and 5, Block 197, SECTION "H", ATLANTIC BEACH, according to the plat thereof as recorded in Plat Book 18, pages 34, of the current public records of Duval County, Florida; and WHEREAS, PULTE constructed both of the above-described houses below the required finished floor elevations and both properties are also below the required lot drainage elevations, as required by the Master Drainage Plan of the CITY, and after the CITY had included with the approved set of plans for each house a lot drainage plan showing the required elevations for each lot and the finished floor elevation; and WHEREAS, due to the considerable expense which would be involved in raising the finished floor elevations and lot drainage elevations for both houses, PULTE has requested that the CITY waive compliance with the required elevations on both properties and allow the houses to be occupied, which could possibly lead to claims against the CITY if any damage were to result to the properties or surrounding properties, whether privately owned or publicly owned, such as streets, improvements, and the like; and WHEREAS, PULTE is willing to indemnify and hold the CITY harmless from any and all damages which may occur as a result of the finished floor elevations and lot drainage elevations not meeting CITY requirements; and WHEREAS, all parties are in full and complete agreement with the terms and conditions as set forth herein. NOW THEREFORE, in consideration of the mutual covenants and promises contained herein, and other valuable consideration, the receipt and sufficiency of which are acknowledged, it is AGREED AS FOLLOWS: 1. PULTE and any subsequent owners of the real properties described herein shall be allowed to occupy the houses located thereon without the necessity of raising the finished floor elevations or lot drainage elevations to those required by the CITY's Master Drainage Plan. The s CITY is not, however, by this agreement, waiving any requirements of its Master Drainage Plan, and nothing contained herein shall be considered as a waiver of any CITY requirements or regulations. 2. PULTE shall indemnify and hold the CITY harmless from all claims, liability, loss, damages, and injuries of every kind resulting from the failure of said real properties to meet the required finished floor elevations and lot drainage elevations. All claims shall include any by the CITY for its publicly owned properties such as streets, improvements, infrastructures, and the like, as well as any by owners of lots which may suffer loss or damages as a result of the elevations of the two (2) lots described herein not meeting CITY requirements. PULTE shall also indemnify and hold the CITY harmless from any expenses incurred, including attorney's fees, resulting from any claims made and whether suit is filed or not. 3. This agreement may not be modified, canceled or terminated unless agreed to in writing by the CITY. 4. All persons signing this agreement on behalf of the parties hereto have the full and complete power and authority to bind said parties and have been authorized by said parties to execute this agreement. 5. This agreement shall not be recorded in the current public records of Duval County, Florida. This is in reference to two homes that do not meet the Section H grading plan (drainage). Pulte Homes is asking the Commission to allow approval of the Certificate of Occupancy based on their willingness to provide the City with an Indemnification Agreement. Their concern is that if language is put into the title, as has been previously discussed, that they will not be able to have a title company or an insurance company endorse the homes so that they can be sold. As you can see from the information sent to Jim Jarboe on August 4, the lots in question are graded to Stocks Street by diverting water away from the house slab to the adjacent lot lines to the front swale. There is a good slope in the swales to carry the amount of water from these lots. Looking at the portion of the lot grading plan provided by the City, the lots east of the subject lots are at a higher elevation. This is confirmed in the elevation of the swale elevations on Hibiscus Street. The existing lots and houses drain naturally west down the hill towards Stocks Street. Under normal grading, builders grade the yards away from the house and around to the front if it is an A graded lot. These lots are A graded lots. The graphic shows the elevations of the adjacent lots based on the previous survey information. The rear yard grading is shown in greater detail to show how the water from the house pad and from the adjacent lots is intercepted, diverted to the side lot lines and carried to the front. Based on the natural slope of the land and the topo information, there are no apparent low spots that could hold water or high spots that could be potential dams. We trust with this information we have convinced the City that all potential problems have been handled and that the Stop Work Order can be lifted so that we can complete any additional grading prior to the next Commission meeting. The official lot grading plan gave finish floor elevations for these lots 2.3 feet above the actual elevation of the lots and 3 feet above the road centerline elevation. We do not understand why the lot grading plan called for finish floor elevations are that high above the roadway and the drainage system. The drainage system located on Stock Street is at elevation 7.50. Normally, finish floors of 1.5 feet above the centerline of a curbed street or 2 feet above the drainage swale is reasonable. We have analyzed the existing lot elevations of the adjacent lots and existing,houses and have determined that the two houses, as constructed, will not cause any undue burden to any adjacent lots. The original lot grading plan showed that these two lots would have to drain from the back to the front towards Stock Street. The actual elevations show that this is happening. Exhibit A shows the lot corner and finish floor elevations of lots 2 thru 6. Exhibit B shows a portion of the City's Lot Grading Plan with elevations. The lot grading plan shows filling of all undeveloped lots east of Stock Street from .5-3 feet. Lots on the west side are to be filled in some cases over 5 feet. It appears that no consideration was made for maintaining the natural tree canopy in this area if the lots are to be filled by this large amount. Pulte has constructed the houses and has preserved the existing trees, as required by the Tree Board. Exhibits C and D show the location of the houses on the lots with the existing preserved trees. Because of these requirements and the fact that these houses have slab foundations, the lot grading could not comply with the City's lot grading plan in total. Lucas on the referenced Request For Variance - Lots 4 and 5 - Stock Street and have the following comments: 1. Mr. Lucas' letter says the drainage system is at elevation 7.50. The As-Builts indicate elevation at 7.90. 2. Exhibit "A": Several areas show different elevations - Examples are: Lot 5 SE Corner 10.8 and 11.8 NE Comer 10.7 and 11.8 SW Comer 9.5 and 10.5 NW Comer 8.9 and 8.8 Catch Basin - They show TOP at 8.26, As-Builts indicate 8.40 West Invert - They show TOP at 3.63, As-Builts indicate 3.32 Lot 4 shows a different elevation as does Lot 5. 3. Exhibit `B": The numbers on Lots 3, 4 and 5 are not legible. 4. Exhibit "C": Shows only one set of corner lot elevations; but Exhibit "A" shows two sets of comer lot elevations. Please show correct elevations consistently on each exhibit. 5. Exhibit "D": No elevations are shown. SUBJECT: Request For Variance - Lots 4 and 5 - Stock Street Date: 8/07/97 Page: 2. We will require a complete drainage design showing side lot and rear lot drainage swales providing positive drainage for both lots. This drainage plan should be submitted for our approval. CECIE ��\/ EF, By AUG 0 5 1997 We have been hired by Pulte Home Corporation to evaluate the. lot grading around two recently completed houses and request a variance from the City's Lot Grading Plan. The official lot grading plan gave finish floor elevations for these lots 2.3 feet above the actual elevation of the lots and 3 feet above the road q Q centerline elevation. We do not understand why the lot grading plan called for finish floor elevations are that hi h e roadway and the drainage syst --The dr stem located on Stock Street is at elevatio 7.50. ormally, finish floors of 1.5 feet above the centerlin a curbed street or 2 feet above the drainage swale is reasonable. We have analyzed the existing lot elevations of the adjacent lots and existing houses and have determined that the two houses, as constructed, will not cause any undue burden to any adjacent lots. The original lot grading plan showed that these two lots would have to drain from the back to the front towards Stock Street. The actual elevations show that this is happening. Exhibit A shows the lot corner and finish floor elevations of lots 2 thru 6. Exhibit B shows a portion of the City's Lot Grading Plan with elevations. The lot grading plan shows filling of all undeveloped lots east of Stock Street from .5-3 feet. Lots on the west side are to be filled in some cases over 5 feet. It appears that no consideration was made for maintaining the natural tree canopy in this area if the lots are to be filled by this large amount. Pulte has constructed the houses and has preserved the existing trees, as required by the Tree Board. Exhibits C and D show the location of the houses on the lots with the existing preserved trees. Because of these requirements and the fact that these houses have slab foundations, the lot grading could not comply with the City's lot grading plan in total. WHEREAS, PULTE is the owner of certain real property with houses constructed thereon located at 1155 Stock Street and 1145 Stock Street, Atlantic Beach, Florida 32233, more particularly described as follows: Lots 4 and 5, Block 197, SECTION "H", ATLANTIC BEACH, according to the plat thereof as recorded in Plat Book 18, pages 34, of the current public records of Duval County, Florida; and WHEREAS, PULTE constructed both of the above-described houses below the required finished floor elevations and both properties are also below the required lot drainage elevations, as required by the Master Drainage Plan of the CITY, and after the CITY had included with the approved set of plans for each house a lot drainage plan showing the required elevations for each lot and the finished floor elevation; and WHEREAS, due to the considerable expense which would be involved in raising the finished floor elevations and lot drainage elevations for both houses, PULTE has requested that the CITY waive compliance with the required elevations on both properties and allow the houses to be occupied, which could possibly lead to claims against the CITY if any damage were to result to the properties or surrounding properties, whether privately owned or publicly owned, such as streets, improvements, and the like; and WHEREAS, PULTE is willing to indemnify and hold the CITY harmless from any and all damages which may occur as a result of the finished floor elevations and lot drainage elevations not meeting CITY requirements; and WHEREAS, all parties are in full and complete agreement with the terms and conditions as set forth herein. NOW THEREFORE, in consideration of the mutual covenants aurid promises contained herein, and other valuable consideration, the receipt and sufficiency of which are acknowledged, it is AGREED AS FOLLOWS: 1. PULTE and any subsequent owners of the real properties described herein shall be allowed to occupy the houses located thereon without the necessity of raising the finished floor elevations or lot drainage elevations to those required by the CITY's Master Drainage Plan. PULTE shall indemnify and hold the CITY harmless from all claims, liability, loss, damages, and injuries of every kind resulting from the failure of said real properties to meet the required finished floor elevations and lot drainage elevations- All claims shall include any by the CITY for its publicly owned properties such as streets, improvements, infrastructures, and the like, as well as any by owners of lots which may suffer loss or damages as a result of the elevations of the two (2) lots described herein not meeting CITY requirements. PULTE shall also indemnify and hold the CITY harmless from any expenses incurred, including attorney's fees, resulting from any claims made and whether suit is filed or not. 3- This agreement may not be modified, canceled or terminated unless agreed to in writing by the CITY. 4- All persons signing this agreement on behalf of the parties hereto have the full and complete power and authority to bind said parties and have been authorized by said parties to execute this agreement. 5. This agreement shall not be recorded in the current public records of Duval County, Florida.
