If Subcontractor breaches this covenant and such breach shall cause a stoppage of work at the job site,Subcontractor shall be liable for all damages suffered by Contractor caused by such delay in completing the job,including,specifically,any penalty in the General Contract imposed upon the Contractor for failing to complete the job on the completion date set forth in said General Contract. 5.4 Subcontractor shall,prior to submission of his first request for payment,supply to the Contractor,the name,address, telephone number and copy of Certificate of Insurance,for any subcontractor furnishing materials and/or labor to Subcontractor for the Work covered herein. 5.5 Subcontractor shall comply with all laws,ordinances and regulations relating to the manner of doing the Work or to the supplying of materials at the Job site,and shall provide safe working conditions for his employees,other employees and the public. 5.6 It is expressly understood and agreed by the Subcontractor that the Work will be completed in a reasonable time,taking into consideration weather,labor and industrial conditions prevailing in the locality of the Work. 5.7 Subcontractor shall remove all trash and debris related to his scope of Work on a weekly basis,or at completion of his particular work on the project. Failure to remove said trash and debris at the direction of the Project Superintendent shall subject the Subcontractor to be charged for the cost of removal of said trash and debris. 5.8 No claim shall be made due to minor variations in the actual conditions of the premises from what is shown on the plans.Subcontractor shall examine the premises,note and ascertain the existing conditions at the job site and the nature and location of the Work.All Work affected or governed thereby,or required for the thorough and satisfactory execution and completion of the Subcontractor's Work,whether indicated and specified or not,and regardless of quantity estimated, shall constitute part of this Subcontract,and shall be performed without extra charge. 6. INDEPENDENT CONTRACTOR STATUS;NO ASSIGNMENT: It is expressly intended and agreed that Subcontractor is acting and shall act solely as an independent contractor and shall not be deemed to be an employee of Contractor. Subcontractor is responsible for all taxes and withholdings as may be necessary to conform with local,state,and federal statutes and regulations.This subcontract may not be assigned in part or in full without first obtaining the written approval of Contractor,and all aspects of performance hereunder must be by Subcontractor. 7. INSURANCE AND INDEMNIFICATION: 7.1 Prior to beginning any of the Work,Subcontractor shall deliver to Contractor proof satisfactory to Contractor that both general liability insurance and workers compensation insurance in compliance with the terms of this Subcontract Agreement have been obtained and the premiums therefor paid in full.Both the general liability insurance and the workers compensation insurance policies must provide for notification to Contractor no less than thirty(30)days prior to termination of coverage. Worker's Compensation Policy shall contain a Waiver of Subrogation in favor of Contractor. 7.4 Subcontractor agrees to provide a certificate identifying Contractor as an additional insured under an endorsement within ten(10)days from the date of the execution of this Subcontract Agreement. It is understood and agreed between the parties that the provision of this additional insured endorsement certificate is a material provision of this Subcontract Agreement and the failure to comply with this provision constitutes a breach of contract by Subcontractor. 7.5 Subcontractor shall indemnify and defend Contractor against claims or suits for injury,sickness or death of persons or damage or loss to property(including loss of use)caused in whole or part by acts or omissions of Contractor or Subcontractor,their employees,agents,contractors or suppliers,arising out of or connected with the performance of this Subcontract Agreement. Subcontractor shall indemnify and hold Contractor harmless from and against damages,losses, costs and expenses(including attorneys'fees)which Contractor may incur by reason of such claims or suits. 7.6 Subcontractor shall indemnify and protect Contractor and save it harmless from any and all loss,damage,costs, expenses,and attorneys'fees suffered or incurred on account of any breach of the aforesaid obligations and covenants and any other provision of this Subcontract Agreement. 8. PAYMENT 8.1 Requisition for payment(bills)shall be submitted upon completion of the job,or portion of the job as agreed upon in a draw schedule,and shall be paid within ten working days of submission to the Contractor.The amount of each such requisition(bill)shall be subject to the approval of the Contractor's Superintendent and I or Project Manager.All such payments shall be subject to a ten per cent(10%)retainage. 8.2 Subcontractor's requisition for payment(bill)and Release of Lien(if applicable)are the only forms that will be accepted for payment. Subcontractor requisitions for payment(bill)not be received on time will be paid the following week. 9. DEFAULT AND REMEDIES: 9.1 Should the Subcontractor at any time fail to prosecute and complete the Work,or fail to diligently and continuously perform Subcontractor's Work,or if the Contractor is notified that the Subcontractor's failure to pay for materials or labor used on the Project,or if the Subcontractor fails to perform any of the requirements hereof(including without limitation obtaining the insurance required herein and naming Contractor as an additional insured),then such event shall be deemed a default and the Contractor shall notify the Subcontractor to correct such default and shall specify in such notice the action to be taken and a reasonable date by which default shall be corrected. 9.2 If a default occurs and is not corrected on or before the date specified in the notice to the Subcontractor,Contractor shall be entitled to exercise either or both of the following remedies,as well as any other remedies available,including but not limited to, _arbitration at Contractor's election in the exercise of Contractor's sole discretion,in accordance with t e ene :1 C.ntract,or through litigation in a court of law. Contractor Initia.: , , Subcontractor Initials: 1�7. r 9.2.1 Contractor may immediately take any action necessary to correct such default,including without limitation, the right to provide labor,overtime labor and materials and may deduct the cost of correcting such default from any payment due to Subcontractor. 9.2.2 Contractor may terminate this Subcontract and the employment of the Subcontractor and employ another subcontractor or use the employees of the Contractor to finish the remaining Work to be performed.The Contractor can deduct the cost of completion from any remaining payment due to the Subcontractor. 10. MISCELLANEOUS 10.1 Subcontractor shall protect Subcontractor's finished work against damage by other trades,and shall be liable for damages caused by Subcontractor to the work of others. Subcontractor shall pay as directed to Contractor,the cost of replacement or repair to the Subcontractor's defective Work,and should Subcontractor fail to do so, Contractor may,at Contractor's option,back charge Subcontractor. 10.2 Subcontractor shall warrant all materials and workmanship furnished or performed hereunder to be free of defects for period of one year from date of acceptance of the property by Owner of the Project or the Purchaser of the Property(at closing),and shall at Subcontractor's own expense,promptly replace,repair or correct any such defective materials or workmanship appearing within one year from said date. Subcontractor shall submit and assign all factory warranties on equipment installed by Subcontractor,and at the option of Contractor, Subcontractor shall initiate and assign to Contractor and I or Contractor's assigns,a service agreement with a local service agency covering all equipment,workmanship and materials so installed. 10.3 Subcontractor shall be responsible for location of and I or damage caused by him to any underground objects, including,but not limited to,sewer,water,gas,electric or telephone lines,cables,pipes and tunnels. 10.4 Subcontractor warrants that he is familiar with all aspects of the Williams-Steiger Occupational Safety and Health Act of 1970(OSHA), land will hold Contractor harmless for any accidents or citations resulting from the administrations enforcement of OSHA with respect to the Subcontractor's work. 10.5 This Subcontract shall be construed according to the laws of the State of Florida. In the event litigation arises out of this Subcontract,and the Contractor is the prevailing party,Subcontractor shall pay or reimburse Contractor's expenses and cost of same, including reasonable attorney's fees,whether incurred with respect to attempted enforcement,trial or appeal,enforcement of judgment or otherwise. 10.6 IT IS UNDERSTOOD AND AGREED:That this subcontract is a legally binding agreement by and between this Subcontractor and 10.7 Subcontractor shall furnish to contractor proof of insurance prior to commencement of work. F Subject: IronRidge Flush Mount Standoff ► V� g Dear Sir: This letter is a supplement to the standard letter for the IronRidge Roof Flush Mounting System to address the requirements for use with the IronRidge Standoff The IronRidge Standoff comprises a 0.16"thick aluminum plate base with a 1-1/2" diameter extruded aluminum post with interior ribs and three full height ferrules. The post is supplied in lengths of 3",4" 6" & 7". It is connected to the base with 1/4" dia. bolts threaded into two of the ferrules. The remaining center ferrule is used for the attachment of the L-Foot to the top of the post. Full details can be seen on the attached drawings. The baseplate is configured to accept up to (4) 5/16" dia. lag screws. Typically only two lag screws are installed into a supporting sloping timber roof joist or truss chord. A structural analysis of the system shows that the critical item is either the strength of the 1/4" bolts connecting the baseplate to the post or the flexural strength of the baseplate. The maximum allowable uplift (minimum) reaction is 464 lb for all slopes. The compressive (maximum) reactions into the plane of the roof are not critical. Table 1 shows the maximum allowable downslope(lateral)reactions. The tabulated values include a Duration of Load Factor for Wind Loads, when applicable, and no further increase is permitted. The loads are for an installation with the supporting joist or truss spanning parallel to the roof slope. Existing roof mounted solar equipment hard connection points will be left in place for mounting new equipment. Existing piping runs to and from roof will be removed and located or disposed of per the owner's directions. New mounting rails will be attached using the existing structural solar equipment mounting points.To these rails will be attached 6 solar photovoltaic panels along with micro inverters to provide solar electric power. (See attached Specifications for this equipment). An existing roof mounted junction box will be removed and replaced with a code approved weather electrical junction box designed to receive power form the micro inverters through circuit breakers in the junction box and then into an existing conduit to bring power down from the roof. GROUND LEVEL: Per requirements by fire and electrical codes, a power subpanel with breakers will be mounted to the exterior of the home at ground level near the descending conduit. Power from the electrical subpanel will be further connected through wire in conduit to the Main Electrical service to the home. A separate Building Permit will be pulled by a Licensed Electrician AC connections to and from the Main. An Enphase Envoy communication system will be installed to allow the owner to monitor output from the solar power system. (Spec attached) The existing solar water heating tank and control unit will be removed and placed as directed by the owner. In place of the existing solar tank and controls will be a new hybrid water heater per the attached specification.
