In 2009, the Es tates of Atl antic Beach executed a Declaration of Restricti ve Covena nt s as part of an ag reement wi th the City of Atlantic Beach (ex hibi t 2). These restri ctiv e covenants im pair o ur ability to develop the property to a density sufficient enough to justify purchas in g the enti re property. Fo r this reason, we resp ectfu ll y request th at th e City of Atlanti c Beac h ame nd these restrictive covenants to all ow us to deve lop the 4.5 acres of land immedi ately adjacent to F leet La ndin g und er the exis ting zo nin g of Residential Medium Density. The development plan for the property shall provide a minimum of one (1) foot wide reserve strip along the north and west sides of the property to be recorded in the plat with the express written purpose of prohibiting any future vehicular access at any location along said north and west sides of the property, provided however, the City of Atlantic Beach shall provide all easements across the strip as requested by The Estates for development and utility purposes. BACKGROUND FACTS Estates executed that certain Declaration of Restrictive Covenants on October 2, 2009 and recorded the same on October 19, 2009 in Official Records Book 15040, page 1819 of the public records of Duval County, Florida (the "Declaration") to provide for certain restrictions on the development of the real property described in the Declaration. A. Estates and City now desire to amend the Declaration to release and delete most of the restrictions set forth in the Declaration and to modify the provisions of the Declaration relating to access to Mayport Road on the terms and conditions set forth herein. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Background Facts. The Background Facts as set forth above are agreed to be true and correct and are incorporated herein by this reference. 2. Capitalized Terms. Capitalized terms not defined herein shall have the meanings assigned to them in the Declaration. 3. Removal of Restrictions. Sections 1, 2, 3, 5 and 6 of the Declaration are each hereby deleted in their entireties and shall be of no further force or effect. 4. No Direct Access to Mayport Road. Section 4 of the Declaration is hereby deleted and replaced with the following: "4.
