As a condition to closing, the Ocean Walk litigants currently contesting owners hip of th e ShetTy Drive ri ght-of-way will dismiss the ir lawsuit with prejudice and a lon g with their n e ig hbors purchase h a lf of the right-of-way immediately adj acent to t heir properties. This effect ively w ill end the dispute concerning ownership of the Sherry Drive r ight-of-way and will prevent development of the eastern p orti on of th e Estates prope rty. Fleet Landing has agreed to purchase the remaining 30 acres of land, of w hich app rox imately 4.5 acres referred to as the "Island Area", immedi ate ly adj acent to F leet Landin g is suitable for development. T he r emainde r of the property is wetlands a nd will remain undis turbed . In 2009, the Es ta tes of Atlantic Beach executed a Declaration of R estri ctive Covenants as part of an agreement with the Cit y of Atlantic Beach (exhib it 2). These r estrictive covenants im pa ir our ability to develop the p roperty to a d en sity s ufficient enou gh to justify purchasing the entire property. For this reason, we respectfully request that the Ci t y of Atlantic Beach amend th ese restrictive covenants to a ll ow us to develop the 4 .5 acres of land imme diately a dj acent to Fleet La ndin g unde r t he existing zoning of Residenti a l Medium D ens ity. Prior to any residence being completed on the property the developer shall construct a solid wall or fence along the entire eastern boundary of The Estates property, which is at a minimum eight (8) feet in height as long as said walt can be legally permitted, 6. The development plan for the property shall provide a minimum of one (1) foot wide reserve strip along the north and west sides of the property to be recorded in the plat with the express written purpose of prohibiting any future vehicular access at any location along said north and west sides of the property, provided however, the City of Atlantic Beach shall provide all easements across the strip as requested by The Estates for development and utility purposes. NOW, THEREFORE, for good and valuable consideration, the undersigned does hereby declare that it will not convey or cause to be conveyed the title to the above property without requiring the successor in title to abide by all terms and conditions set forth herein. BACKGROUND FACTS Estates executed that certain Declaration of Restrictive Covenants on October 2, 2009 and recorded the same on October 19, 2009 in Official Records Book 15040, page 1819 of the public records of Duval County, Florida (the "Declaration") to provide for certain restrictions on the development of the real property described in the Declaration. A. Estates and City now desire to amend the Declaration to release and delete most of the restrictions set forth in the Declaration and to modify the provisions of the Declaration relating to access to Mayport Road on the terms and conditions set forth herein. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Background Facts. The Background Facts as set forth above are agreed to be true and correct and are incorporated herein by this reference. 2. Capitalized Terms. Capitalized terms not defined herein shall have the meanings assigned to them in the Declaration. 3. Removal of Restrictions. Sections 1, 2, 3, 5 and 6 of the Declaration are each hereby deleted in their entireties and shall be of no further force or effect. 4. No Direct Access to Mayport Road. Section 4 of the Declaration is hereby deleted and replaced with the following: "4. BACKGROUND FACTS A. Fstates executed that certain Declaration of Restrictive Covenants on October 2, 2009 and recorded the same on October 19, 2009 in Official Records Book 15040, page 1819 of the public records of Duval County, Florida (the "Declaration ") to provide for certain restrictions on the development of the real property described in the Declaration. B . Estates and City now desire to amend the Declaration to release and delete most of the restrictions set forth in the Declaration and to modify the provisions of the Declaration relating to access to Mayport Road and development of the real property described in the Declaration on the terms and conditions set forth herein. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows : 1 . Background Facts . The Background Facts as set forth above are agreed to be true and correct and are incorporated herein by this reference . 2 . Capitalized Terms . Capitalized terms not defined herein shall have the meanings assigned to them in the Declaration. 3 . Removal of Restrictions . Development of Development Parcel. Development on that certain real property described on Exhibit B attached hereto (the "Development Parcel') shall be consistent with the requirements of § 656 .403 of the City of Jacksonville Code of Ordinances for RMD-C properties as the same exist on the Effective Date, provided, however, no structure on the Development Parcel shall be more than sixty (60) feet in height. Further, the portions of the Development Parcel located within the city limits of Atlantic Beach, Florida, shall be developed in compliance with the applicable land use laws and regulations of the City. 5 . No Development of Nondevelopment Parcel. That certain real property described on Exhibit C attached hereto (the "Nondevelopment Parcel"), shall not be developed for any residential or commercial development whatsoever; provided, however, that nothing in this Section 5 shall prevent the construction of walking paths, boardwalks, bike paths, benches, and railings on the Nondevelopment Parcel which are intended for the use of residents, guests, employees and invitees of Fleet Landing. No lights or other luminary devices and speakers or other sound producing devices shall be installed on the Nondevelopment Parcel . For purposes of this Amendment, "Fleet Landing" shall mean that certain continuing care retirement community located at One Fleet Landing Boulevard, Atlantic Beach, Florida 32233 and shall include any development on the Development Parcel. 6 . Development of Parcel 1 . Any development of that certain real property described on Exhibit D attached hereto ("Parcel 1") shall be in compliance with the requirements of the City of Atlantic Beach' s RS - 1 zoning district provisions . 7 . No Direct Access to Mayport Road . Section 4 of the Declaration is hereby deleted in its entirety. Further, notwithstanding anything in the Declaration to the contrary : a. There shall not be any direct connections leading north or west from the Development Parcel or the Nondevelopment Parcel that could directly connect to Mayport Road nor will there be any direct vehicular access from the Development Parcel or the Nondevelopment Parcel to Mayport Road. The sole direct access to the Development Parcel and the Nondevelopment Parcel shall be from Fleet Landing Boulevard. b . The only access to Parcel 1 shall be through lots in the Oceanwalk subdivision which are adjacent to Parcel 1 . 8 . Access Though 20th Street Gate . Access to Fleet Landing through the security gate entrance located at 20th Street and Selva Marina Drive shall be limited to residents, guests, employees and invitees of Fleet Landing. 9 . (c) The City shall have one hundred twenty ( 120) days from the date of the ROFR Notice to accept the ROFR Notice (the "ROFR Acceptance Period") by delivering to Naval written notice of its agreement to purchase the Refusal Property at the same price and on the same terms and conditions as set forth in the Third Party Offer (a "ROFR Acceptance Notice") . In the event that the City timely delivers a ROFR Acceptance Notice to Naval, Naval and the City shall then complete such sale and purchase in accordance with the terms of the Third Party Offer, except as expressly provided herein. In the event the City defaults under the terms of the contract entered into by the City and Naval after any applicable notice and cure period provided in the contract, this Agreement shall terminate . (d) If the City fails to timely deliver a ROFR Acceptance Notice to Naval, Naval will have the right, but not the obligation, to sell the Refusal Property, free and clear of the rights of the City under this Agreement (a "ROFR Third Party Sale"), as follows : (i) The ROFR Third Party Sale shall be for a price not less than ninety seven percent (97%) of the purchase price specified in the Third Party Offer and in accordance with the material terms and conditions of the Third Party Offer. If Naval wishes to complete the ROFR Third Party Sale for a price less than as set forth in the preceding sentence and/or on terms and conditions that differ from those set forth in the Third Party Offer, Naval shall again give the City a ROFR Notice and an opportunity to purchase the Refusal Property at such reduced price and/or on such amended terms and conditions . The preceding sentence shall not apply to an amendment to any non-material term or condition of the Third Party Offer. (ii) Closing of the ROFR Third Party Sale shall take place no later than one hundred and eighty ( 180) days following expiration of the applicable ROFR Acceptance Period. (e) In the event that the City does not timely give a ROFR Acceptance Notice to Naval, and Naval does not complete the ROFR Third Party Sale identified in the ROFR Notice in accordance with the terms of this Section within one hundred eighty ( 180) days following expiration of the applicable ROFR Acceptance Period, the provisions of this Agreement shall again be applicable to the Refusal Property. 2 . Term. The term of this Agreement shall commence on the Effective Date and continue until 5 : 00 p .m. on the date which is twenty five (25 ) years from the Effective Date (the " Term") . 3 . Applicability of Right of First Refusal . The City ' s right of first refusal set forth above may not be exercised in the event of a transfer of the Property or any portion of the Property through a transfer to an entity owned, controlling, controlled by, or under common control with Naval ("Related Party Transaction") . Assignment Successors . This Agreement shall be binding upon and inure to the benefit of the parties hereto, their respective successors, heirs and assigns .
