GRANT OF DRAINAGE EASEMENT
(Across SP Property to Sherman Creek)
THIS GRANT OF DRAINAGE EASEMENT, executed and given effective
��-r2 (g, 2015, is by and between Atlantic Beach Country Club, Inc., a
Florida corporation ("Club"), whose address is 1600 Selva Marina Drive, Atlantic Beach,
FL 32233 and Selva Preserve, LLC, a Florida limited liability company ("SP"),
whose address is 248 Levy Road, Atlantic Beach, Florida 32233.
WITNESSETH:
That for and in consideration of the sum of Ten Dollars ($10.00) and other good
and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
Club and SP do hereby agree as follows:
1. Easement Grant by SP to Club. SP does hereby grant, bargain, sell, alien,
remise, release, convey and confirm unto Club a non-exclusive, permanent drainage
easement to channel and flow storm water drainage from the Club Property into, under
and through the Easement Area to the drainage creek located immediately east of the SP
Property and commonly known as Sherman Creek, as it presently exists or is hereafter
expanded, decreased, modified or otherwise altered or changed; together with the right to
install, construct, operate, maintain, repair, and remove storm water drainage lines and all
other drainage related structures in, under, on or through the Easement Area as may be
necessary or convenient for storm water drainage from the Club Property to Sherman
Creek and rights of ingress and egress on and over the Easement Area as necessary for
the use and enjoyment of the easement herein granted. This easement is for drainage
only and does not convey any right to install water, sewer, telephone, telecommunication
or other utilities lines or structures.
The"Club Property" is described in Exhibit 1 attached hereto; the"SP Property" is
described on Exhibit 2 attached hereto; and the "Easement Area"means those portions of
the SP Property intended to transmit water flow from the Club Property to Sherman
Creek as contemplated in the SP Drainage Permit [defined below] and as shown in
Exhibit 3 attached hereto.

2. Easement Conditions, Etc. The easement herein granted is subject to covenants,
restrictions, easements, liens, encumbrances of record and the following:
a) SP reserves the right and privilege to use and occupy and to grant to others the
right to use and occupy the Easement Area for any purpose which is not inconsistent with
the rights herein granted to Club.
b) Club shall exercise the easement rights conveyed herein in a manner which will
not unreasonably interfere with SP's use and occupancy the SP Property.
c) Club may not encumber any portion of the SP Property (including, without
limitation the "Easement Area") with any liens arising from Club's construction,
maintenance, repair or replacement, and if any such lien arises as the result thereof, then
Club, at its sole cost, shall promptly pay or remove the lien.
The storm water drainage from the Club Property into the Easement Area as allowed
hereunder shall mean only such storm water drainage as is allowed under both 1) St.
Johns River Water Management District Permit regarding the development of the SP
Property and being WMD Permit # 1 a dc)-h?---d--- (the "SP Drainage Permit")
and 2) St. Johns River Water Management District WMD Permit # IND-031-38437 (the
"Club Drainage Permit").
d) The Easement Area as described on Exhibit 3 attached hereto may be relocated by
SP, at its election, provided(i)that SP bears the cost of relocation the Drainage Lines and
Structures, (ii) that SP bears the cost of having a legal description prepared to describe
the new "easement area" and (iii) that the new easement area must afford substantially
the same or better drainage for the Club Property as the Easement Area described in
Exhibit 3 hereof. Upon such relocation, Club and SP shall execute an instrument in
recordable form relocating the easement to the new easement area (SP shall pay the cost
to prepare and record such document).
3. Installation, Maintenance,Etc.
a) By Club. Club, at its cost, will construct, maintain, repair, restore and/or replace
the control and conflict structures located on the Club Property in good and serviceable
condition, reasonable wear and tear excepted, and always in accordance with the terms
and conditions of the Club Drainage Permit.
b) By Sp. SP, at its cost, will construct, maintain, repair, restore and/or replace the
pipes, lines, swales and other structures comprising the any part of the drainage system
from the Club Property, across the SP Property and to Sherman Creek, excepting only the
control and conflict structures. SP agrees to repair, maintain, restore and/or replace such
parts of the drainage system in good and serviceable condition, reasonable wear and tear
excepted, and always in accordance with the SP Drainage Permit.

c) Underground Structures. After any underground installation, construction,
repair, replacement or removal, the party responsible performing such work shall refill
any holes or trenches in a proper and workmanlike manner to the condition existing prior
to such installation, construction, repair, replacement or removal.
4. Miscellaneous. This Grant of Easement shall inure to the benefit of and be
binding upon both Club and SP, and their respective successors and assigns. The
easement created hereby run with and burden title to the Club Property and run with and
benefit title to SP Property. The easement created hereby is perpetual and non-exclusive.
In connection with any litigation arising hereunder, the prevailing party shall be entitled
to recover from the non-prevailing party all costs incurred in connection therewith
including, without limitation, all attorneys' fees,paralegal fees and court costs reasonably
incurred, whether at bankruptcy, administrative, trial and\or appellate levels or
proceedings. This Grant shall be construed under the laws of the State of Florida. Venue
for any action for the interpretation or enforcement of this Grant shall lie in the county
where Club's Property is located. This Grant may be modified or supplemented only in
writing signed by both parties. The headings and captions used in this Grant are for
convenience only and shall not be deemed to limit, amplify or modify the terms hereof.
No inference in favor of, or against, any party shall be drawn from the fact that any party,
or its counsel, has drafted any portion of this Grant. At any time reasonably requested,
each party shall execute, deliver and acknowledge or, cause to be executed, delivered and
acknowledged, such further documents or do such other acts and things as may be
reasonably requested in order to fully implement the purposes of this Grant. Nothing
herein shall create any rights in the general public.
