303 Atlantic Blvd (Shared Parking)SHARED PARKING AGREEMENT
As Licensee (Lessor) having access and control of 300 or more parking spaces located at various properties throughout
the Beaches Town Center (locations attached as Exhibit "A"), we hereby agree to share a minimum of 13 parking spaces
("shared spaces") as allowed and required by the City of Atlantic Beach Code of Ordinances with
AI's Pizza Inc. (Lessee) for his business located at 303 Atlantic Boulevard
(the "Property) during their normal business hours for customer and employee parking. Those days and hours being:
Monday through Thursday 11 am to 11 pm
Friday and Saturday 11am to midnight
Sunday 11 am to 11 pm
The normal business hours of the shared spaces identified in the attached Exhibit "A" are:

Access to the shared spaces will be provided to Lessee's customers and employees via an "on demand" shuttle to and
from the shared spaces and the Property, or a valet service located on the Property.
This Agreement shall commence on Sel2tember 1 " , 2016, and shall remain in effect until such time that Lessee is no
longer in need of the shared spaces. The shared spaces inventory may be increased and/or decreased over the Term of
this Agreement upon 60 days written notice by Lessor to Lessee.
Except to the extent arising from the negligence of Lessor or Lessor's employees, agents, representatives, members,
managers, directors, partners, officers and affiliates (collectively, "Lessor Parties"), Lessee shall indemnify, defend,
protect and hold harmless Lessor and Lessor Parties from any and all loss, cost, claims, damages, demands or liabilities
arising out of: (i) any breach of this Agreement by Lessee, or (ii) the acts or omissions of Lessee (or any person or entity
employed by Lessee or for whom Lessee is responsible), in connection with or arising out of this Agreement or the
services performed by Lessor under this Agreement. The foregoing indemnity shall survive the termination of this
Agreement.
Any notice or communication required to be given to or served upon either party hereto shall be given or served by
personal service or by express delivery or by mailing the same, postage prepaid, by United States registered or certified
mail, return receipt requested, to the following addresses:

LABOR CONDITIONS
AIA Valet agrees to provide valet services for the above listed days and times. It is
understood by all parties that operations may finish early depending on customer volume
on any particular day, therefore the number of attendants or hours may be reduced only
after permission from Al's Pizza management. It is also understood that Al's Pizza may
need additional days during their grand opening.
UNIFORMS AND EMPLOYEE TRAINING

Depending on the season, the staff of AIA Valet will be dressed in one of the following
uniforms:
1. Black pants, AIA Valet logo shirt and black AIA Valet logo jacket.
2. Black shorts, AlA Valet logo shirt.
AIA Valet staff is required to keep a professional appearance. All staff members will
maintain a smoke and drug free environment. AIA Valet employees are required to attend
both in class and onsite training before being assigned to any venue position.
EQUIPMENT AND SUPPLIES
AIA Valet will supply its employees with all equipment needed to perform services in a
professional and efficient manner. These supplies include, but are not limited to, key
podiums, signage, uniforms and insurance.

INSURANCE COVERAGE AND LIABILITY
Liability Insurance: ALA Valet will maintain a garage keeper's insurance policy with an
additional general liability policy. This covers all vehicles in our possession and damage
to property we are operating on. This coverage also covers anybody on the premises that
is injured by the negligence of one of our employees. Actual legal limits are covered in the
certificates of insurance, which will be provided upon acceptance of contract.
Workman's Compensation: AIA Valet will maintain during the term of this agreement
workman's compensation insurance on all of its employees in accordance with the laws of
Florida.
General Liability: AIA Valet shall be responsible and fully liable for any and all
liabilities and or damages caused by the action, inaction or willful acts of its employees or
agents while operating the valet service for Al's Pizza at 303 Atlantic Blvd, Atlantic
Beach, FL 32233. ALA Valet shall indemnify, defend and hold Al's Pizza harmless from
any and all willful misconduct of its employees or agents.
A 1 Valet accepts liability for any damage done to any structure or vehicle by its
employees or agents at Al's Pizza. ALA A Valet also accepts liability for any injury
sustained to a person or persons by its employees and agents while operating at Al's
Pizza. AIA Valet will not accept liability for any damage caused by acts of God.
Furthermore, AIA Valet will not accept liability for injury or damage sustained as a result
of faulty brakes or improperly maintained cars. AIA Valet will not be held liable for any
items, which are left in a vehicle. ALA Valet will not be held liable for any automobile
which is stolen under any circumstances nor will ALA Valet be held liable for any damage
caused by a third party except as a result of our own negligence. AIA Valet will not be
held liable for damages resulting from a hit and run accident. AIA Valet accepts liability
for damages due to our negligence only. Any claim for adjustment must be made before
the vehicle leaves the possession of the employees or agents of ALA Valet Parking Inc.
PARKING LOT USE
A 1 A Valet will add Al's Pizza to their current list of restaurants providing validations for
guests. The staging area for valet parking is located at 110 N 1st St, Neptune Beach, FL
32266. Guests visiting Al's Pizza will be directed to the valet staging area by the use of
temporary directional signage.
EMERGENCY CONTACT
The on call phone number of A lA Valet's manager will be provided for all
correspondence and problem resolution.
WEATHER CONDITIONS
AIA Valet will provide service on agreed days and times regardless of weather conditions
unless they create a hazard to employees or duties performed. AIA Valet management
will be in contact with Al's Pizza Management to further discuss present situation.

COST OF SER VICES
The cost of this service will be billed at $13.50 per man hour.
*NOTE: In the case of additional hours, not listed above, due to a private event or large
party that requires extra staffing, Al's Pizza will be charged $13.50 per man hour for
additional employees.
INVOICE PAYMENT
AIA Valet will invoice Al's Pizza once a month. All invoices are due 30 days from the
invoice date. In the unlikely event of non-payment (over 90 days past due) of an invoice or
invoices then it will be turned over for collection. It is also understood that Al's Pizza will
be responsible for all reasonable attorney fees associated with trying to collect any and all
past due money owed by the same to AIA Valet Parking Inc. Furthermore, it is
understood by all parties that they will abide by any decision of a judge, jury or arbitrator
regarding any and all legal matters associated with this contract.
CONTRACT LENGTH
This contract will be in effect for a period of one year from the start date specified. It will
automatically renew unless a written cancellation is submitted 30 days before the term of
the contract is up. After the one-year term, either party may cancel this agreement by
providing the other party 30 days' notice in writing.
