BACKGROUND: At the City Cotrunission meeting ofApri123, 2001, the City Commission
requested that a Resolution be drafted to increase the term of Cultural Arts Board Members from
two yeazs to four yeazs and to eliminate the term limits provision. Commissioner Waters also
inquired whether the Chair of this board should be appointed by the City Commission.
Resolution No. 01-08 is attached along with an excerpt from the by-laws adopted by the Cultural
Arts Boazd which indicates that the board has already established a procedure for appointing a
Chair and prohibiting any member from serving as Chair for more than two years. •.

A RF50LUTION OF THE CTTY OF ATLANTIC BEACH, FLORIDA,
CHANGING T)::iE TERMS FOR MEMBERS OF TAiE CULTI3RAL ARTS
BOARD TO FOUR (4) YEARS, LIMITING THE NUMBER OF YEARS ANY
PERSON CAN -SERVE AS CHAIRMAN OF SAID BOARD, AND
PROVIDING AN EFFECTIVE DATE.
VYfIEREAS, the Aru and Entertainment Board was created by Resolution No. 94-10,
which was renamed the Cultural Arts Board by Resolution 95-15, and on which non-residents axe
allowed to serve if approved by a majority of the City Commission according to Resolution Na. 98-
8, and
WI~REAS, member of the board currently serve two year terms and can be reappointed
for a second two year term, at;cozding to Section 1. of Resolution No. 94-10, and
VVHEItEAS, Section 4. of Resolution No. 94-10 gives the board the authority to organize
themselves and appoint a chaiztzlatt, vice chairman, and any such officers as they deem advisable,
and
WHEREAS, the City Commission deems it advisable for members to be able to serve
longer terms and that there be a limit on the amount of time any one persozl catz be chairman of said
boazd.
NOW TI?tEREFORE, be it resolved by the Ciry Commission of the City of Atlan4c Beach
as follows:
SECTION 1. Sections 1 and 4 of Resolution No. 94-10, as previously amended by
Resolution Nos. 95-IS and 98-8, axe hereby amended to read as follows:
"SECTION 1. Czeation Composition Term Qualification and Vacancies.
There is hereby established a Cultural Arts Board composed of seven members
appointed by the mayor and confumed by the City Commission. All members of
the board shall serve without compensation and will be residents of the City;
however, nonresidents of the City may be appointed to the board by the mayor as
long as they are confirmed by a majority vote of the entire City Commission. Each
member will serve a four year term as a member of the board. Members may be
reappointed for a second four yeaz term. In the event of a vacancy, a replacement
will be appointed by the tnayot and con5rmed by the City Commission to serve a
new four year tezm.

"SECTION 4. _O~ganiration: Officers.
Tile Cultural Arts Board shall have the authority to organize themselves and appoint
a chairman, vice chairman, and any such officers as they deem advisable.
However, in no event shall one person serve mote than two years as chairman of the
board. Furthermore, the board may adopt bylaws to govern the conduct of their
business."
SECTION 2. This Resolution shall take effect immediately upon its final passage and
adoption.

ARTICLE IV. OFFICERS AND ELECTION OF OFFICERS
Board .officers shall consist of a Chairperson,
Vice-Chairperson, and Treasurer, elected by a
majority vote of the Hoard rnernbers present at
the time the election takes place_ The office
of Secretary will be held by an appointed em-
plcryee of the City of Atlantic Beach.
The annual election of the officers will be held
during the regular Poard meeting in September of
each year, .with the officers to take office at
the regular October meeting. 'The term of each
office is far or,e (12 year but any officer, by
majority vote of the rnernbership present may be
re-elected tr_. the same office for a secc•nd term.
No officer shall serve in the same office for a
period exceeding two (2) consecutive terms.
ARTICLE V. COMMITTEES
Carnmittees er s~.cb-Committees for the Berard, both
standir:g and temper-ary, may be established by the
Poard, as needed. The office of Chairperson f~_r
arty s?rch Committee shall be held by a member of
the Board. Committee mernhers may be Poard members
or rnernbers of the cornrnunity at large. All Ccanrnit-
tees will make reports to the Poard Chairperson
and Poard membership, as needed or required..
