Additional services for sub- Consultants Giotto and Associates, Inc. and Ellis and Associates, Inc. were also approved in amounts not to exceed $72,292.00. The Technical Services Consulting Agreement with Aikenhead & Odom was not available for review and approval at that time. It is appropriate for the Mayor and Commission to also review and approve that Technical Services Agreement and authorize its execution. The proposal from Aikenhead & Odom for Part A - "Preliminary Engineering Design Report" will be attached to, and become a part of, the Technical Services Agreement. City Staff and the City Attorney have reviewed the Technical Services Agreement proposed by Aikenhead & Odom and have caused for several changes to this final version. It is now ready for approval by the Mayor and Commission. BUDGET: Funding for this engineering work is included in the Utility Revenue Bond Fund, 480-0000-533-6300, which has a remaining balance of $5,750,481.00. RECOMMENDATION: Authorize the Mayor to execute the Technical Services Consulting Agreement and Work Authorization No. 1 (Part A} with Aikenhead & Odom, Inc., in an amount of $272,219.34. I offer the following minor clarifications: 1. The final fee is slightly less than previously approved by the City Commission, since the reimbursables have been adjusted to reflect a decrease in the revised Scope of Work. 2. The bar-chart time graph now indicates acurrently-anticipated first meeting of the SRC, and a subsequent meeting with the Commission has been "posted" 2 weeks later to allow time for the SRC to prepare a report of their meeting and recommendations for the Commissioners review prior to our mc;eting with them. We have also moved the other two SRC and Commission meetings 1 week earlier and later respectively to indicate the approximate 2 week gap between these meetings. 3. We have indicated January 10, 2000 as the date of the agreement throughout. This is being hand-delivered early AM Wednesday, January 5, as requested. (the "CONSULTANT"). On the terms and conditions hereinafter set forth, OWNER retains CONSULTANT and CONSULTANT accepts such retention to perform certain tasks, duties and services (hereinafter collectively referred to as "Services"). Unless expressly provided otherwise in writing, this Agreement shall govern only Services deemed in Exhibit A, "Scope of Services and Schedule". ARTICLE 1-TERM OF AGREEMENT 1.1 The Term of this Agreement shall begin on the date hereof. This Agreement shall be deemed a continuing contract within the meaning of Section 287.055, Florida Statues and such does not have a specific termination date, but is subject to termination as provided in Article 7. ARTICLE 2 -SCOPE OF SERVICES AND SCHEDULE 2.1 The general scope of CONSULTANTS obligations hereunder shall be to serve in a consultative capacity for OWNER and to perform the services necessary to accomplish the General Objectives and Tasks as set forth in Exhibit A. Exhibit A outlines the basic services and fee structure to be made a part of this Agreement. Specific tasks and services and corresponding fees shall be identified for each project and shall be authorized by the OWNER upon execution of an Addenda to the Agreement. 2.2 The only warranty or guarantee made by CONSULTANT in connection with the services performed hereunder is that the CONSULTANT will use that degree of care and skill ordinarily exercised under similar conditions by competent and reputable members of the profession practicing in the same or similar locality. No other warranty, expressed or implied, is made or intended by the consulting services or by furnishing oral or written reports. CONSULTANT shall be liable to OWNER for all work performed by sub-consultants retained by CONSULTANT as if such work had been performed directly by CONSULTANT and applying the foregoing standard. ARTICLE 3 -PAYMENT 3.1 Owner agrees to pay CONSULTANT, or cause CONSULTANT to be paid for Services rendered hereunder during the term of this Agreement, the Authorized Amount in accordance with the fee schedule, method of payment and other terms and conditions set forth herein and in Exhibit A attached hereto. With respect to any specific Addenda, the TOTAL COST identified therein shall be a not-to- exceed limit for CONSULTANT'S fees, direct costs and sub-consultant cost combined, unless otherwise specifically stated therein and CONSULTANT may not charge OWNER amounts in excess thereof, unless otherwise specifically stated therein. 3.2 For portions of the Services that are cost reimbursable, the CONSULTANT agrees to keep accurate records showing all charges and expenses incurred by the CONSULTANT. OWNER has the right upon reasonable notice, to audit (at any time up to one year after completio - ~p o-f a t 1 ~~ l`Vl~ -°~° - ~' expenses and disbursements made or incurred in connection with the Services to be ~_~~ ~~~.., ~~~~ performed and may examine any relevant records of the CONSULTANT. No examination of the records ~;~~ fQCf shall unreasonably delay or defer the obligation of OWNER to make payment of undisputed invoices from the CONSULTANT as provided herein, as long as such records are in order and accurately reflect the CONSULTANT'S actual costs incurred. 3.3 Payment is due from the OWNER upon receipt of invoice from CONSULTANT. OWNER shall make all payments in accordance with the Florida Prompt Payment Act. All requests for payment shall itemize and identify with specificity fees charged in accordance with the fee schedule in Exhibit A. Appropriate supporting documentation of sub-consultant costs and direct costs incurred external to the Agreement between City of Atlantic Beach & Aikenhead & Odom, Inc. ARTICLE 4 -CHANGES 4.1 This Agreement may be amended, altered or changed only in a written instrument signed by OWNER and CONSULTANT; provided however, that OWNER may reduce the Scope of Services herein without approval by CONSULTANT. ARTICLE 5 -LIMITATION OF LIABILITY 5.1 With respect to damages incurred by OWNER arising out of any error, omission or other \ professional negligence for which CONSULTANT is responsible hereunder pursuant to the standard ~~ ` referenced in Article 2.2 hereof, OWNER agrees that CONSULTANT'S liability shall be limited to - ~ $1,000,000.00 (one million). ~ ~ p $~ ARTICLE 6 -CONSTRUCTION REPRESENTATION ~ ~: ~~~~ 6.1 With respect to construction activities based upon designs and permits procured hereunder, d ~ ~~,c `=~f. OWNER agrees that CONSULTANT will not be expected to make exhaustive or continuous on-site ~ ; ~,~ , inspections but that periodic observations appropriate to the construction stage may be performed. It is ~ F ;, further agreed that CONSULTANT will not assume responsibility for the contractor's means, methods, F techniques, sequences or procedures of construction and it is understood that field services provided by CONSULTANT will not relieve the contractor of his responsibilities for performing the work in accordance with the plans and specifications. The words "supervision", "inspection", or "control", are used to mean periodic observations of the work and the conducting of tests by CONSULTANT to verify substantial compliance with the plans, specifications and design concepts. Continuous inspections by CONSULTANT does not mean CONSULTANT is observing placement of all materials. Full-time inspection means that an employee of CONSULTANT has been assigned for eight-hour days during regular business hours. 6.2 Should CONSULTANT provide periodic observations or monitoring services at the job site during construction, OWNER agrees that, in accordance with generally accepted construction practices, the contractor will be solely and completely responsible for working conditions on the job site, including safety of all persons and property during the performance of the work and compliance with OSHA regulations and that these requirements will apply continuously and not be limited to normal working hours. Any monitoring of the contractor's procedures conducted by CONSULTANT is not intended to include review of the adequacy of the contractor's safety measures in, on, adjacent to, or near the construction site. 6.3 With respect to construction activities based upon designs and permits procured hereunder, CONSULTANT shall provide appropriate certification to OWNER and all permitting agencies reflecting construction as built. Therefore, CONSULTANT shall be responsible for arranging and coordination inspections at intervals and frequencies sufficient to base such certification. CONSULTANT shall notify OWNER promptly regarding any material deviations from the design and/or permit in the construction. 6.4 All inspections services shall be identified by Addenda. ARTICLE 7 -TERMINATION 7.1 This Agreement or any Addenda hereunder may be terminated at any tim€~15y OWNER at its ~~~ convenience upon notice to CONSULTANT and in such event, CONSULTAhFT`will be paid for Services ,.,~,~ rendered prior to the termination but shall not be entitled to prospectieeFprofts on Services not performed. CONSULTANT may provide the required coverage for these policies in combination of primary and umbrella or excess liability insurance policies. Neither OWNER nor CONSULTANT shall assign this Agreement without the prior written consent of the other party. 11.3 This Agreement represents the entire and integrated Agreement between OWNER and CONSULTANT and supersedes all prior negotiations, representations or Agreements, either written or oral. This Agreement maybe amended only by written instrument si ed by both parties. ~~~~~~ 11.4 Causes of action between the parties to reement pertaining to acts or failures to act shall be deemed to have occurred and the applicable atuef limitations shall commence to run not later than (i) the date of substantial completion for acts or failures to act occurring prior to substantial completion of CONSULTANT's engineering services pursuant to the Agreement; (ii) the date of issuance of CONSULTANT'S fmal invoice for acts or failures to act occurring after subs antial completion of our engineering services pursuant to this Agreement. ~ ~- 11.5 Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either OWNER and CONSULTANT. 11.6 This Agreement shall be governed in all respects by the laws of the State of Florida. 11.7 If any of the provisions contained in this AGREEMENT are held invalid, illegal, or unenforceable, such invalidity, illegality or unenforceability will not affect any other provision and this AGREEMENT will be constructed as if such invalid, illegal or unenforceable provisions had never been contained herein. 11.8 Any TOTAL COST provided in an Addenda under this Agreement and any invoicing there- -~"~ under are subject to adjustment to exclude any significant sums by which owner determines the same to have been increased due to inaccurate, incomplete, or non-current wage rates, direct costs and sub- Consultant costs; provided, OWNER shall make all such adjustments within one (1) year following the termination or completion of the Addenda services. 11.9 CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for CONSULTANT to solicit or secure this Agreement. Each additional project task shall be authorized by Work Authorization to this agreement. The Work Authorization shall identify the scope of work, fee, and time schedule for each task. The following fee schedule shall be used as the Consultant's Standard Hourly Rates. These rates shall be adjusted on the anniversary date of the Agreement commensurate with the Consumer Price Index. (CONSULTANT), and by being made a part of said ageement is therefore subject to the conditions and considerations contained herein, unless otherwise provided herein. This WORK AUTHORIZATION consists of providing engineering services described in this document, and exhibits, attached hereto. The maximum compensation authorized by this addendum is $272.219.34. Compensation for these services shall be in accordance with Exhibit "A" of the Technical Consulting Services Ageement for hourly rate estimated fees or in accordance with the Lump Sum Fee outlined in the attachment. Sanitary sewer system modifications/design will be accomplished by City forces independent of A&O effort, with the exception of sanitary sewer on 11~' and 12~' Streets, which will be included. The Project Approach Phase of this effort has been satisfactorily completed. The following scope details the effort to be accomplished under PartA -Preliminary Design Report I. PROJECT SCOPE Additional Elevation Data: A&O has coordinated with Ghiotto & Associates surveyors to obtain necessary additional topographic and channel-bottom information in critical areas of the existing Core City, Howell Park, and Selva Lagoon (around bridge within Selva Marina CC and in narrow areas of canal for cross-section evaluation) to complete the topographical information gathered in prior engineering and analysis efforts, including our Project Approach Phase data. This additional information will not duplicate any information already available. In addition, survey of new routes and sites will be required for the anticipated stormwater pumping stations and force mains. Preliminary information regarding these fees has been provided under separate cover, but the City will handle these services directly under a separate agreement. All necessary effort will be carefully coordinated by A&O with the surveyor under this scope to obtain maximum efficiency of this effort. All elevations will be "benched" to the same datum as the existing records. If unforeseen survey support is required during final design effort, these will also be directed to the City with no engineering overview costs associated. Additional Geotechnical Data: A&O has coordinated with a Ellis & Associates geotechnical services for assessment of the affected Core City streets to determine suitability of resurfacing or reconstruction, as well as structural and route geotechnical investigations services which will be required for the proposed design. This additional information will not duplicate anv information already available. Preliminary information regarding these fees has been provided under separate cover, but the City will handle these services directly under a separate agreement. All necessary effort will be carefully coordinated by A&O with the geotechnical firm under this scope to obtain maximum efficiency of this effort. If unforeseen geotechnical support is required during final design effort, these will be directed to the City with no engineering overview costs associated. Environmental and Legal Efforts: Environmental and legal consultation is currently anticipated to be needed throughout the Final Design process in varying degrees for wetland delineation and environmental mitigation consultation. Preliminary information regarding these fees has been provided under separate cover, but the City will handle these services directly under a separate agreement. All necessary effort will be carefully coordinated by A&O with the environmental firm under this scope to obtain maximum efficiency of this effort. If unforeseen environmental support is required during final design effort, these fees will be directed to the City with no engineering overview costs associated. Phase One (and possible Phase Two) Environmental Audits, and any possible legal consultation regarding purchase of property or determination of "Waters of the State" issues relating to the environmental status of the Selva Lagoon will also be handled independently by the City on an "as-needed" basis. 4. Hydraulic/Hydrologic Modeling A&O will develop a detailed hydrologic model for the entire Selva Lagoon system using SWMM Vers 4.4. A&O will include all data, elevations, and flooding information obtained from prior engineering and analysis efforts, from our Project Approach Phase data, and from this Scope of Services. The new SWMM model will accommodate for stormwater storage capacity resulting from in street and in yard flooding known to occur. A&O will calibrate the model using elevation data obtained during the Project Approach Phase and historic records. The final model will provide definitive data regarding high water elevations within the Selva Lagoon system, ultimately including Core City streets, following input of proposed street improvements when determined. Final Concept Plan: A&O will run multiple alternative scenarios for pumps, tide control, sizes of major stormwater systems, and corresponding stage-storage alternatives on the new SWMM model and develop a preliminary version Final Concept Plan. This plan, developed initially for both a Phase One Construction and Phase Two Construction concept, will include alternatives for primary gravity piped systems as well as for pump and force main locations/sizes/capacities. Anticipated work within most Core City streets will be developed conceptually, based primarily on information from our Project Approach Phase. This work will include the following: a. Preliminary alternative scenarios for the Core City streets and drainage will be provided, based on all information available at this tune. All alternative scenarios will be run on the new model, and associated preliminary cost/benefit estimates will be developed for each alternative. b. A&O will develop plans sufficient for development of the various scenarios that will serve as the basis to develop realistic cost estimates. c. An updated preliminary cost estimate for both proposed construction phases will be developed at this time. d. The possibility of a single construction phase, depending on budget constraints and the cost/benefit alternatives, will be reviewed in detail at this time. e. A&O will meet with the SRC and the City Commission, at tunes to be mutually agreed upon, to review the Final Concept Plan. A&O will provide a presentation and verbal report to outline modifications to the Preliminary Concept Plan, present alternative analyses and cost/benefit information, and discuss the current cost estimate and its level of accuracy. A&O will solicit agreement on a final set of alternatives, incorporate modifications to the Final Concept Plan as agreed upon, and obtain concurrence of the City Commission for a final version of the Final Concept Plan. g. Following City concurrence with the Final Concept Plan, A&O and City Public Works personnel will meet with SJRWMD technical staff to present the Final Concept Plan and discuss mitigation requirements, wetland restoration methodology proposed, and any other concept issues which may be associated with the Final Design effort for ultimate permitting with that agency. A&O will also coordinate with both SJRWMD and EPA regarding existing grant applications pending with those agencies, and will also investigate possible additional grant availability for the proposed Final Concept Plan. h. A&O will complete the Preliminary Engineering Report after acceptance of the final concept plan from the City. This report shall be the basis for the Final Design Development Process to commence. All data developed to date will be available in both hard and digital base for the City at this time. If elected by the City, A&O will negotiate fees for Part B (if not elected at the inception of Part A). The City may also elect to solicit Request for Proposals (RFP's) if desired or in the event the City and A&O cannot reach a negotiated agreement for services for Part B. II. PERMITTING All permitting will be accomplished under Part B services to be contracted at a later date. Preliminary coordination with Regulatory Agencies will be accomplished under Part A as described above. III. GEOTECHNICAL EXPLORATION Provide miscellaneous Geotechnical support as needed and authorized by the City project manager up to the budget amount shown in Exhibit E IV. TIl~~ SCHEDULE The total time allowed for this Work Authorization shall be 130 working days (5 days/wk) excluding time consumed by City Reviews. Upon Notice to Proceed for each task, consultant shall submit a detailed schedule for each task. V. MEETINGS/CONFERENCES TO BE ATTENDED BY THE CONSULTANT 1. One (1) Preliminary Meeting with City Commission. 2. One (1) Preliminary Meeting with Stormwater Review Committee (SRC). 3. Two (2) Additional Meetings with Stormwater Review Committee (SRC). 4. All design criteria shall be based on the "Manual of Uniform Minimum standards for design, Construction and Maintenance for Streets and Highways, State of Florida", latest edition of the City of Jacksonville "City Standards", Florida Department of Transportation standards, and the American Association of State Highway and Transportation Officials Policies and Guidelines. Plans shall be standard 24" x 36" Mylar or CADD Vellum Sheets with 22" x 34" inside borders, at scales approved by the City Project Manager to allow '/z size printing. 5. Specifications shall be on standard 8 '/z" x 11"paper. 6. The City shall be the owner of fmal documents. 7. The consultant shall take notes of all design/review meetings held with City and regulatory agencies. These notes shall be transcribed and furnished to the City Director of Public Works for concurrence as soon as practical after the date of the meeting. 8. In addition to project delivery requirements otherwise specified, the consultant shall deliver all final drawings to the City in electronic form using either a standard .dxf format and in layers prescribed by the City Project Manager.
